available to the public for review and copying. We also have the responsibility to the public to safeguard these records and to carry
out our day-to-day program obligations. Please read carefully the following guidelines signing the form:
1. Due to the large public demand for file access, we request that you call at least a day in advance to schedule an
appointment to review the Cites. Appointments will be scheduled between 9:00am and 3:00pm. Viewing time ends at
4:45pm. Anyone arriving without an appointment may view the files to the extent that time and staff supervision
is available.
2_ You must specify files you want to review by facility name. The number of files that you may review at one time will
be limited to five.
4. You may make copies of a file when the copier is not in use by the staff and if time permits. Cost per copy is $.05 cents.
Payment may be made by check money order, or cash at the rece tion desk.
5. FILES MUST BE KEPT IN ORDER YOU FOUND THEM. Files may not be taken from the office. To remove,
alter, deface, mutilate, or destroy material in one of these files is a misdemeanor for which you can be fined up to
$500.00. No briefcases, large_totes, etc. are permitted in the file review area.

WITNESSETH, that the Grantor, for a valuable consideration paid by the Grantee, the receipt of
which is hereby acknowledged, has and by these presents does grant, bargain, sell and convey unto
the Grantee in fee simple, all that certain lot or parcel of land situated near the City of Wilmington,
New Hanover County, North Carolina and more particularly described. as follows:

PLAN OF MERGER
A. ENTITIES PARTICIPATING IN MERGER.
Gordon Road, LLC (the "Merging Entity") a limited liability company organized under the
laws of North Carolina, will merge into Clancy & - Theys Construction Co. (the "Surviving
Entity"), a corporation organized under the laws of North Carolina, which will be the surviving
entity. The Merging Entity is currently a 100% subsidiary of the Surviving Entity.

B. NAME OF SURVIVING ENTITY.
After the merger, the Surviving Entity will have the name "Clancy & Theys Construction
C. MERGER.
The merger of the Merging Entity into the Surviving Entity will be effected pursuant to the
terms and conditions of this Plan. Upon the merger's becoming effective, the existence of the
Merging Entity will cease, and the existence of the Surviving Entity will continue. The time when
the merger becomes effective is hereinafter referred to as the "Effective Time."
D. CONVERSION AND EXCHANGE OF INTERESTS.
At the Effective Time, the outstanding interests of the Entities participating in the merger
will be converted and exchanged as follows:
1. Surviving Entity. The outstanding interests of the Surviving Entity will not
be converted, exchanged or altered in any manner as a result of the merger and will remain
outstanding as interests of the Surviving Entity.
2. Merging Entity. Since all interests in the Merging Entity are owned 100%
by the Surviving Entity, there will not be any conversion or exchange of the Merging Entity's
interests for corresponding interests in the Surviving Entity.
E. AMENDMENTS TO ARTICLES OF ORGANIZATION.
The articles of incorporation of the Surviving Entity shall not be amended.

company, is a 100% subsidiary of the Corporation with the Corporation owning all of the
outstanding membership interests therein;
WHEREAS, the undersigned have determined that it is in the best interests of the
Corporation and the Merging Entity that the Merging Entity merge into and with the Corporation,
with the Corporation being the surviving entity, all upon the terms and conditions of the Plan of
Merger attached hereto as Exhibit A.
NOW THEREFORE, BE IT RESOLVED that the undersigned directors and shareholders
of the Corporation hereby authorize and approve in all respects the Plan of Merger attached
hereto as Exhibit A and authorize and direct any officer of the Corporation to perform all such.

MEMBERSHIP INTEREST PURCHASE AGREEMENT
This MEMBERSHIP INTEREST PURCHASE AGREEMENT (this "Agreement") is made
effective this 31' day of July, 2007 (the "Effective Date") by and between ALTON L. SMITH, III ("A -
Smith"), KATHERINE B. SMITH ("K-Smith"), PATTERSON FAMILY PROPERTIES, LLC, a North
Carolina limited liability company ("PFP') (A -Smith, K-Smith and PFP to sometimes be referred to herein
singularly as a "Seller" and, together, as "Sellers"), CLANCY & T14EYS CONSTRUCTION CO., a North
Carolina corporation ("Purchaser"), MIC14AEL S. PATTERSON ("Patterson"), ANDREW L. OAKLEY
("Oakley"), and DAVID T. CLANCY ("Clancy").
RECITALS
1. Sellers and Purchaser are all of the Members of Gordon Road, LLC, a North Carolina
limited liability company (the "Company") by virtue of an Operating Agreement of the Company dated
April 12, 2002 (the "Operating Agreement"). Each capitalized term used but not otherwise defined herein
shall have the meaning ascribed to such term by the Operating Agreement.
2. A -Smith and K-Smith each own a 12.5% Membership Interest in the Company, PFP owns a
25% Membership Interest in the Company, and Purchaser owns a 50% Membership Interest in the
Company. A -Smith, Patterson, Oakley and Clancy are all of the Managers of the Company.
3. The Company owns certain real property located at 6636 Gordon Road in Wilmington,
New Hanover County, North Carolina (the "Property"), which the Company purchased on April 30, 2002.
To finance the purchase of the Property, the Company obtained a loan from Branch Banking & Trust
Company (BB&T) in the amount of $700,000,00, which loan was evidenced by a promissory note dated
April 30, 2002 (the "Note") and personally guaranteed by A -Smith (up to the sum of $175,000.00),
Patterson (up to the sum of $175,000.00), and Purchaser (up to the sum of $350,000.00). On June 7, 2007,
the Company entered into a Note Modification Agreement with BB&T that amended the terms of the Note
to provide for a modification amount of $433,879.29 to be repaid in three (3) equal monthly installments of
$3,449.52 beginning July 7, 2007 and one final payment of ail principal and accrued interest on October 7,
2007. As of the Effective Date, the current principal balance owing on the Note, as modified, is $430,426.42
with interest accruing at the rate of $86.3244 per day.
4. Sellers desire to sell, transfer and assign, and Purchaser desires to purchase, all of Sellers'
combined Membership Interests in the Company on the terms set out in this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and
other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
parties agree as follows:
Recitals. The foregoing recitals are deemed to be a part of this Agreement, and not mere
recitals.
2. Purchase And Sale Of Membership Interests. Effective as of the Effective Date, Sellers
hereby sell, transfer and assign to Purchaser, and Purchaser accepts and assumes from the Sellers (a) all of
Sellers' combined 50% Membership Interests in the Company, and (b) any and all right, title, and interest
which the Sellers have under the provisions of the Operating Agreement, and in and to any of the
Company's assets, including the Property. On the Effective Date, A -Smith, K-Smith, PFP, and Patterson
hereby resign from any and all positions any of them holds, or may have held, with the Company, including

as a Manager, officer, and employee.
3. Purchase Price. The purchase price for the combined Membership Interests being
purchased shall be the sum of $383,707.80 payable in cash or immediately available funds at Closing as
follows: (a) $191,853.90 to PFP, (b) $95,926.95 to A -Smith, and (c) $95,926.95 to K-Smith.
4. Closin . The closing of the purchase and sale of the Membership Interests (the "Closing")
shall take place simultaneously with the Effective Date at such times as the parties may agree in writing.
The location of the Closing shall be at the offices of Satisky & Silverstein, L.L.P. in Raleigh, North Carolina
or at such other place as the parties may agree.
Representations:
5.1. By Sellers. A -Smith, K-Smith, and PFP each represents and warrants to the
Purchaser that such Seller is the true and lawful owner of the Membership Interest being conveyed to
Purchaser, that such Membership Interest represents all of such Seller's outstanding membership interest in
the Company, and that such Membership Interest is free from any liens or encumbrances whatsoever, and
that such Seller has full power and authority to convey such Membership Interest. In addition, Sellers
hereby renounce all rights and release the Company and all of its members, managers, officers, employees,
and agents from any and all claims or demands the Sellers may have relating to Sellers' status as members
of the Company.
5.2. By Purchaser. The Purchaser covenants, warrants, and represents to the Sellers and
the Company that the Membership Interests being acquired are for investment for the Purchaser's own
account and not with a view to offering it for sale or otherwise to distributing it, after or in connection with
such assignment to it.
5.3. By Each Party. Each party represents and warrants to the other that it has been duly
authorized to execute and deliver this Assignment, and to perform its obligations under this Agreement.
Indemnification,
6.1. By Sellers. Each Seller shall defend, indemnify, and hold harmless the Purchaser
from and against and from any and all liability, claim of liability, or expense arising out of: (a) any default
by such Seller in performing its obligations under the provisions of the Operating Agreement occurring
before the Effective Date, and (b) any failure of such Seller's representations contained in Section 5 to be
true and complete in all material respects.
6.2. By Purchaser. The Purchaser shall defend, indemnify, and hold harmless (i) Sellers
from and against any and all liability, claim of liability, or expense arising out of any failure of Purchaser's
representations contained in Section 5 to be true and complete in all material respects, and (ii) A -Smith and
Patterson from and against any and all liability, claim of liability, or expense arising out of the Note and
their personal guaranties thereof.
7. Consent of Company. The execution of this Agreement by A -Smith, Patterson, Oakley and
Clancy represent the unanimous consent of the Managers, and thus, the Company, to the purchase and sale
by Sellers of their Membership Interests to Purchaser.
Miscellaneous.

8.1. Entire agreement. This Agreement represents the entire understanding of the
parties and no modifications thereof and additions thereto have been agreed to or will be binding hereafter
unless in writing executed by the parties thereto. The parties hereto waive any purchase rights under the
Company's Operating Agreement or any statute, and agree that the Company shall not be dissolved but shall
hereby continue without interruption with Purchaser as the sole Member of the Company. To the extent this
Agreement conflicts with any provision of the Operating Agreement, the Operating Agreement shall be
deemed modified in favor of the conflicting provision of this Agreement.
8.2 Counterparts. This Agreement may be executed in any number of counterparts,
each of which shall be deemed to be an original. Further, this Agreement may be signed and delivered using
facsimile machines. Any signed facsimile transmission of this Agreement shall constitute an original
counterpart.
8.3. Governing Law. All questions concerning the construction, validity, and
interpretation of this Agreement and the performance of the obligations imposed hereby shall be governed
by the internal law, not the law of conflicts, of the State of North Carolina,
8.4. Headings. The headings of the Sections, subsections, paragraphs, and
subparagraphs hereof are provided herein for and only for convenience of reference, and shall not be
considered in construing their contents.
8.5. Binding Effect. This Agreement shall be binding upon and shall inure to the benefit
of the parties hereto and their respective heirs, personal representatives, successors, and assigns hereunder.
8.6. Severahility. No determination by any court, governmental body, or otherwise that
any provision of this Agreement or any amendment hereof is invalid or unenforceable in any instance shall
affect the validity or enforceability of (a) any other provision thereof, or (b) that provision in any
circumstance not controlled by the determination. Each such provision shall be valid and enforceable to the
fullest extent allowed by and shall be construed wherever possible as being consistent with, applicable law.
8.7. Further Assurances. The parties shall cooperate with each other and shall execute
and deliver, or cause to be delivered, all other instruments and shall take all other actions, as either party
hereto may reasonably request from time to time in order to effectuate the provisions hereof

I just called Phil Tripp with Tripp engineering. He said that he was still waiting on a few
things to be completed before he can certify the pond. I have asked our project manager, Tim
McGuan, to contact both the contractor (Jesse Lea) that was to do the required work and Mr.
Tripp to get this resolved as quickly as possible. Thank you for your patience. I will be

I spoke with Jessie today and he told me that he made all the required changes a long time
ago so we should be ok.
We needed to:
1. Have a 1" pipe with invert 1"-9" below top of grate of pond structure 2. Remove cat
rails in pond 3. Confirm and provide 3:1 slope for pond.
4. Seed slopes
I am being told this was completed a long time ago.

Thanks for the response. Unfortunately, I don't have the authority to get the engineer certify the pond. The services
provided by the engineer are based upon an agreement between him and the permittee. I can only ask the permittee
(Mr. Murr) to have the pond certified. In a past conversation with Tim, I thought he had told me he would get it taken
care of. But this could have been a misunderstanding.
If he was not planning on doing this, I will have to go to the original permittee to ask him to certify it. It is still his permit
and he is responsible for compliance and ensuring the pond is certified.

Tim,
If you are directing the roof runoff to that inlet, then the inlet should to go to the forebay of the pond. I couldn't tell if it
did or if it was a part of the stormwater collection system for the neighboring property. I did notice another pipe coming
from the direction of the neighboring building's downspouts.
• If the inlet directs runoff to your pond, then you would likely have an issue with the neighboring property adding
unapproved runoff to your pond.
• If the inlet doesn't direct runoff to your pond and instead goes to your neighbors pond, you could either re-
direct the downspouts to your collection system (preferred) or look at modifying the permits for both properties
(can get very complicated).
A designers certification is necessary. It is the tool DWQ relies on to ensure the site has been built according to the
approved plans. The reason I asked is that, in our previous correspondence, it was not clear if a new certification would
be done as part of the maintenance. Ultimately, it is the responsibility of the current permittee to meet the compliance
requirements of this permit and one of those conditions is providing the designer's certification. Yesterday, I spoke to
the original engineer on this project, Phil Tripp, in hopes that he had an old certificate in his files. Phil told me that a
certification had not been completed for this site. So that was a dead end. I can continue to seek a designer's
certification from Mr. Murr.

Tim,
I looked at the inlet in question. The piping and structure for that structure seem to be a part of Gordon Road Business
Park. That yard inlet ties all the roof drains for Gordon Road Business Park into a pipe which runs down towards what
appears to be their storm pond.
I have attached pictures for your review. What appears to have happened is that— I believe our building was built prior
to Gordon Road business development. it looks to me like at one point in time the roof drains along that side of our
building were draining into a Swale that ran along our property. You can still see the swale along the front portion of the
Sunbelt building. When Gordon Business Park was built, they fine graded along the back side of their building to allow
for positive drainage away from their building. At that time the swale was disrupted.
Right now we have two of our roof drains tying into their yard inlet. Two other drains on that side I believe are just
running into under -ground dissipaters, but I am not too sure.

Tim,
If you are directing the roof runoff to that inlet, then the inlet should to go to the forebay of the pond. I couldn't tell if it
did or if it was a part of the stormwater collection system for the neighboring property. I did notice another pipe coming
from the direction of the neighboring building's downspouts.
If the inlet directs runoff to your pond, then you would likely have an issue with the neighboring property adding
unapproved runoff to your pond.
If the inlet doesn't direct runoff to your pond and instead goes to your neighbors pond, you could either re-
direct the downspouts to your collection system (preferred) or took at modifying the permits for both properties
(can get very complicated).
A designer's certification is necessary. It is the tool DWQ relies on to ensure the site has been built according to the
approved plans. The reason I asked is that, in our previous correspondence, it was not clear if a new certification would
be done as part of the maintenance. Ultimately, it is the responsibility of the current permittee to meet the compliance
requirements of this permit and one of those conditions is providing the designer's certification. Yesterday, I spoke to
the original engineer on this project, Phil Tripp, in hopes that he had an old certificate in his files. Phil told me that a
certification had not been completed for this site. So that was a dead end. I can continue to seek a designer's
certification from Mr. Murr.

After discussing this project and situation with my boss, we (DWQ) will need to continue to follow up with the original
permittee and get him to sign off on the paperwork. Technically this permit & compliance status is still his responsibility.
You have done your part as far as agreeing to take the permit and submitting the documentation. So although we have
received the paperwork, we won't be able to log it in yet. We (DWQ) will continue to work on getting the original
permittee on board. Please be patient as this process can take a while.
In the few conversations we have had, you had mentioned agreeing to fix a few of the items that are out of compliance.
Can you please provide a plan of action of the items you are willing to correct and an expected schedule to complete

those items? If you could an e-mail it to me, that would be very helpful. It could make the process a little easier and Mr.
Murr a little more responsive.

Brad obtained a BA in political science from the University of North Carolina
Chapel Hill. Brad started in the commercial real estate business with Colorado
Landmark Realtors in Boulder, Colorado, where he focused on general brokerage
work on the Front Range of Colorado. Brad returned to his hometown, Charlotte,
N.C., in 1997 and joined The Browder -Harris Company, which became Harris-
Murr
& Associates in 2000. Harris-Murr & Associates focused on build -to -suit
development, retail development, general brokerage and corporate client services,
including sale and lease negotiations, construction administration and site
selection. Harris-Murr & Associates completed over 60 build -to -suit projects in 12

Stormwater Permit No. SW8 011102 .

Dear Mr. Murr:
On January 11, 2012, the Wilmington Regional Office of the Division of Water Quality issued a
Notice of Inspection for Bolton Parking Expansion (currently Sunbelt Rentals) in New Hanover
County in order to resolve compliance issues with Stormwater Management Permit Number SW8
011102, A recent DWQ file review has revealed that a response to this letter has not yet been
received. Please find a copy of the completed form entitled "Compliance Inspection Report"
attached to this letter, which summarizes the findings of the previous inspection.
As indicated in the attached inspection report, the following items must be resolved:
1. A written response with a schedule to bring this site into compliance in response to the
Notice of Inspection sent on January 11, 2012 has not been received.
Section 11.15 requires the permittee to respond within the provided timeframe with a written
time schedule to bring this site into compliance.
2. In researching the evolution of Harris-Murr Association, Inc, it was discovered that the
company has changed names several times and was recently merged into Merrifield Patrick
Vermillion, LLC. County records also indicate that this property has been sold. Sections
11.12 requires the permittee to notify the Division of any name, ownership, or mailing address
changes within 30 days. Section 111.1 of the permit notes that this permit does not
automatically transfer when the property is sold. The original permittee is responsible for
compliance with the permit for a site until a formal permit transfer request is
submitted to DWQ and approved.
3. Submit a signed copy of the certification (the last 2 pages of the permit)
Section 11.7 of the permit requires a certification from an appropriate designer to be submitted
upon completion of construction certifying that the permitted facility has been installed in
accordance with the permit and approved plans and specifications. Any deviations from the
approved plans and specifications must be noted on the certification as a pennit modification
may be required.
4. Ensure that the runoff from all of the built -upon area within the drainage area is directed to
the stormwater collection system. Several roof drains along the edge of the property appear
to be directed away from the stormwater collection system.
Section 1.6 of the permit requires the runoff from all built -upon area within the permitted
drainage area of the project to be directed into the permitted storrmwater control system.
5. Provide the necessary operation and maintenance including:
a, trim and maintain vegetation on the pond side slopes at a height of 6 inches
b. remove any accumulated debris, trimmed vegetation, or sediment from the pond and
repair any pond features. During the inspection, it appeared that the forebay berm
appeared had eroded away.
c. Ensure that the outlet structure is functioning properly to hold water up to the
permanent pool elevation.
Section 11.3 of the permit requires the permittee to provide the operation and maintenance
necessary to assure the permitted storrmwater system functions at optimum efficiency. The
approved Operation and Maintenance Plan must be followed in its entirety and maintenance
must occur at the scheduled intervals.

Once the compliance issues identified above have been corrected and DWQ has found the site in
compliance, the permit must be transferred to the new property owner. According to the county and
Secretary of State records, the new property owners are Clancy & Theys Construction Co. Per
Section 111.1 of the permit, DWQ must be notified and the permit must be transferred when the
property is sold. The permit will be transferred once all the necessary criteria and documentation in
the Name/Ownership change form has been met and submitted to the Division (this form is available
at: http://portal.ncdenr:or-q/web/wq/ws/su/statesw/forms dots. At this point the proposed permittee
(the new property owner) has the following two options:
Option 1: Clancy & Theys Construction Co can accept the transfer of the current permit.
Clancy & Theys Construction Co should be made aware that a first time transfer is free and
the permit conditions remain the same as when the permit was originally issued under 15A
NCAC 2H .1005 effective September 1, 1995, which is commonly referred to as the 1995
Coastal Rules.
Option 2: If Clancy & Theys Construction Co refuses the current permit then they will have
to apply for their own permit. If they do not apply for a permit they will be issued a Notice of
Violation (NOV) including possible fines for owning and operating a stormwater treatment
system and discharging to surface waters without a permit. This option would not be
advantageous to Clancy & Theys Construction Co because the new permit will be issued
under the 2008 Coastal Stormwater Rules (Session Law 2008-211). This means the pond
must be designed according to the standards in Session Law 2008-211 and the latest
version of the Stormwater Best Management Practices (BMP) manual. As a result, changes
in permit conditions and technical changes, such as the increase in the design storm from
1.0 to 1.5 inches, may require significant and costly physical changes to the BMP(s) currently
serving the property.
Please inform this Office in writing before August 18, 2012, of the specific actions that will be
undertaken and the time frame that will be required to correct the deficiencies. Failure to provide the
requested information, or to respond to this letter by the due date, may initiate enforcement action
including the assessment of civil penalties of up to $25,000 per day. If a written plan of action is not
submitted to this office by August 18, 2012 then DWQ staff will re -inspect the site and issue a Notice
of Violation if the listed deficiencies have not been addressed.

I left you a voicemail as well. I am the corporate environmental manager for Sunbelt Rentals and we lease the property
in question. You sent a letter to the original developer (Brad Murr) regarding the Stormwater permit and inspection on
Jan 5, 2012. The letter was just forwarded to us. As tenants we are not responsible for the permitting but will be
contacting the current owner to attempt to address the issues. However as we just received this notice today and will
need some time to address the on -site requirements in coordination with the landlord (items 3-6) )and I am sure the
landlord will need some time to address the permit transfer (Item 1). Additionally I will contact Mr. Murr to see if there
is any record of the original engineer certification (Item 2).

The Division of Water Quality issued a Coastal Stormwater Management Permit, Number SW8 011102 to Hrriss-Murr
Association for a High Density project on February 20, 2002. This permit expires on February 20, 2012. Per 15A NCAC
21-1.1003(h) (the storm water rules), applications for permit renewals shall be submitted 180 days prior to the expiration of a
permit and must be accompanied by a processing fee, which is currently set at $505.00. If this is still an active project, please
complete and submit the enclosed renewal application as soon as possible. If this project has not been constructed and a permit
is no longer needed, please submit a request to have the permit rescinded. If you have sold the project please provide the
name, mailing address and phone number of the person or entity that is now responsible for this permit. Enclosed is a form for
change of ownership, which should be completed and submitted if the property has changed hands.
Your permit requires that upon completion of construction and prior to operation of the permitted stormwater treatment system,
a certification of completion be submitted to the Division from an appropriate designer for the type of system installed. This is to
certify that the permitted facility has been installed in accordance with the permit, the approved plans, specifications and
supporting documentation. If you have not already provided a Designer's Certification to our office, please include a copy with
your permit renewal request and processing fee. A copy of the certification form is enclosed for your convenience.
You should be aware that failure to provide the Designers Certification and the operation of a stormwater treatment facility
without a valid permit, are violations of NC General Statute 143-215.1 and may result in appropriate enforcement action
including the assessment of civil penalties of up to $10,000 per day.

listed items may result in processing delays or denial of the transfer.

construction, operation and maintenance of wet detention pond in compliance with the provisions of 15A NCAC 2H
.1000 {hereafter referred to as the "stormwater rules'} and the approved stormwater management plans and
specifications and other supporting data as attached and on file with and approved by the Division of Water Quality
and considered a part of this permit.
This permit shall be effective from the date of issuance until February 20, 2012, and shall be subject to the following
specified conditions and limitations:
1. DESIGN STANDARDS
This permit is effective only with respect to the nature and volume of stormwater described in the application
and other supporting data.
2. This stormwater system has been approved for the management of stormwater runoff as described on page
3 of this permit, the Project Data Sheet. The stormwater control has been designed to handle the runoff from
53,611 square feet of impervious area.
3. Approved plans and specifications for this project are incorporated by reference and are enforceable parts
of the permit.
4. The tract will be limited to the amount of built -upon area indicated on page 3 of this permit, and per approved
plans.
5. All stormwater collection and treatment systems must be located in either dedicated common areas or
recorded easements. The final plats for the project will be recorded showing all such required easements, in
accordance with the approved plans.
6. The runoff from all built -upon area within the permitted drainage area of this project must be directed into
the permitted stormwater'control system. A permit modification must be submitted and approved prior to
the construction of addition 1 built -upon area from outside of the approved drainage area.

II. SCHEDULE OF COMPLIANCE
The stormwater management system shall be constructed in it's entirety, vegetated and operational for its
intended use prior to the construction of any built -upon surface.
2. During construction, erosion shall be kept to a minimum and any eroded areas of the system will be repaired
immediately.

stormwater system functions at optimum efficiency. The approved Operation and Maintenance Plan must be
followed in its entirety and maintenance must occur at the scheduled intervals including, but not limited to:
a. Semiannual scheduled inspections (every 6 months).
b. Sediment removal.
C. Mowing and revegetation of side slopes and vegetated filter.
d. Immediate repair of eroded areas.
e. Maintenance of side slopes in accordance with approved plans and specifications.
f. Debris removal and unclogging of outlet structure, orifice device, flow spreader, catch basins and
piping.
g. Access to the outlet structure must be available at all times.
4. Records of maintenance activities must be kept and made available upon request to authorized personnel of
DWQ. The records will indicate the date, activity, name of person performing the work and what actions
were taken.
5. Decorative spray fountains will not be allowed in the stormwater treatment system.
6. The facilities shall be constructed as shown on the approved plans. This permit shall become voidable unless
the facilities are constructed in accordance with the conditions of this permit, the approved plans and
specifications, and other supporting data.
7. Upon completion of construction, prior to issuance of a Certificate of Occupancy, and prior to operation of
this permitted facility, a certification must be received from an appropriate designer for the system installed
certifying that the permitted facility has been installed in accordance with this permit, the approved plans and
specifications, and other supporting documentation. Any deviations from the approved plans and
specifications must be noted on the Certification. A modification may be required for those deviations.
8. If the stormwater system was used as an Erosion Control device, it must be restored to design condition prior
to operation as a stormwater treatment device, and prior to occupancy of the facility.
9. The permittee shall submit to the Director and shall have received approval for revised plans, specifications,
and calculations prior to construction, for any modification to the approved plans, including, but not limited
to, those listed below:
a. Any revision to any item shown on the approved plans, including the stormwater management
measures, built -upon area, details, etc.
b. Project name change.
C. Transfer of ownership.
d. Redesign or addition to the approved amount of built -upon area or to the drainage area.
C. Further subdivision, acquisition, or sale of the project area. The project area is defined as all property
owned by the permittee, for which Sedimentation and Erosion Control Plan approval was sought.
f. Filling in, altering, or piping of any vegetative conveyance shown on the approved plan.
10. The permittee shall submit final site layout and grading plans for any permitted future areas shown on the
approved plans, prior to construction. If the proposed BUA exceeds the amount permitted under this permit,
a modification to the permit.must be submitted and approved prior to construction.

11. A copy of the approved plans and specifications shall be maintained on file by the Permittee for a minimum
of ten years from the date of the completion of construction.
12. The permittee shall notify the Division of any name, ownership or mailing address changes within 30 days.
13. Prior to the sale or lease of any portion of the property, the permittee shall notify DWQ and provide the
name, mailing address and phone number of the purchaser or leasee. An access/maintenance easement to the
stormwater facilities shall be granted in favor of the permittee if access to the stormwater facilities will be
restricted by the sale or lease of any portion of the property.
14. The permittee is responsible for verifying that the proposed built -upon area does not exceed the allowable
built -upon area.
15. The Director may notify the permittee when the permitted site does not meet one or more of the minimum
requirements ofthe permit. Within the time frame specified in the notice, the permittee shall submit a written
time schedule to the Director for modifying the site to meet minimum requirements. The permittee shall
provide copies of revised plans and certification in writing to the Director that the changes have been made.
III. GENERAL CONDITIONS,.
1. This permit is not transferable. In the event there is a desire for the facilities to change ownership, or there
is a name change of the Permittee, a formal permit request must be submitted to the Division of Water
Quality accompanied by an application fee, documentation from the parties involved, and other supporting
materials as maybe appropriate. The approval of this request will be considered on its merits and mayor may
not be approved. Responsibility for compliance with all permit conditions remains with the Permittee until
such time as the Division approves the formal permit request.
2. Failure to abide by the conditions and limitations contained in this permit may subject the Permittee to
enforcement action by the Division of Water Quality, in accordance with North Carolina General Statute 143-
215.6A to 143-215.6C.
3. The issuance of this permit does not preclude the Permittee from complying with any and all statutes, rules,
regulations, or ordinances which may be imposed by other government agencies (local, state, and federal)
which have jurisdiction.
4. In the event that the facilities fail to perform satisfactorily, including the creation of nuisance conditions, the
Permittee shall take immediate corrective action, including those as may be required by this Division, such
as the construction of additional or replacement stormwater management systems.
The permittee grants DENR Staff permission to enter the property during normal business hours for the

6. The permit may be modified, revoked and reissued or terminated for cause. The filing of a request for a
permit modification, revocation and reissuance or termination does not stay any permit condition.
Unless specified elsewhere, permanent seeding requirements for the stormwater control must follow the
guidelines established in the North Carolina Erosion and Sediment Control Planning and Design Manual.

On January 22, 2002, Land Management Group, Inc (LMG) made a site visit to the
above mentioned property for the purposes of 404 wetlands delineation. Wetlands are
evaluated using the U.S. Army Corps of Engineers (C.O.E.) Wetlands Manual - 1987
edition. Wetlands, when delineated, use a three parameter approach incorporating
soils, vegetation, and hydrological indicators.
Jurisdiction 404 wetlands as regulated by the U.S. C.O.E. were not observed on the
cleared areas of the tract between the existing drainage ditch/ stormwater area and
existing building, or between Gordon Rd. and the existing ditch.
Potential 404 wetlands were observed in the remaining wooded areas on the tract. The
small wooded area on the tract contained soils and vegetation characteristic of 404
wetlands areas. Due to existing drainage on both sides of this wooded area, water
necessary to maintain wetlands hydrology is doubtful to exist in this area. It has been
our experience that soils of this type exhibit drainage to greater than 18" of depth to a
distance of +/-150' from an existing 5' deep ditch, thus removing wetlands hydrology.
Due to the fact that this site contains a +/-80' wide wooded area and drainage greater
than 5'-6' in depth, LMG finds it impractical to think that wetlands hydrology can be
supported in this area. Final concurrence by the U.S. C.O.E. is needed in this area
since the C.O.E. is the final resting authority in wetlands issues.
