Pursuant to §57D-2-20 of the General Statutes of North Carolina, the undersigned does hereby submit
these Articles of Organization for the purpose of forming a limited liability company:
The name of the limited liability company is Burlington Park, LLC.
2. The duration of the limited liability company is perpetual.
The name and address of each person executing these articles of organization is as follows:

liability company is:

6. Principal Office Information:
The limited liability company does not have a principal office.
7. The limited liability company shall be managed by managers and/or, as may be provided in the
operating agreement of the limited liability company, one or more company officials who are not
designated as managers, as the case may be. Except for any period during which the limited
liability company would otherwise not have any managers or other company officials, as provided
by N.C.G.S. Section 57D-3-20(d), the members of this limited liability company shall not be
managers or company officials by virtue of their status as members.
8. Except to the extent that North Carolina law prohibits such limitation or elimination of liability of
managers or company officials for breaches of duty, no person who is serving, or who has served,
as a manager or company official of the limited liability company shall be personally liable to the
limited liability company or to any of its members for monetary damages for breach of duty as a
manager or as a company official, except as provided in Chapter 57D of the North Carolina
General Statutes for liability with respect to (i) acts or omissions that the manager or company
official knew at the time of the acts or omissions were clearly in conflict with the interests of the
limited liability company, (ii) any transaction from which the manager or company official derived
improper personal benefit, or (iii) acts or omissions occurring prior to the effective date of this
filing. As used herein, "improper personal benefit" does not include reasonable compensation or

other reasonable incidental benefit for or on account of service as a manager, company official,
officer, employee, independent contractor, attorney, or consultant of the limited liability company.
No amendment to or repeal of this provision and no adoption of a provision inconsistent herewith
shall apply or have any effect on the liability or alleged liability of any manager or company
official of the limited liability company for or with respect to any acts or omissions of such
manager or company official occurring prior to such amendment, repeal, or adoption of an
inconsistent provision. The provisions of this section shall not be deemed to limit or preclude
indemnification of a manager or company official by the limited liability company (a) for any
liability that has not been eliminated by the provisions of this section or (b) as may be provided or
required pursuant to agreement or applicable law.
9. These articles will be effective upon filing.
