RESOLUTION OF THE MANAGER AND MEMBERS
The undersigned, being the sole Manager and all of the Members of Pine Gate Renewables,
LLC, a North Carolina limited liability company (the "Company") do hereby consent to and adopt
the following resolution in lieu of separate meetings of the Manager and Members pursuant to
Sections 5.2 and 4.8 of the Second Amended and Restated Operating Agreement of the Company
dated effective as of January 1, 2018 (the "Second Amended Operating Agreement");
Appointment of Officers as Signatories
WHEREAS, in accordance with Section 5.3(e) of the Second Amended Operating
Agreement, the Manager desires to enter into this resolution to acknowledge, confirm and ratify
that Chris Dunbar, as Chief Construction Officer of the Company, has the authority to sign
documents on behalf of the Company and its subsidiaries and affiliates;
NOW, THEREFORE, BE IT RESOLVED, that Chris Dunbar is authorized and
delegated such authority and duties normally associated with the office of Chief Construction
Officer on behalf of and in the name of the Company and its subsidiaries and affiliates and that all
such actions taken by him prior to the date of this resolution in his capacity as Chief Construction
Officer of the Company pursuant to Section 5.3(e) of the Second Amended Operating Agreement
are hereby ratified and confirmed in all respects.
