The UMBI and Bank Parcel Development Plan (BPDP) were approved on April 10, 2019. The Parcel was planned and designed according to the UMBI and the Consolidated Buffer Mitigation Rule 15A NCAC 02B.0295, which became effective on November 1, 2015. The project includes the restoration of riparian areas along Bob Branch and several unnamed tributaries (A1, B1, B2, and B3) in Randolph County, NC (Figure 1). The primary purpose of the Bank is to provide riparian buffer mitigation credits to mitigate for unavoidable buffer impacts in the Randleman Lake Watershed, Hydrologic Unit Code (HUC) 03030003 and the DWR Sub-basin 03-06-08 of the Cape Fear River Basin. Table 4 in Appendix A provide detailed information regarding the Project Information and Attributes. 1.1 Project Description This Parcel provides buffer mitigation through the creation of a riparian buffer mitigation bank. The project involved the restoration of onsite riparian buffers that help reduce non-point source contaminant discharges to downstream waters. The project streams flow into the Randleman Reservoir, which drains into the Deep River, and is part of the Cape Fear River Basin. There is an existing conservation easement on the first 50 feet from the top of bank of several of the Parcel’s project streams: A1, B1, B2, and B3 (Figure1). This existing easement (Phase I) was recorded on the Parcel in 2012 as part of a NC Division of Mitigation Services (DMS) Loflin Dairy Buffer Mitigation Site (DWR #2012-0365). Phase II of the project expanded the existing buffer restoration area an additional 50 feet on either side of A1, B1, B2, and B3 and adds a new 100-foot buffer on either side of Bob Branch, for a total of 12.00 acres. Of the 12.00 acres protected under the Phase II conservation easement, 8.24 acres are proposed for riparian buffer restoration, 0.16 acres for riparian buffer enhancement, and 2.84 acres for riparian buffer preservation, for a total of 366,883.664 square feet of riparian buffer credits. An additional 0.11 acres of forested riparian buffer will be protected under the conservation easement but are not eligible for mitigation credit in compliance with 15A NCAC 02B .0295(o)(5). 1.2 Project Location The Parcel is located in Randolph County, NC (Figure 1). The site is located within the 14-digit HUC 03030003010060 and the DWR Sub-basin 03-06-08, which is in the Randleman Lake Watershed of the Cape Fear River Basin (Figure 2). The Loflin Dairy Parcel is located off of Loflin Dairy Road, which is located approximately six miles southeast of the intersection of Interstate 85 and Highway 311 in Archdale. To access the site from Greensboro, take I-85 S. Take exit 113C-A for I-74. In 0.7 miles, take exit 113B onto I-74 E towards Asheboro. In 4.2 miles, take exit 79 for Cedar Square Road. In 0.3 miles, turn right onto Cedar Square Loflin Dairy Phase II Buffer Mitigation Bank Parcel As-built & Baseline Monitoring Report – Draft Page 2 Road. Continue for 0.3 miles and turn left onto US-311. Continue for 2.4 miles and turn left onto Loflin Dairy Road. The Parcel is located at the end of the road on the left (35°50’45.2” N, 79°52’20.4” W). The project is surrounded by fields that are used for agriculture use. There is a 60-foot easement break on B1 and both a 70-foot and 15-foot easement break on Bob Branch. There is also a 30-foot access easement break along A1 that was recorded as part of Phase I of the project. The break in the existing Phase I conservation easement will remain to allow for access to both the phases of the project. 1.3 Parcel Background The Parcel has historically been used for agricultural purposes and is surrounded by fields that have been alternately used for cattle and crop production. The current property owner has confirmed that the area surrounding Bob Branch and A1 was used as an active dairy farm from 1947 to 2017, when the cattle were removed from the property. The area surrounding B1 – B3 have been agricultural fields since the late 1920s. During Phase I of the Loflin Dairy Buffer Mitigation Project, a conservation easement was recorded to protect 9.8 acres surrounding streams A1 and B1 - B3 in perpetuity. The easement area, which extends from the top of the stream bank to 50 feet into the floodplain, was planted with native woody vegetation in March 2012. Bob Branch was not included in Phase I of the Loflin Dairy Buffer Mitigation Project. On October 2, 2018, prior to the implementation of Phase II, DWR performed an onsite visit to determine the Parcel’s viability for buffer mitigation (letter dated October 19, 2018). All five of the Parcel’s stream features were deemed viable by DWR to generate buffer mitigation credit (Appendix C) and the process to implement Phase II began. Phase II included restoring the riparian areas along Bob Branch and four unnamed tributaries (A1, B1, B2, and B3) that flow to the Randleman Reservoir (See Figure 3). Bob Branch is a direct tributary to the Randleman Reservoir. The reservoir is a regional water supply and stream buffer protection rules are in place throughout the watershed. As stated in Section 1.0, A1 and B1-B3 were part of Phase I of Loflin Dairy Buffer Mitigation Project. As such, 50 feet of the riparian buffer from those stream channels were restored and protected under a conservation easement. Phase II expanded the buffer mitigation beyond Phase I for an additional 50 feet on each side of those reaches. In addition, Phase II included a portion of Bob Branch, which was not originally included in Phase I, and created a 100-foot buffer on either side of the stream. There are areas on the Bob Branch that are already forested. These areas meet the requirements of the Consolidated Buffer Mitigation Rule (15A NCAC 02B 0.0295(o)(5)) for buffer preservation in three ways: • by having a buffer width that is at least 30 feet from the stream, • by the area meeting the requirements of 15A NCAC 02R 0.0403 (c) (7), (8), and (11) with no known structures, infrastructure, hazardous substances, solid water, or encumbrances within the mitigation boundary, and • by credits only being requested on 25% of the total area of buffer mitigation. Documentation supporting compliance with 02R 0.0403 was included in the BPDP. 1.4 Parcel Objectives The major goals of the proposed buffer restoration project are to provide ecological and water quality enhancements to the Deep River and Randleman Reservoir watershed of the Cape Fear River Basin by creating a functional riparian corridor and restoring and enhancing the riparian buffer. The proposed Loflin Dairy Phase II Buffer Mitigation Bank Parcel As-built & Baseline Monitoring Report – Draft Page 3 project supports specific goals identified in the 2009 Cape Fear River Basin Restoration Priorities Plan (RBRP) for the Cape Fear River Catalog Unit (CU) 03030003. As stated in the RBRP, “Protection of [federally endangered] species and improvement in water quality to waters draining to Randleman Reservoir are recommendations for the CU.” Specific enhancements to water quality and ecological processes are outlined below: • Decrease nutrient levels - Nutrient input will be decreased by filtering runoff from the agricultural fields through restored native buffer zones. The off-site nutrient input will also be absorbed on-site by dispersing flood flows through native vegetation, thereby reducing nutrient inputs to waters of the Randleman Reservoir. • Decrease sediment input - Sediment from off-site sources will be deposited on restored floodplain areas where native vegetation will slow overland flow velocities, thereby reducing sediment inputs to waters of Randleman Reservoir. • Create appropriate terrestrial habitat - Buffer areas will be restored by removing invasive vegetation and planting native vegetation; thereby improving wildlife habitat and restoring degraded riparian buffers. • Permanently protect the Parcel from harmful uses - Establish a conservation easement on the Parcel that will protect aquatic habitat and water supply waters in perpetuity. Loflin Dairy Phase II Buffer Mitigation Bank Parcel As-built & Baseline Monitoring Report – Draft Page 4 2.0 RESTORATION ACTIVITIES & BASELINE SUMMARY As part of Phase II, the Wildlands Team restored and extended high quality riparian buffers along Bob Branch and several of its unnamed tributaries, respectively, by converting existing agriculture fields into riparian forest. The project design ensured that no adverse impacts to wetlands or existing riparian buffers occurred. Figure 3 illustrates the conceptual design for the Parcel. Detailed descriptions of the proposed restoration activity are outlined in the following sections. General site photographs are included in Appendix F. 2.1 Parcel Preparation Because the areas slated for buffer restoration and enhancement had previously consisted of maintained agricultural fields and those slated for preservation consisted of wooded forests, no site preparation was required. 2.2 Riparian Area Restoration Activities The revegetation plan for the buffer restoration areas included planting bare root trees throughout the restoration area and applying permanent seed to the disturbed areas. The species composition of the planted trees was selected based on the community type, the occurrence of species in riparian buffers adjacent to the Parcel (Table 6), and best professional judgement on species establishment and anticipated site conditions in the early years following project implementation. Bare root trees selected for the Parcel were native hardwood species typical for Piedmont communities as defined by Schafale (2012). Trees were planted at a density of 609 trees per acre, which is sufficient to meet the performance standards of 260 trees per acre at the end of five years (Rule 15A NCAC 02B .0295). For most of the site, it was determined that seed mix was not needed based on lack of disturbed areas. Planting was completed on February 18, 2020. Table 3 in Appendix A provides detailed information regarding the Project Contacts. Vegetation management and herbicide applications will be implemented as needed in the restoration areas to prevent establishment of invasive species that could compete with the planted native species. 2.3 Riparian Area Enhancement Activities The revegetation plan for the buffer enhancement areas under NCAC 02B .0295(n) included planting supplemental bare root trees and controlling invasive species growth. The tree species planted are listed in Table 7. 2.4 Riparian Area Preservation Activities There was no parcel preparation work done in the buffer preservation areas, as allowed under 15A NCAC 02B .0295(o). The preservation area will be protected in perpetuity under a conservation easement. Loflin Dairy Phase II Buffer Mitigation Bank Parcel As-built & Baseline Monitoring Report – Draft Page 5 3.0 MITIGATION POTENTIAL 3.1 Determination of Credits Mitigation credits for the site are based upon the as-built survey. A map detailing the credit generation is provided in Figure 3. The tables and figures are all presented in Appendix A. Approximately 12.00 acres protected under the Phase II conservation easement, 8.24 acres are proposed for riparian buffer restoration, 0.16 acres for riparian buffer enhancement, and 2.84 acres for riparian buffer preservation. An additional 0.11 acres of forested riparian buffer will be protected under the conservation easement but are not eligible for mitigation credit in compliance with 15A NCAC 02B .0295(o)(5). Mitigation activities per drainage feature are outlined in Table 1a. These acreages were calculated prior to applying any reductions in riparian buffer credits for areas between 101 feet and 200 feet from top of bank, per 15A NCAC 02B.0295(n) or the 2:1 and 10:1 credit ratios on the enhancement and preservation of rural streams respectively, per 15A NCAC 02B .295(m). The Sponsor will maintain two credit ledgers. After applying the applicable reductions in credits and credit ratios, the Loflin Dairy Phase II Bank Parcel includes 8.422 credited acres, or 366,883.664 ft² of riparian buffer credits as shown in Table 1b. 3.2 Deviations from the Bank Parcel Development Package (BPDP) While the surveyed acreage and did not change since the approval of the BPDP, there was an increase of 6,206.864 total credits being requested for the project. This is due to small variations in the surveyed acreages of each zone within the project (Table 1). Loflin Dairy Phase II Buffer Mitigation Bank Parcel As-built & Baseline Monitoring Report – Draft Page 6 4.0 MONOITORING PROTOCOL & SUCCESS CRITERIA The performance criteria for the Parcel follows approved performance criteria presented in the guidance documents outlined in the Consolidated Buffer Rule (15A NCAC 02B .0295). Annual monitoring and semi-annual site visits will be conducted to assess the condition of the finished project (Table 5). The buffer restoration project has been assigned specific performance criteria components for vegetation. Performance criteria will be evaluated throughout the five-year post-construction monitoring. An outline of the performance criteria and monitoring components follows and are depicted in Figure 4 (Appendix A). 4.1 Vegetation Six 10-meter by 10-meter vegetation monitoring plots were installed within the buffer restoration area to measure the survival of the planted trees (Figure 4). The number of plots required was determined in accordance with the Carolina Vegetative Sampling Protocol (CVS) Levels 1 & 2 (Lee et al. 2008). Vegetation assessments were conducted in February 2020 following the CVS Levels 1 & 2 Protocol for Recording Vegetation, Version 4.0 (Lee et al. 2008; Peet et al. 1996). Planting was completed on February 18, 2020. The as-built baseline data shows a planted tree density of 688 stems per acre (Table 10). This is well above the 260 stems per acre required at the end of year five monitoring. Annual monitoring activities will begin in the fall of 2020, at least five months after planting has been completed, and will continue in the fall for the remainder of the monitoring period (Table 2). Each year a reference photo will be taken from the origin pole, which is located near the southwestern corner of each vegetation plot, and all planted stems will be marked with flagging tape and recorded. Species composition, height, density, and survival rates will be evaluated on an annual basis by plot for the entire site. The total number of volunteer woody stems will also be documented and reported. The measures of vegetative success for the Parcel will be the survival of at least 4 native hardwood tree species, where no one species is greater than 50% of the established stems, and an established density of at least 260 planted trees per acre at the end of Year Five. Appropriate and desirable native volunteer species may be included to meet the performance standards with DWR approval. Wildlands shall submit to DWR an annual monitoring report, no later than December 31st of each year for five consecutive years (Table 2) and will follow the terms and conditions of the Wildlands UMBI signed on April 10, 2019. 4.2 Photo Reference Stations Photographs will be taken of the project area using a drone once a year to visually document site stability for five years following construction. Aerial photos showing current site conditions (as of February 2020) of the Parcel are provided in Appendix F. 4.3 Visual Assessments Visual assessments should support the specific performance standards for each metric as described above. Visual assessments will be performed within the site on a semi-annual basis during the five-year monitoring period. Problem areas with vegetative health will be noted (e.g. low stem density, vegetation mortality, invasive species or encroachment). Areas of concern will be mapped and photographed accompanied by a written description in the annual report. Problem areas will be re-evaluated during each subsequent visual assessment. The extent of invasive species coverage will also be monitored and treated as necessary throughout the required monitoring period (five years). Loflin Dairy Phase II Buffer Mitigation Bank Parcel As-built & Baseline Monitoring Report – Draft Page 7 4.4 Annual Reporting Performance Criteria Monitoring reports will be prepared in the fall of each monitoring year and submitted to DWR. The monitoring period will extend five years beyond completion of construction or until performance criteria have been met. Loflin Dairy Phase II Buffer Mitigation Bank Parcel As-built & Baseline Monitoring Report – Draft Page 8 5.0 FINANCIAL ASSURANCE & LONG-TERM MANAGEMENT 5.1 Financial Assurance After completion of the restoration/construction, a separate Performance/Maintenance Bond will be secured for 100% of the estimated cost to implement the monitoring and maintenance plan, but not less than $100,000.00. The Performance/Maintenance Bond shall apply at the inception of the monitoring period for a term of one year, to be extended annually for a minimum of five years. Upon DWR approval, this may be lowered each year based on the adjusted cost to complete the monitoring. A copy of the monitoring bond is provided in Appendix E. 5.2 Parcel Maintenance &Adaptive Management If the Parcel or a specific component of the Parcel fails to achieve the success criteria outlined in Section 4.1, adaptive measures will be developed and/or appropriate remedial actions will be implemented. Site maintenance will be performed to correct any identified problems on the Parcel that have a high likelihood of affecting project success. Such items include, but are not limited to, fire, flooding, drought, or insects that cause excess tree mortality. Any actions implemented will be designed with the consent of DWR to achieve the success criteria and will include a work schedule and updated monitoring criteria. Any Parcel maintenance performed will be included in the monitoring report for that year. A rigorous herbicide schedule may need to be implemented in the first few years of tree establishment in the restoration areas to prevent the establishment of invasive species that may out-compete the planted native vegetation. The only herbicides used on the Parcel will be aquatic-approved herbicides that will be applied in accordance with North Carolina Department of Agriculture rules and regulations. 5.3 Easement Boundaries The easement boundary will be checked annually as part of monitoring activities. Easement boundary conditions as well as any maintenance performed will be reported in the annual monitoring reports to DWR. If mowing is deemed necessary by the Sponsor during the monitoring period, the Sponsor must receive approval from DWR prior to conducting any mowing activities within Zone 1 and Zone 2 of the Randleman Lake buffers to ensure that no buffer violations have occurred. Easement boundaries have been identified in the field to ensure clear distinction between the Parcel and adjacent properties. Boundary markers that have been disturbed, damaged, or destroyed will be repaired and/or replaced on an as needed basis. Contact information for the conservation easement holder is included on easement markers. After conducting a site walk with DWR on March 19, 2020, additional conservation easement signs were installed around the edge of the easement to make the border more visible. The site visit was to determine the potential for riparian buffer mitigation within a proposed Easement Boundary, which is more accurately shown in the attached map labeled "Figure 1 Site Map" and initialed by Ms. Merritt on October 19, 2018. The Loflin Dairy Phase II Mitigation Bank is intended to be used to compensate for unavoidable buffer impacts authorized by permits issued by the North Carolina Division of Water Resources (NCDWR) and to provide mitigation for nutrient offsets due to development (both existing and proposed) within restricted areas of the Randleman Lake Watershed. Grantor and Grantee agree that third party rights of enforcement shall be held by the NCDWR and that these rights are in addition to, and do not limit the rights of the parties to the Mitigation Banking Instrument. NOW, THEREFORE, for and in consideration of the covenants and representations contained herein and for other good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, Grantor hereby unconditionally and irrevocably grants and conveys unto Grantee, its heirs, successors and assigns, forever and in perpetuity a Conservation Easement of the nature and character and to the extent hereinafter set forth, over the Conservation Easement Area described on Exhibit A, together with the right to preserve and protect the conservation values thereof, as follows: ARTICLE I. DURATION OF EASEMENT This Conservation Easement shall be perpetual. ARTICLE II. PROHIBITED AND RESTRICTED ACTIVITIES Any activity on, or use of, the Conservation Easement Area inconsistent with the purpose of this Conservation Easement is prohibited. The Conservation Easement Area shall be preserved in its natural condition and restricted from any development that would impair or interfere with the conservation values of the Conservation Easement Area. Without limiting the generality of the foregoing, the following activities and uses are expressly prohibited, restricted or reserved as indicated hereunder: A. Disturbance of Natural Features. Any change, disturbance, alteration or impairment of the natural features of the Conservation Easement Area or any introduction of non-native plants and/or animal species is prohibited. B. Construction. There shall be no constructing or placing of any building, mobile home, asphalt or concrete pavement, billboard or other advertising display, antenna, utility pole, tower, conduit, line, pier, landing, dock or any other temporary or permanent structure or facility on or above 2 the Conservation Easement Area. C. Industrial, Commercial and Residential Use. Industrial, residential and/or commercial activities, including any right of passage for such purposes are prohibited in the Conservation Easement Area. D. Agricultural, Grazing and Horticultural Use. Agricultural, grazing, animal husbandry, and horticultural use of the Conservation Easement Area are prohibited. E, Vegetation. There shall be no removal, burning, destruction, harming, cutting or mowing of trees, shrubs, or other vegetation on the Conservation Easement Area. F. Roads and Trails. There shall be no construction of roads, trails or walkways on the Conservation Easement Area; nor enlargement or modification to existing roads, trails or walkways. G. Signage. No signs shall be permitted on or over the Conservation Easement Area, except the posting of no trespassing signs, signs identifying the conservation values of the .Conservation Easement Area, signs giving directions or proscribing rules and regulations for the use of the Conservation Easement Area and/or signs identifying the Grantor as owner of the Conservation Easement Area. H. Dumping or Storage. Dumping or storage of soil, trash, ashes, garbage, waste, abandoned vehicles, appliances, machinery or hazardous substances, or toxic or hazardous waste, or any placement of underground or aboveground storage tanks or other materials on the Conservation Easement Area is prohibited. I. Excavation, Dredging or Mineral Use. There shall be no grading, filling, excavation, dredging, mining or drilling; no removal of topsoil, sand, gravel, rock, peat, minerals or other materials, and no change in the topography of the land in any manner on the Conservation Easement Area. J. Water Quality and Drainage Pattern. There shall be no diking, draining, dredging, channeling, filling, leveling, pumping, impounding or related activities, or altering or tampering with water control structures or devices, or disruption or alteration of the restored, enhanced, or created drainage patterns. In addition, diverting or causing or permitting the diversion of surface or underground water into, within or out of the Conservation Easement Area by any means, removal of wetlands, polluting or discharging into waters, springs, seeps, or wetlands, or use of pesticide or biocides is prohibited. K. Development Rights. No development rights that have been encumbered or extinguished by this Conservation Easement shall be transferred pursuant to a transferable development rights scheme or cluster development arrangement or otherwise. L. Vehicles. The operation of mechanized vehicles, including, but not limited to, motorcycles, dirt bikes, all -terrain vehicles, cars and trucks is prohibited, other than for temporary access for purposes of maintaining the Conservation Easement Area during the five-year monitoring period as described in the BPDP. 3 M. Other Prohibitions. Any other use of, or activity on, the Conservation Easement Area which is or may become inconsistent with the purposes of this grant, the preservation of the Conservation Easement Area substantially in its natural condition, or the protection of its environmental systems, is prohibited. ARTICLE III GRANTOR'S RESEVERED RIGHTS The Grantor expressly reserves for himself, his personal representatives, heirs, successors or assigns, the right to continue the use of the Conservation Easement Area for all purposes not inconsistent with this Conservation Easement, including, but not limited to, the right to quiet enjoyment of the Conservation Easement Area, the rights of ingress and egress, the right to hunt, fish, and hike on the Conservation Easement Area, the right to sell, transfer, gift or otherwise convey the Conservation Easement Area, in whole or in part, provided such sale, transfer or gift conveyance is subject to the terms of, and shall specifically reference, this Conservation Easement. Notwithstanding the foregoing Restrictions, Grantor reserves for Grantor, successors and assigns, and the Bank Sponsor, the right to construct a nutrient offset and riparian buffer mitigation bank within the Conservation Easement Area, in accordance with the Loflin Dairy Phase II Bank Parcel Development Package approved in accordance with the Randleman Lake Umbrella Mitigation Banking Instrument. ARTICLE IV. GRANTEE'S RIGHTS The Grantee or its authorized representatives, successors and assigns, and NCDWR, shall have the right to enter the Property and Conservation Easement Area at all reasonable times for the purpose of inspecting said property to determine if the Grantor, or his personal representatives, heirs, successors, or assigns, is complying with the terms, conditions, restrictions, and purposes of this Conservation Easement. The Grantee shall also have the right to enter and go upon the Property and the Conservation Easement Area for purposes of making scientific or educational observations and studies, and taking samples. The easement rights granted herein do not include public access rights. ARTICLE V ENFORCEMENT AND REMEDIES A. To accomplish the purposes of this Conservation Easement, Grantee is allowed to prevent any activity on or use of the Conservation Easement Area that is inconsistent with the purposes of this Conservation Easement and to require the restoration of such areas or features of the Conservation Easement Area that may be damaged by such activity or use. Upon any breach of the terms of this Conservation Easement by Grantor that comes to the attention of the Grantee, the Grantee shall notify the Grantor in writing of such breach. The Grantor shall have 30 days after receipt of such notice to correct the conditions constituting such breach. If the breach remains uncured after 30 days, the Grantee may enforce this Conservation Easement by appropriate legal proceedings including damages, injunctive and other relief. Notwithstanding the foregoing, the Grantee reserves the immediate right, 4 without notice, to obtain a temporary restraining order, injunctive or other appropriate relief if the breach of. the term of this Conservation Easement is or would irreversibly or otherwise materially impair the benefits to be derived from this Conservation Easement. The Grantor and Grantee acknowledge that under such circumstances damage to the Grantee would be irreparable and remedies at law will be inadequate. The rights and remedies of the Grantee provided hereunder shall be in addition to, and not in lieu of, all other rights and remedies available to Grantee in connection with this Conservation Easement. The costs of a breach, correction or restoration, including the Grantee's expenses, court costs, and attorneys' fees, shall be paid by Grantor, provided Grantor is determined to be responsible for the breach. NCDWR shall have the same right to enforce the terms and conditions of this easement as the Grantee. B. No failure on the part of the Grantee to enforce any covenant or provision hereof shall discharge or invalidate such covenant or any other covenant, condition, or provision hereof or affect the right to Grantee to enforce the same in the event of a subsequent breach or default. C. Nothing contained in this Conservation Easement shall be construed to entitle Grantee to bring any action against Grantor for any injury or change in the Conservation Easement Area resulting from causes beyond the Grantor's control, including, without limitation, fire, flood, storm, war, acts of God or third parties, except Grantor's lessees or invitees; or from any prudent action taken in good faith by Grantor under emergency conditions to prevent, abate, or mitigate significant injury to life, damage to Conservation Easement Area or harm to the Conservation Easement Area resulting from such causes. ARTICLE VI MISCELLANEOUS A. Warranty. Grantor warrants, covenants and represents that it owns the Property in fee simple, and that Grantor either owns all interests in the Property which may be impaired by the granting of this Conservation Easement or that there are no outstanding mortgages, tax liens, encumbrances, or other interests in the Property which have not been expressly subordinated to this Conservation Easement. Grantor further warrants that Grantee shall have the use of and enjoy all the benefits derived from and arising out of this Conservation Easement, and that Grantor will warrant and defend title to the Property against the claims of all persons. B. Subsequent Transfers. The Grantor agrees to incorporate the terms of this Conservation Easement in any deed or other legal instrument that transfers any interest in all or a portion of the Conservation Easement Area. The Grantor agrees to provide written notice to the Grantee of such transfer at least thirty (30) days prior to the date of the transfer. The Grantor and Grantee agree that the terms of this Conservation Easement shall survive any merger of the fee and easement interests in the Conservation Easement Area or any portion thereof and shall not be amended, modified or terminated without the prior written consent and approval of NCDWR. C. Assignment. The parties recognize and agree that the benefits of this Conservation Easement are in gross and assignable provided, however that the Grantee hereby covenants and agrees, that in the event it transfers or assigns this Conservation Easement, the organization receiving the interest will be a qualified holder under N.C. Gen. Stat. § 121-34 et seq. and § 170(h) of the Internal Revenue Code, and the Grantee further covenants and agrees that the terms of the transfer or assignment will be such that the transferee or assignee will be required to continue in perpetuity the conservation purposes described in this document. D. Entire Agreement and Severability. This instrument sets forth the entire agreement of the parties with respect to the Conservation Easement and supersedes all prior discussions, negotiations, understandings or agreements relating to the Conservation Easement. If any provision is found to be void or unenforceable by a court of competent jurisdiction, the remainder shall continue in full force and effect. E. Obligations of Ownership. Grantor is responsible for any real estate taxes, assessments, fees, or charges levied upon the Property. Grantor shall keep the Property free of any liens or other encumbrances for obligations incurred by Grantor. Grantee shall not be responsible for any costs or liability of any kind related to the ownership, operation, insurance, upkeep, or maintenance of the Property, except as expressly provided herein. Nothing herein shall relieve the Grantor of the obligation to comply with federal, state or local laws, regulations and permits that may apply to the exercise of the Reserved Rights. F. Extinguishment. In the event that changed conditions render impossible the continued use of the Conservation Easement Area for the conservation purposes, this Conservation Easement may only be extinguished, in whole or in part, by judicial proceeding. G. Eminent Domain. Whenever all or part of the Conservation Easement Area is taken in the exercise of eminent domain so as to substantially abrogate the Restrictions imposed by this Conservation Easement, Grantor and Grantee shall join in appropriate actions at the time of such taking to recover the full value of the taking, and all incidental and direct damages due to the taking. H. Proceeds. This Conservation Easement constitutes a real property interest immediately vested in Grantee. In the event that all or a portion of this Conservation Easement Area is sold, exchanged, or involuntarily converted following an extinguishment or the exercise of eminent domain, Grantee shall be entitled to the fair market value of this Conservation Easement. The parties stipulate that the fair market value of this Conservation Easement shall be determined by multiplying the fair market value of the Conservation Easement Area unencumbered by this Conservation Easement (minus any increase in value after the date of this grant attributable to improvements) by the ratio of the value of this easement at the time of this grant to the value of the Conservation Easement Area (without deduction for the value of this Conservation Easement) at the time of this grant. The values at the time of this grant shall be the values used, or which would have been used, to calculate a deduction for federal income tax purposes, pursuant to Section 170(h) of the Internal Revenue Code (whether eligible or ineligible for such a deduction).
