In response to your renewal application for continued coverage under stormwater General Permit NCG060000
the Division of Water Quality (DWQ) is forwarding herewith the reissued General Permit. This permit is
reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of
Agreement between the state of North Carolina and the U.S. Environmental Protection Agency, dated October
15, 2007 (or as subsequently amended).
The following information is included with your permit package:
• A new Certificate of Coverage (COC)
• A copy of General Permit NCG060000
• A copy of the Technical Bulletin for the General Permit
• Two copies of the Discharge Monitoring Report (DMR) Form
• Two copies of the Qualitative Monitoring Report Form
The General Permit authorizes discharges of stormwater, and it specifies your obligations for discharge
controls, management, monitoring, and record keeping. Please review the new permit to familiarize yourself
with all the changes in the reissued permit. Your facility has six (6) months from the time of receipt of the
permit to update your current SPPP to reflect all new permit requirements.
The first sample period of your permit begins January 1, 2013. Your facility must sample a "measureable
storm event" beginning during the periods beginning January 1 and July 1 of every year (or, if applicable,
report "No Flow," as outlined in Part III, Section E). Also, please note that Tier 3 Actions in Part II of your
permit are triggered by benchmark exceedances on four occasions beginning on the effective date of this
permit and do not count prior exceedances.
The more significant changes in the General Permit since your last COC was issued are noted either in the
Draft Permit Fact Sheet that accompanied the public notice (http://portal.ncdenr.org/web/wq/ws/su/current-
notices), or in the Response to Comments / Summary of Changes and Technical Bulletin documents that are

Some of the changes include:
• Part II:
• Section A: The Stormwater Pollution Prevention Plan (SPPP) section, if applicable, has been updated
to the most current language of our permits. Additional conditions for specific industry sectors have
been added to the SPPP requirements in some cases.
• Sections B, C: Failure to perform analytical stormwater monitoring may result in the Division requiring
that the permittee begin a monthly sampling scheme.
• Sections B, C: A lower TSS benchmark of 50 mg/I for HQW, ORW, PNA and Tr Waters applies to these
more sensitive waters.
• Sections B, C. The monitoring parameter Oil & Grease (0&G) has been replaced by the parameter
Total Petroleum Hydrocarbons (TPH) for vehicle maintenance areas, and in some cases, other
analytical monitoring requirements.
• Sections B, C, D: Inability to sample due to adverse weather must be recorded in the SPPP, or in
separate on -site records if your General Permit does not require an SPPP. Adverse weather is defined
in the "Definitions" section of the permit.
• Sections B, C: The term "Representative Storm Event" has been replaced by "Measurable Storm
Event." A measurable storm event is defined in the permit.
• Section D: If the permittee fails to respond effectively to problems identified by qualitative
monitoring, DWQ may require the permittee to perform corrective action.
Please review Parts III and IV to understand the Standard Conditions of your new NPDES General Permit,
including Compliance and Liability, Reporting, Monitoring and Records requirements; Operation and
Maintenance obligations; and Definitions. Please note that all samples analyzed in accordance with the terms
of this permit must be submitted to,the Division on Discharge Monitoring Report (DMR) forms available on
the Stormwater Permitting Unit's website above. DMR forms must be delivered to the Division no later than
30 days from the date the facility receives the sampling results from the laboratory. Also note that existing
permittees do not need to submit a renewal request prior to expiration unless directed by the Division.
Your coverage under the General Permit is transferable only through the specific action of DWQ. This permit
does not affect the legal requirements to obtain other permits which may be required by DENR, nor does it
relieve the permittee from responsibility for compliance with any other applicable federal, state, or local law,

Dear Mr. Hedrick:
Ron Boone of the Winston-Salem Regional Office of the NC Division of Water Quality (DWQ) and
William Baugher, City of Winston-Salem Stormwater Inspector, conducted a compliance evaluation inspection
(CEI) at the subject facility on February 16, 2012. The assistance and cooperation of the following Corn
Products personnel was greatly appreciated: Bruce Hedrick, Sandy Warwick, Mark Jordan, Don Green and
Gary Smith. An inspection checklist is attached for your records and the inspection findings are summarized
below.
The facility is located at 4501 Overdale Road, in Winston-Salem, Forsyth County, North Carolina, at
approximate coordinates 36.031944°,-80.229167°. Stormwater related to industrial activity is discharged from
the site via stormwater discharge outfall (SDO) 001, which is located at approximate coordinates 36.029615', -
80.229366°, to South Fork Muddy Creek, which is currently classified as a Class C waters located in the
Yadkin Pee Dee River Basin.
Documentation & Monitoring Review
This part of the inspection was performed by Mr. Boone. The facility has an excellent Stormwater
Pollution Prevention Plan (SP3) and it is currently being completely implemented. Mr. Boone found only minor
deficiencies in the SP3 document as listed below:
a. The site is unique in that all stormwater drains to a retention pond located on the south side of the
facility. Discharges from the pond are normally manually controlled by a valve on the discharge
pipe and water contained in the pond in tested for Chemical Oxygen Demand (COD) prior to being
released. This somewhat eliminates the requirement to certify SDOs as required in Part 11, Section
A, Paragraph 1(e) and Part II, Section A, Paragraph 7, of the general permit. However, Mr. Boone
suggested, in lieu of this requirement, to add a line item to the facility's semi-annual stormwater
inspection form to identify and eliminate any illicit discharges from within the facility that may drain
to the pond. Mr. Hedrick agreed to add the line item to their inspection forms.
b. It is suggested that you add our phone numbers to your Spill Prevention and Response Plan
(SPRP). During normal business hours (M-F, 8AM -- 5PM) you can report spills to the Winston -

c. Mr. Hedrick indicated that the SP3 is reviewed annually but the reviews are not documented. As
mentioned earlier, the facility has an excellent SP3 and Mr. Boone has no reason to believe the
document is not reviewed annually. Please begin annotating the annual SP3 review and keep the
records in the SP3 document. This is required by Part II, Section A, Paragraph 7, of the general
permit.
The facility has conducted all analytical and qualitative monitoring as required. No exceedences of
benchmark values have been reported to date:
Site Review
This part of the inspection was performed by Mr. Baugher. His comments were that the facility was
very organized and well run. Mr. Baugher's only suggestion was for the facility to conduct a feasibility study for
the wood loading area to better ensure that excess wood does not escape the area and enter the retention
pond.
In conclusion, Mr. Boone expressed that he thinks you are doing an excellent job. Please continue
your hard work and effort to maintain an exceptional SP3 and stormwater pollution prevention program.
However, please correct the minor deficiencies identified above as soon as possible.

AMENDED AND RESTATED CERTIFICATE OF INCORPORATION
OF
CORN PRODUCTS INTERNATIONAL, INC.
FIRST: The name of the Corporation is Corn Products International, Inc.
SECOND: The address of the Corporation's registered office in the State of Delaware is
1209 Orange Street, City of Wilmington, County of New Castle. The name of the Corporation's
registered agent at such address is The Corporation Trust Company.
THIRD: The purpose of the Corporation is to engage in any lawful act or activity for which
corporations may be organized under the General Corporation Law of the State of Delaware.
FOURTH: The total number of shares of all classes of stock which the Corporation shall have
authority to issue is 225,000,000 shares, consisting of

Board of Directors pursuant to this paragraph. At the first election of directors following adoption of
this Amended and Restated Certificate of Incorporation, Class I directors shall be elected for it one-
year term, Class 11 directors for a two-year term and Class III directors for it three-year term. At each
annual meeting of stockholders beginning in 1998, successors to the directors in the class whose term
expires at that annual meeting shall be elected for a three-year term. If the number of directors is
changed, any increase or decrease shall be apportioned among the classes so as to maintain the number
of directors in each class as nearly equal as possible, and any additional director of any class elected to
fill a vacancy resulting from an increase in such class shall hold office for the remaining term of (hat
class, but in no case will it decrease in the number of directors shorten the term of any incumbent
director. A director shall hold office until the annual meeting for the year in which his or her term
expires and until his or her successor shall be elected and shall qualify, subject, however, to prior death,
resignation, retirement, disqualification or removal from office. Subject to the rights of the holders of
any one or more classes or series of ['referred Stock issued by the Corporation, any director, or the
entire Board of Directors, may be removed from office at any time, but only for cause and only by the
affirmative vote of the holders of- not less than a majority of the voting power of all of- the outstanding
shares of capital stock of the Corporation entitled to vote generally in the election of directors,
considered for purposes of this sentence as a single class. Any vacancy in the Board of Directors that
results from an increase in the number of directors may be filled by a majority of the directors then in
office, provided that a quorum is present, and any other vacancy may he filled by it majority of the
directors then in office, even if less than a quorum, or by a sole remaining director. Any director elected
to fill a vacancy not resulting from an increase in the number of directors shall hold office for the
remaining term of his or her predecessor.
Notwithstanding the foregoing, whenever the holders of any one or more classes or series of
Preferred Stock issued by the Corporation shall have the right, voting separately by class or series, to
elect directors at an annual or special meeting of stockholders, the number of such directors and the
election, term of office, filling of vacancies and other features of such directorships shall be governed by
the provisions of Article FOURTH of this Certificate of Incorporation and any resolution or resolutions
adopted by the Board of Directors pursuant thereto, and such directors shall not be divided into classes
unless expressly so provided therein.
NINTH: No action required to be taken or which may be taken at any annual or special meeting of
stockholders of the Corporation may be taken without a meeting, unless a consent in writing, setting
forth the action so taken, shall be signed by all the stockholders of the Corporation entitled to vote
thereon.

TENTH: A director of the Corporation shall not he personally liable to the Corporation or its
stockholders for monetary damages for breach of fiduciary duty as a director, except for liability (i) for
any breach of the director's duty of loyalty to the Corporation or its stockholders, (ii) for acts or
omissions not in good faith or which involve intentional misconduct or a knowing violation of law,
(iii) for payment of an improper dividend, or for an improper repurchase or redemption of the stock of
the Corporation, in violation of Section 174 of the Delaware General Corporation Law, or (iv) for any
transaction from which the director derived an improper personal benefit. If the Delaware General
Corporation Law is amended after the effective date of this Article TENTH to further eliminate or
limit, or to authorize further elimination or limitation of, the personal liability of directors for breach of
fiduciary duty as a director, then the personal liability of a director to this Corporation or its
stockholders shall be eliminated or limited to the full extent permitted by the Delaware General
Corporation Law, as so amended. For purposes of this Article TENTH, "fiduciary duty as a director"
shall include any fiduciary duty arising out of serving at the request of the Corporation as a director of
another corporation. partnership, joint venture, trust or other enterprise, and " personaliv liable to the
Corporation" shall include any liability to such other corporation, partnership. joint venture, trust or
other enterprise, and any liability to this Corporation in its capacity as a security holder, joint venturer,
partner, beneficiary, creditor or investor of or in any such other corporation. partnership, joint venture,
trust or other enterprise.
ELEVENTH: Except as otherwise provided in this Amended and Restated Certificate of
Incorporation, the Board of Directors shall have authority to authorize the issuance, frorn time to time
without any vote or other action by the stockholders, of any or all shares of stock of the Corporation of
any class at any time authorized, any securities convertible into or exchangeable for any such shares so
authorized, and any warrant, option or right to purchase. subscribe for or otherwise acquire, shares of
stock of the Corporation for any such consideration and on such terms as the Board of Directors from
time to. time in its discretion lawfully may determine, which terms and conditions may include, without
limitation. restrictions or conditions that preclude or limit the exercise, transfer or receipt thereof or
that invalidate or void any such securities, warrants, options or rights, provided, however, that the
consideration for the issuance of shares of stock of the Corporation having par value shall not he less
than such par value. Stock so issued, for which the consideration has been paid to the Corporation, shall
be fully paid stock. and the holders of' such stock shall not be liable to any further call or assessments

TWELFTH: In addition to any other considerations which the Board of Directors may lawfully

Certificate of Incorporation (the "Certificate of Incorporation"), it series of the preferred stock, par
value $0.01 per share. of the Corporation be. and it hereby is. created. and that the designation and
amount thereof and the preferences. limitations and relative rights thereof are determined to he as
follows:
SECTION L Designation and Amount. The shares of such series shall be designated as "Series A
Junior Participating Preferred Stock" and the number of shares constituting such series shall initially be
600,000, par value $0.01 per share, such number of shares to he subject to increase or decrease by action
of the Board of Directors as evidenced by it certificate of designation; provided, however, that no such
decrease shall reduce the number of authorized shares of the Series A Junior Participating Preferred

SFCrIo,,N 2. Dividends and Distrihuliurrs.
(A) Subject to the prior and superior rights of the holders of any shares of any series of Preferred
Stock ranking prior and superior to the shares of Series A Junior Participating Preferred Stock with
respect to dividends, the holders of shares of Series A Junior Participating Preferred Stock, in
preference to the holders of the shares of Common Stock. par value $0.01 per share, of the Corporation
(the "Common Stock") and of any other class of capital stock of the Corporation ranking, junior to the
Series A Junior Participating Preferred Stock with respect to dividends, shall be entitled to receive,
when, as and if declared by the Board of Directors out of funds legally available for the purpose,
quarterly dividends payable in cash on the last day of March. June. September and December in each
year (each such date heing referred to herein as a "Quarterly Dividend Payment Date"), commencing
on the first Quarterly Dividend Payment Date after the first issuance of a share or fraction of a share of
Series A Junior Participating Preferred Stock. in an ►mount per share (rounded to the nearest cent)
equal to the greater of (a) $5,00 and (b) subject to the provision for adjustment hereinafter set forth,
100 times the aggregate per share amount of all cash dividends, and 100 times the aggregate per share
amount (payable in kind) of all non -cash dividends or other distributions other than a dividend payable
in shares of Common Stock or it subdivision of the outstanding shares of Common Stock (by
reclassification or otherwise), declared on the Common Stock since the immediately preceding
Quarterly Dividend Payment Date, or, with respect to the first Quarterly Dividend Payment Date, since
the first issuance of any share or fraction of a share of Series A Junior Participating Preferred Stock. In
the event the Corporation shall at any time after September 19, 1997 (the "Rights Declaration Datc"),
other tha❑ in connection with the distribution (the '-Distribution") of shares of Common Stock to the
holders of common stock, par value $025 per share, of CPC International Inc., (1) declare any dividend
on Common Stock payable in shares of Common Stock, (ii) subdivide the outstanding Common Stock,
or (iii) combine the outstanding Common Stock into it smaller number of shares, or (iv) effect a
reclassification of its outstanding Common Stock, then in each such case the amount to which holders of

shares of Series A Junior Participating Preferred Stock were entitled immediately prior to such event
under clause (b) of the preceding sentence shall be adjusted by multiplying such amount by a fraction
the numerator of which is the number of shares of Common Stock outstanding immediately after such
event and the denominator of which is the number of shares of Common Stock that were outstanding
immediately prior to such event.
(B) The Corporation shall declare, out of funds legally available therefor, a dividend or distribution
on the Series A Junior Participating Preferred Stock as provided in paragraph (A) above immediately
after it declares a dividend or distribution on the Common Stock (other than a dividend payable in
shares of Common Stock); provided that, in the event no dividend or distribution shall have been
declared on the Common Stock during the period between any Quarterly Dividend Payment Date and
the next subsequent Quarterly Dividend Payment Date, a dividend of $5.00 per share on the Series A
Junior Participating Preferred Stock shall nevertheless be payable on such subsequent Quarterly
Dividend Payment Date.
(C) Dividends shall begin to accrue and be cumulative on outstanding shares of Series A Junior
Participating Preferred Stock from the Quarterly Dividend Payment Date next preceding the date of
issue of such shares of Series A Junior Participating Preferred Stock, unless the date of issue of such
shares is prior to the record date for the first Quarterly Dividend Payment Date, in which case
dividends on such shares shall begin to accrue and be cumulative from the date of issue of such shares,
or unless the date of issue is a Quarterly Dividend Payment Date or is a date after the record date for
the determination of holders of shares of Series A ,Junior Participating Preferred Stock entitled to
receive a quarterly dividend and before such Quarterly Dividend Payment Date, in either of which
events such dividends shall begin to accrue and be cumulative from such Quarterly Dividend Payment
Date. Accrued but unpaid dividends shall not bear interest. Dividends paid on the shares of Series A
Junior Participating Preferred Stock in an amount less than the total amount of such dividends at the
time accrued and payable on such shares shall be allocated pro rata on a share -by -share basis among all
such shares at the time outstanding. The Board of Directors may fix a record date for the determination
of holders of shares of Series A Junior Participating Preferred Stock entitled to receive payment of a
dividend or distribution declared thereon, which record date shall be no more than 30 days prior to the
date fixed for the payment thereof.
SEC1lON 3. Voting Rights. In addition to any other voting rights required by applicable law, the
holders of shares of Series A Junior Participating Preferred Stock shall have the following voting rights:
(A) Subject to the provision for adjustment hereinafter set forth, each share of Series A Junior
Participating Preferred Stock shall entitle the holder thereof to 100 votes on all matters submitted to a
vote of the stockholders of the Corporation. In the event the Corporation shall at any time after the
Rights Declaration Date, other than in connection with the Distribution, (i) declare any dividend on
Common Stock payable in shares of Common Stock, (ii) subdivide the outstanding Common Stock, or
(iii) combine the outstanding Common Stock into a smaller number of shares, or (iv) effect a
reclassification of its outstanding Common Stock, then in each such case the number of votes per share
to which holders of shares of Series A Junior Participating Preferred Stock were entitled immediately
prior to such event shall be adjusted by multiplying such number by a fraction the numerator of which is
the number of shares of Common Stock outstanding immediately after such event and the denominator
of which is the number of shares of Common Stock that were outstanding immediately prior to such
event.
(B) Except as otherwise provided herein or by law, the holders of shares of Series A Junior
Participating Preferred Stock, the holders of shares of Common Stock and the holders of any other
capital stock of the Corporation having general voting rights shall vote together as one class on all
matters submitted to a vote of stockholders of the Corporation.
(C) (i) If at any time dividends on any Series A Junior Participating Preferred Stock shall be in
arrears in an amount equal to six (6) quarterly dividends thereon, the occurrence of such contingency
shall mark the beginning of a period (herein called a "default period") which shall extend until such
time when all accrued and unpaid dividends for all previous quarterly dividend periods and for the
current quarterly dividend period on all shares of Series A Junior Participating Preferred Stock then
outstanding shall have been declared and paid or set apart for payment. During each default period, all

holders of Preferred Stock (including holders of the Series A Junior Participating Preferred Stock) with
dividends in arrears in an amount equal to six (6) quarterly dividends thereon, voting as a class,
irrespective of series, shall have the right to elect two (2) directors.
(ii) During any default period, such voting right of the holders of Series A Junior Participating
Preferred Stock may be exercised initially at a special meeting called pursuant to subparagraph (iii) of
this Section 3(C) or at any annual meeting of stockholders, and thereafter at annual meetings of
stockholders, provided that neither such voting right nor the right of the holders of any other series of
Preferred Stock, if any, to increase, in certain cases, the authorized number of directors shall be
exercised unless the holders of ten percent in number of shares of Preferred Stock outstanding shall be
present in person or by proxy. The absence of a quorum of the holders of Common Stock shall not
affect the exercise by the holders of Preferred Stock of such voting right. At any meeting at which the
holders of Preferred Stock shall exercise such voting right initially during an existing default period,
they shall have the right, voting as a class, to elect directors to fill such vacancies, if any, in the Board of
Directors as may then exist up to two (2) directors or, if such right is exercised at an annual meeting, to
elect two (2) directors. If' the number which may be so elected at any special meeting does not amount
to the required number, the holders of the Preferred Stock shall have the right to make such increase in
the number of directors as shall be necessary to permit the election by them of the required number.
After the holders of the Preferred Stock shall have exercised their right to elect directors in any default
period and during the continuance of such period, the number of directors shall not he increased or
decreased except by vote of the holders of Preferred Stock as herein provided or pursuant to the rights
of any equity securities ranking senior to or pari passu with the Series A Junior Participating Preferred
Stock.
(iii) Unless the holders of Preferred Stock shall, during an existing default period. have previously
exercised their right to elect directors, the Board of Directors may order, or any stockholder or
stockholders owning in the aggregate not less than ten percent ( 10%) of the total number of shares of
Preferred Stock outstanding, irrespective of" series, may request, the calling of a special meeting of the
holders of Preferred Stock, which meeting shall thereupon be called by the President, a Vice -President
or the Secretary of the Corporation. Notice of such meeting and of any annual meeting at which holders
of Preferred Stock are entitled to vote pursuant to this paragraph (C)(iii) shall be given to each holder
of record of Preferred Stock by mailing it copy of such notice to such holder at such holder's last address
as the same appears on the books of the Corporation. Such meeting shall be called fora time not earlier
than 20 days and not later than 60 days after such order or request or in default of the calling of such
meeting within 60 days after such order or request, and notwithstanding Article III Section 2 of the
Corporation's By-laws, such meeting may be called on similar notice by any stockholder or stockholders
owning in the aggregate not less than ten percent (10%) of the total number of shares of Preferred
Stock outstanding. Notwithstanding the provisions of this paragraph (C)(iii), no such special meeting
shall be called during the period within 60 days immediately preceding the date fixed for the next
annual meeting of the stockholders.
(iv) In any default period, the holders of Common Stock, and other classes of stock of the
Corporation if applicable, shall continue to be entitled to elect the whole number of directors until the
holders of Preferred Stock shall have exercised their right to elect two (2) directors voting as a class,
after the exercise of which right (x) the directors so elected by the holders of Preferred Stock shall
continue in office until their successors shall have been elected by such holders or until the expiration of
the default period, and (y) any vacancy in the Board of Directors may (except as provided in paragraph
(C)(ii) of this Section 3) be filled by vote of a majority of the remaining directors theretofore elected by
the holders of the class of stock which elected the director whose office shall have become vacant.
References in this paragraph (C) to directors elected by the holders of it particular class of stock shall
include directors elected by such directors to fill vacancies as provided in clause (y) of the foregoing
sentence.
(v) Immediately upon the expiration of a default period. (x) the right of the holders of Preferred
Stock as it class to elect directors shall cease, (y) the term of any directors elected by the holders of
Preferred Stock as a class shall terminate. and (z) the number of directors shall be such number as may
be provided for in the Certificate of Incorporation or By-laws irrespective of any increase made

pursuant to the provisions of paragraph (C)(ii) of this Section 3 (such number being subject, however, to
change thereafter i❑ any manner provided by law or in the Certificate of Incorporation or By-laws).
Any vacancies in the Board of Directors effected by the provisions of" clauses (y) and (z) in the
preceding sentence may be filled by a majority of the remaining directors.
(D) Except as set forth herein, holders of Series A Junior Participating Preferred Stock shall have
no special voting rights and their consent shall not be required (except to the extent they are entitled to
vote with holders of Common Stock as set forth herein) for faking any corporate action.
SECTION 4. Cerf ain Restrictions.
(A) Whenever quarterly dividends or other dividends or distributions payable on the Series A
Junior Participating Preferred Stock as provided in Section 2 are in arrears, thereafter- and until all
accrued and unpaid dividends and distributions, whether or not declared, on shares of Series A Junior
Participating Preferred Stock outstanding shall have been paid in full, the Corporation shall not:
(i) declare or pay dividends on, make any other distributions on, or redeem or purchase or
otherwise acquire for considcration any shares of stock ranking junior (either as to dividends or upon
liquidation, dissolution or winding -up) to the Series A Junior Participating Preferred Stock,
(ii) declare or pay dividends on or make any other distributions on any shares of stock ranking on a
parity (either as to dividends or upon liquidation, dissolution or winding -up) with the Series A .Junior
Participating Preferred Stock. except dividends paid ratably on the Series A Junior Participating
Preferred Stock and all such parity stock on which dividends are payable or in arrears in proportion to
the total amounts to which the holders of all such shares are then entitled:
(iii) redeem or purchase or otherwise acquire for consideration shares of any stock ranking junior
(either as to dividends or upon liquidation, dissolution or winding -up) to the Series A Junior
Participating Preferred Stock, provided that the Corporation may at any time redeem, purchase or
otherwise acquire shares of any such junior stock in exchange for shares of any stock of the Corporation
ranking junior (both as to dividends or upon dissolution, liquidation or winding -up) to the Series A
Junior Participating Preferred Stock; or
(iv) purchase or otherwise acquire for considcration any shares of Series A Junior Participating
11'ref'crred Stock. or any shares of stock ranking on a parity (either as to dividends, or upon liquidation,
dissolution or winding -up) with the Series A Junior Participating Preferred Stock or redeem any shares
Of such parity stock, except in accordance with a purchase offer made in writing or by publication (as
dctermincd by the Board of Directors) to all holders of such shares upon such terms as the Board of
Directors, after consideration of the respective annual dividend rates and other relative rights and
preferences of the respective series and classes, shall determine in good faith will result in fair and
equitable treatment among the respective series or classes.
(13) The Corporation shall not permit any subsidiary of the Corporation to purchase or otherwise
acquire for consideration any shares of stock of the Corporation unless the Corporation could, under
paragraph (A) of this Section 4, purchase or otherwise acquire such shares at such time and in such
manner.
SECTION 5. Reacquired Shares.
Any shares of Series A Junior Participating Preferred Stock purchased or otherwise acquired by
the Corporation in any manner whatsoever shall be retired and canceled promptly after such purchase
or acquisition. All such shares shall upon their cancellation become authorized but unissued shares of
Preferred Stock and may he reissued as part of a new series of Preferred Stock to he created by
resolution or resolutions of the Board of Directors. subject to the conditions and restrictions on issuance
set forth herein.
SECTION 6. Liquidation, Dissolution or Windirig Up.
(A) Upon any liquidation (voluntary or otherwise), dissolution or winding up of the Corporation,
no distribution shall be made to the holders of shares of stock ranking junior (either as to dividends or
upon liquidation, dissolution or winding up) to the Series A Junior Participating Preferred Stock unless,
prior thereto. the holders of shares of Series A Junior Participating Preferred Stock shall have received
$10.00 per share, plus an amount equal to accrued and unpaid dividends and distributions thereon,

whether or not declared. to the date of such payment (the "Series A Liquidation Preference").
Following the payment of the full amount of the Series A Liquidation Preference, no additional
distributions shall be made to the holders of shares of Series A Junior Participating Preferred Stock
unless, prior thereto, the holders of shares of Common Stock shall have received an amount per share
(the "Common Adjustment") equal to the quotient obtained by dividing (i) the Series A Liquidation
Preference by (ii) 100 (as appropriately adjusted as set forth in subparagraph (C) below to reflect such
events as stock splits, stock dividends and recapitalizations with respect to the Common Stock) (such
number in clause (ii), the "Adjustment Number"). Following the payment of the full amount of the
Series A Liquidation Preference and the Common Adjustment in respect of all outstanding shares of
Series A Junior Participating Preferred Stock and Common Stock, respectively, holders of Series A
Junior Participating Preferred Stock and holders of shares of Common Stock shall receive their ratable
and proportionate share of the remaining assets to be distributed in the ratio of the Adjustment
Number to 1 with respect to such Preferred Stock and Common Stock, on a per share basis,
respectively.
(B) In the event, however, that there are not sufficient assets available to permit payment in full of
the Series A Liquidation Preference and the liquidation preferences of all other series of preferred
stock, if any, which rank on a parity with the Series A Junior Participating Preferred Stock, then such
remaining assets shall be distributed ratably to the holders of" such parity shares in proportion to their
respective liquidation preferences. In the event, however, that there are not sufficient assets available to
permit payment in full of the Common Adjustment, then such remaining assets shall be distributed
ratably to the holders of Common Stock.
(C) In the event the Corporation shall at any time after the Rights Declaration Dale, other than in
connection with the Distribution, (i) declare any dividend on Common Stock payable in shares of
Common Stock, (ii) subdivide the outstanding Common Stock, or (iii) combine the outstanding
Common Stock into a smaller number of shares, or (iv) effect a reclassification of its outstanding
Common Stock, then in each such case the Adjustment Number in effect immediately prior to such
event shall be adjusted by multiplying such Adjustment Number by a fraction the numerator of which is
the number of shares of Common Stock outstanding immediately after such event and the denominator
of which is the number of shares of Common Stock that were outstanding immediately prior to such
event.
S►-Cr►ON 7. Consolidation, Merger, etc. In case the Corporation shall enter into any consolidation,
merger, combination or other transaction in which the shares of Common Stock are exchanged for or
changed into other stock or securities, cash and/or any other property, then in any such case the shares
of Series A Junior Participating Preferred Stock shall at the same time be similarly exchanged or
changed into an amount per share (subject to the provision for adjustment hereinafter set forth) equal
to 100 times the aggregate amount of stock, securities, cash and/or any other property (payable in kind),
as the case may be, into which or for which each share of Common Stock is changed or exchanged. In
the event the Corporation shall at any time after the Rights Declaration Date, other than in connection
with the Distribution, (i) declare any dividend on Common Stock payable in shares of Common Stock,
(ii) subdivide the outstanding Common Stock, or (iii) combine the outstanding Common Stock into a
smaller number of shares, or (iv) effect a reclassification of its outstanding Common Stock, then in each
such case the amount set forth in the preceding sentence with respect to the exchange or change of
shares of Series A Junior Participating Preferred Stock shall be adjusted by multiplying such amount by
a fraction the numerator of which is the number of shares of Common Stock outstanding immediately
after such event and the denominator of which is the number of shares of Common Stock that were
outstanding immediately prior to such event.
SECTION S. No Redemption. The shares of Series A Junior Participating Preferred Stock shall not
be redeemable.
SECTION 9. Ranking. The Series A Junior Participating Preferred Stock shall rank junior to all
other series of the Corporation's Preferred Stock as to the payment of dividends and the distribution of
assets, unless the terms of any such series shall provide otherwise.
SECTION 10. Amendment. The Certificate of Incorporation of the Corporation shall not be further
amended in any manner which would materially alter or change the powers, preferences or special

rights of the Series A Junior Participating Preferred Stock so as to affect them adversely without the
affirmative vote of' the holders of two-thirds (2/1) or more of the outstanding shares of Series A Junior
Participating Preferred Stock, voting separately as a class.
SECTION 11. Fraciional Shares. Series A Junior Participating Preferred Stock may be issued in
fractions of a share which shall entitle the holder, in proportion to such holder's fractional shares, to
exercise voting rights, receive dividends, participate in distributions and to have the benefit of all other
rights of holders of Series A Junior Participating Preferred Stock.

In accordance with your application for discharge permit received on October 1, 1992, we are
forwarding herewith the subject certificate of coverage to discharge under the subject state - NPDES general
permit. This permit is issued pursuant to the requirements of North Carolina General Statute 143-215 .1 and the
Memorandum of Agreement between North Carolina and the US Environmental Protection agency dated
December 6, 1983.
If any parts, measurement frequencies or sampling requirements contained in this permit are
unacceptable to you, you have the right to request an individual permit by submitting an individual permit
application. Unless such demand is made, this certificate of coverage shall be final and binding.
Please take notice that this certificate of coverage is not transferable except after notice to the Division
of Environmental Management. The Division of Environmental Management may require modification or
revocation and reissuance of the certificate of coverage.
This permit does not affect the legal requirements to obtain other permits which may be required by the
Division of Environmental Management or permits required by the Division of Land Resources, Coastal Area
Management Act or any other Federal or Local governmental permit that may be required.

In compliance with the provision of North Carolina General Statute 143-215.1, other lawful standards and
regulations promulgated and adopted by the North Carolina Environmental Management Commission, and the
Federal Water Pollution Control Act, as amended,

is hereby authorized to discharge stormwater from a facility located at
Corn Products
4501 Overdale Road
Winston-Salem
Forsyth County
to receiving waters designated as South Fork Muddy Creek in the Yadkin -Pee Dee River Basin
in accordance with the effluent limitations, monitoring requirements, and other conditions set forth in Parts I, II, III
and IV of General Permit No. NCG060000 as attached.
This certificate of coverage shall become effective April 30, 1993.
This Certificate of Coverage shall remain in effect for the duration of the General Permit.

I. Best management Practices
A. List the non/structural controls employgd by the facility:
1.BMP
1. Stormwater Retention pond, the enter facility drains into the retention pond.
2. 2x 6000 gallons containment basins that collect waste water and moves it to a
holding tank. Has tag out / lockout for each.
3. Loading and unloading areas are all covered and cleaned daily.
4. 6 contracted personal that does all grounds cleanup. Using street cleaners, and
vacuum truck to sweep up spillage.
B. Are the BMPs reasonable & appropriate for the facility: ,Yes No
C. Are BMPs installed correctly, maintained, and effective operation condition: yes No
2. Provide a brief description of other controls that manage/prevent/minimize stormwater
runoff (e. g., erosion and sediment controls, inlet protection/control at storm drains, diversion
structures):
1.Wood conveyor belt loading is in a holding area to keep loose piratical in place.
2.Feasibility study should be done for wood loading area to ensure that excess wood does
not escape form it holding area into the retention pond.
3.Coal ben is sloped to ensure coal unloading stays in place.
4.Fuel storage area is covered and has a containment area to prevent hydrocarbons from
escaping.
5.Spill kits are in designated places.
6.lnlet protection in high particle areas to limit exposure.
3. Facility was very organized, well run facility with active which would be expected of this type of
operations and material on site.
