WITNESSETH, that the Grantor, for a valuable consideration paid by the Grantee, the receipt of which, hereby
acknowledged, has and by these presents does grant, bargain, sell and convey unto the Grantee In fee simple, all

The property hereinabove described was acquired by Grantor by instrument recorded in Book 266, Page 62% Sianly
County Registry.
TO HAVE AND TO HOLD the aforesaid lot or parcel of land and all privileges and appurtenances thereto belonging to
the Grantee In fee simple.
And the Grantor covenants with the Grantee, that Grantor is seized of the premises In fee simple, has the right to
convey the same in fee simple, that title is marketable and free and clear of all encumbrances, and that Grantor will
warrant and defend the title against the lawful claims of all persons whomsoever except for the exceptions
hereinafter stated. Title to the property hereinabove described is subject to the following exceptions:
This conveyance is made subject to all restrictive covenants, set -backs. easements, and restrictions of record affecting
the title to sold real estate and all easements or rights -of -way visible upon the property, as well as Grantee's pro-
rated share of the current year's ad valorem taxes, if any.

EXHIBIT "A"- LEGAL DESCRIPTION
BEING ALL OF LOT NUMBER 11,12,13 and 16 as shown on Plat entitled "Map showing Division of the John P.
Calloway Estate" which Plat is duly recorded in the Office of the Register of Deeds for Stanly County in Plat Book 2,
Page 68.
agree that the pumps which are part of the UST Systems are covered by a free-standing,
oven -aired roof which will be removed, discarded and not replaced as part of the UST
Removal Work.
Each of the Licensee Parties responsible for performance of the UST Removal Work shall
maintain during the UST Removal Work insurance coverages at the minimum levels set
forth below:
a. Worker's Compensation —statutory limits.
b. Commercial General Liability — in the minimum amount of
$1,000,000 per occurrence.
C. Automobile and Vehicle Liability for all vehicles used in
connection with the UST Removal Work — in the minimum
amount of $1,000,000 per occurrence.
Upon request, Licensor shall be named as an additional insured on the policies and
Licensee and each of the Licensee Parties shall provide Licensor with a Certificate of
Insurance evidencing the coverages above.
4. Licensee shall promptly provide Licensor with copies of any and all notices and reports,
related to the UST Systems or the UST Removal Work received from or submitted to NC
DEQ.
5. Licensee and the Licensee Parties' right to access the Property shall terminate upon
completion of the UST Removal Work to the satisfaction of applicable governmental
authorities.
6. Licensee releases, remises and quitclaims to NJR all of Licensee's right, title and interest (if
any) in and to the Mine, and sells and assigns to NJR all of Licensee's right, title and
interest in and to the Mine Permit (to the extent assignable). The foregoing are released,
remised, quitclaimed, sold and assigned as -is, where -is, with all faults. Licensee
disclaims all representations, warranties and covenants including (without limitation)
warranties of merchantability and fitness for any particular purpose with respect to the
foregoing. NJR accepts the foregoing in their existing condition based solely on its own
investigation and inspection for which NJR has, or has engaged consultants having
sufficient expertise. NJR waives and releases Licensee from, and assumes all claims
(including statutory and common law claims for indemnity and contribution), obligations
and liabilities arising from the condition of the foregoing. NJR assumes and shall pay
and perform all liabilities and obligations of the permittee under or in connection with the
Mine Permit including (without limitation) those reclamation obligations and liabilities
outstanding under the Mine Permit and agrees to undertake all responsibilities associated
with the ownership and operation of the Mine dated hereof, and all reclamation liabilities
and obligations arising after the date hereof.
7. NJR shall submit to the applicable governmental authority administratively complete

applications for all permits, licenses and approvals necessary for NJR's ownership and
operation of the Mine including (without limitation) applications to issue or reissue the
Mine Permit to NJR, and to replace or release any bonds or other financial responsibility
instruments or security posted by Licensee in connection therewith. Thereafter, NJR
shall use commercially reasonable efforts promptly and diligently to obtain all such
permits, licenses and approvals from the applicable governmental authorities, and to
effect the transfer, issuance or reissuance of the Mine Permit and any other permits
necessary to the ownership and operation of the Mine, and the replacement or release of
any bonds or other financial security posted by Licensee in connection therewith. NJR
shall keep the surety bond or other collateral filed by NJR with any governmental
authority pertaining to the Mine in full force and effect until all reclamation obligations
are fully satisfied. Licensee will cooperate with NJR's efforts to obtain such permits,
licenses and approvals, and shall take such actions, give such consents, and execute such
documents as may be reasonably necessary to enable NJR to obtain such permits, licenses
and approvals.
8. Licensee may not assign its rights and obligations under this Agreement without the prior
written consent of Licensor. Likewise, Licensor may not assign its rights and obligations
under this Agreement except in connection with Licensor's sale or conveyance of the
Property, in which event Licensor may assign this Agreement to a successor owner of the
Property as long as such successor owner expressly assumes Licensor's obligations under
this Agreement.
9. This Agreement shall be interpreted, construed and enforced according to the laws of the
State of North Carolina.
10. This Agreement may be executed in any number of counterparts, each of which shall be
deemed to be an original. No revisions to or modifications of this Agreement may be
made without the express written consent of the parties. Any party's consent to waive
any provision herein shall not be construed as a waiver or modification of the other
provisions of this Agreement.
11. This Agreement constitutes the entire agreement between the undersigned with regard to the
subject matter set forth herein.
