THIS DEED OF EASEMENT ('Basement") is made and entered into this the
/0` day of February, 2020 by and between LOCKWOOD FOLLY PROPERTY OWNERS
ASSOCIATION, INC., a North Carolina nonprofit corporation ("Association"); and JAMES T.
GREGORY ("Gregory").
RECITALS:
A. The Association is the homeowners association for Lockwood Folly and the
owner of a certain parcel of land depicted on the plat recorded in Map Cabinet N, Page 252 in the
office of the Register of Deeds of Brunswick County ("Property").
B. Gregory is the owner of Lot 149 as depicted on the plat recorded in Map Cabinet
Y, Page 63 in the office of the Register of Deeds of Brunswick County ("Benefitted Property").
C. Gregory has requested that the Association grant and convey unto Gregory for the
benefit of the Benefitted Property, a non-exclusive, perpetual easement over, upon, under, and
across a portion of the Property for the purpose of constructing a dock and walkway as depicted
on the sketch attached hereto as Exhibit B (collectiveln the "Dock"), and the Association has
agreed to convey said easement.

IN
NOW THEREFORE, for and in consideration of the sum of Ten and No/100
Dollars ($10.00) and other good and valuable considerations to the Association paid by Gregory,
the receipt and sufficiency of such consideration being hereby acknowledged, the parties hereto
for themselves, their successors and assigns, hereby agree as follows:
1. The Association hereby bargains, sells, grants, and conveys unto Gregory for the
benefit of the Benefitted Property, a non-exclusive, perpetual easement over, upon, under, and
across a portion of the Property described on Exhibit A (the "Easement Area") for the purpose
of: (i) installation, operation, maintenance, repair and replacement of the Dock and (ii) access to
and from the Benefitted Property and the Dock.
2. Gregory shall be responsible for the Upkeep of the Easement Area and the Dock.
For purposes of this Agreement, "Upkeep" shall mean care, inspection, maintenance, operation,
repair, repainting, remodeling, restoration, improvement, renovation, alteration, replacement and
reconstruction. If Gregory shall fail to provide any of the Upkeep for which Gregory is
responsible, then the Association may give notice to Gregory of the condition complained of,
specifying generally the action to be taken to rectify that condition. If Gregory fails to rectify
that condition within thirty (30) days after the date the notice is given, or such shorter period as
may be specified in the notice, the Association shall have the right, but not the obligation, to
enter upon Gregory's Property, if necessary, to rectify that condition by taking such action as was
specified in the notice. Gregory shall immediately reimburse the Association for the reasonable
costs incurred by the Association for performing such Upkeep within ten (10) days after
submission of an invoice for such work to Gregory. Notwithstanding anything contained herein
to the contrary, under no circumstances shall the Association be obligated or required to perform
any or all of the maintenance, repair or replacement obligations of Gregory as set forth herein.
3. Gregory shall apply for and obtain a CAMA Permit from the North Carolina
Department of Environment and Natural Resources Division of Coastal Management permitting
construction of the Dock and provide copies of same to the Association. Gregory shall also
apply for and obtain any and all other necessary governmental permits to construct the Dock and
provide copies of same to the Association.
4. Gregory shall, during the construction of the Dock and at all times thereafter,
comply with the North Carolina Coastal Area Management Act, the terms of any applicable
CAMA Permit, and any other laws, ordinances, or regulations applicable to the Dock and the
Easement Area.
5. Gregory hereby indemnifies and agrees to defend and save the Association
harmless from and against any and all claims, demands, actions, suits, losses, damages, costs,
expenses and liabilities (including reasonable attorneys' fees) whenever arising on or after the
date hereof arising out of or due to (a) any act of Gregory or any of their agents, employees,
representatives, contractors, guests, tenants, or invitees (collectively, "Related Parties") with

respect to the Easement Area and the Dock, (b) the exercise of Gregory's rights or the
performance of Gregory's covenants and obligations under this Easement, or (c) the use or
occupancy of the Easement Area or Dock by Gregory or any of their Related Parties excepting
claims for injury, damage or loss arising out of the Association's negligence or intentional
misconduct.
6. It is agreed that the rights and easements hereby granted are appurtenant to and
shall run with the Benefitted Property for the use and benefit of Gregory and all successors
entitled to use of the Benefitted Property.
TO HAVE AND TO HOLD the aforesaid perpetual non-exclusive easement and
all privileges and appurtenances thereunto belonging to Gregory, his heirs and assigns, over,
through, and across the Easement Area.
IN TESTIMONY WHEREOF, the Association and Gregory have caused this
Easement to be executed under seal and in such form as to be binding as of the day and year first
above written.
