EASEMENT AND WAIVER
AGREEMENT
COUNTY OF NEW HANOVER
THIS EASEMENT AND WAIVER AGREEMENT ("Agreement") is made this the
day of , 2022, by Raleigh -Wilmington Investors, LLC ("RWI") on behalf of
itself and its successors -in -title and assigns.
WITNESSETH
WHEREAS, RWI is the current owner of Lot 16, Winding Marsh, as shown on that plat
entitled "Final Plat of Winding Marsh" recorded Map Book 70, Page 223 in the New Hanover
County Registry ("Lot 16'); and
WHEREAS, RWI is developing a residential community known as Winding Marsh and
desires to establish an access easement for a boardwalk and kayak launch to benefit residents within
the Winding Marsh community, which launch is appurtenant to Lot 16; and
WHEREAS, RWI is also the owner of the adjacent lot, Lot 15, Winding Marsh, as shown
on that plat entitled "Final Plat of Winding Marsh" recorded Map Book'70, Page 223 in the New
Hanover County Registry ("Lot 15'); and
WHEREAS, RWI executes this agreement as the owner of Lots 15 and 16 to establish the
easement set forth herein, and to establish a waiver for itself and future owners of Lots 15 and 16 of
certain matters, also set forth herein, related to the boardwalk and kayak launch; and
WHEREAS, Exhibit A which is attached hereto and incorporated herein by reference shows
the approximate location of the boardwalk associated with the kayak launch; and
WHEREAS, Exhibit B which is attached hereto and incorporated herein by reference
depicts a 20' Private Drainage & Access Easement leading to the kayak launch, as well as an
Access Easement for Kayak Launch ("Launch Easement"); and
WHEREAS, Exhibit C which is attached hereto and incorporated herein by reference sets
forth a legal description of the Launch Easement; and
WHEREAS, portions of the 20' Private Drainage & Access Easement and the Launch
Easement are located within or adjacent to the riparian corridor associated with Lot 16; and
WHEREAS, the location of the Launch Easement requires that certain rights of use of the
riparian corridor be waived by the owners of Lot 15 and Lot 16;
NOW, THEREFORE, in consideration of the mutual benefits and obligations set forth in
this Agreement and otherwise, RWI covenants and agrees as follows:
1. RWI hereby perpetually waives any and all objection to, and hereby consents to, the
presence of the boardwalk and easements described herein, and RWI shall not request, demand or
seek the relocation or removal thereof.
2. RWI agrees that it will not interfere with the use of the boardwalk and easements
described herein, nor shall it attempt to utilize any riparian corridor associated with either lot in any
manner which would directly interfere with the use of the boardwalk and easements by owners or
residents of the Winding Marsh development, and their permitted guests.
3. RWI waives any and all objection to, and hereby consents to, the repair,
replacement, improvement or upgrade to the boardwalk referenced herein.
4. RWI waives any set -back requirements pertaining to the location of the boardwalk
or easements described herein, or the repair, replacement, improvement or upgrade to the
boardwalk, that might otherwise be required under any federal, state or local law, including CAMA.
RWI agrees to execute and deliver any document or instrument which may be required by and
federal, state or local government or agency to confirm and memorialize any waiver described
herein. Notwithstanding the foregoing, RWI agrees that no improvements of any nature whatsoever
shall be erected, constructed, or located by the owner of Lot 16 within five (5) feet of the boundary
between the riparian corridor of Lots 15 and 16, and no improvements of any nature whatsoever
shall be erected, constructed, or located by the owner of Lot 15 within five (5) feet of the boundary
between the riparian corridor of Lots 15 and 16.
5. This Agreement shall not be construed as prohibiting the owner of Lot 16 from
erecting any permitted structures upon the lot or within the lot's riparian corridor; provided,
however, that no such structure shall be located within feet of the boardwalk.

6. ' This Agreement shall run with the land and shall be binding upon and inure to the
benefit of RWI and.its successors -in -title and assigns, specifically including any subsequent owners
of Lot 15 .or Lot.16.
TO HAVE AND TO. HOLD the aforesaid, rights,.privileges and easements herein granted by
and to RWI, and RWI's;successors and assigns forever.
