Authorizing development in Carteret County adi. to Taylors Creek, at 2001 Front Street, in
Beaufort as requested in the permittee's application dated 10124/14. including the
attached workWan drawings (3), all dated 10/24/14.
This permit, issued on January 27 2015 , is subject to compliance with the application (where consistent
with the permit), all applicable regulations, special conditions and notes set forth below. Any violation of these terms may
be subject to lines, imprisonment or civil action; or may cause the permit to be null and void.
Docking Facility
1) Unless specifically altered herein, this permit authorizes the removal of the existing slips/boatlifts
creating only observation piers and the construction of a new docking facility, as well as the associated
uses located in or over the water that are expressly and specifically set forth in the permit application.
No other structure, whether floating or stationary, may become a permanent part of this docking facility
without permit modification. No non -water dependent uses of structures may be conducted on, in or
over public trust waters without permit modification.
2) The portion of the authorized pier spanning over the existing canal shall be elevated a minimum of 5 feet
above the normal high water level with a minimum piling span of 10 feet.

This permit action may be appealed by the permittee or
other qualified persons within twenty (20) days of the issuing
date.
This permit must be accessible on -site to Department
personnel when the project is inspected for compliance.
Any maintenance work or project modification not covered
hereunder requires further Division approval.
All work must cease when the permit expires on
December 31, 2018
In issuing this permit, the State of North Carolina agrees
that your project is consistent with the North Carolina Coastal
Management Program.

ADDITIONAL CONDITIONS
3) No attempt shall be made by the permittee to prevent the full and free use by the public of all navigable
waters at or adjacent to the authorized work.
4) The permittee shall maintain the authorized work in good condition and in conformance with the terms
and conditions of this permit. The permittee is not relieved of this requirement if he abandons the
permitted activity without having it transferred to a third party.
5) This permit does not authorize the interference with any existing or proposed Federal project, and the
permittee shall not be entitled to compensation for damage to the authorized structure or work, or injury
which may be caused from existing or future operations undertaken by the United States in the public
interest.
6) The permittee shall install and maintain at his expense any signal lights or signals prescribed by the U.S.
Coast Guard, through regulation or otherwise, on the authorized facilities. At a minimum, permanent
reflectors shall be attached to the structure in order to make it more visible during hours of darkness or
inclement weather.
7) This permit authorizes a maximum of six formalized boat slips at the authorized facility.
General
8) The permittee understands and agrees that, if future operations by the United States requires the
removal, relocation, or other alteration of the structure or work authorized by this permit, or if in the
opinion of the Secretary of the Army or his authorized representative, said structure or work shall cause
unreasonable obstruction to free navigation of the navigable waters, the permittee will be required, upon
due notice from the Corps of Engineers, to remove, relocate or alter the structural work or obstructions
caused thereby, without expense to the United States or the state of North Carolina. No claim shall be
made against the United States or the state of North Carolina on account of any such removal or
alteration.
9) The permittee and/or his contractor shall meet with a representative of the Division prior to project
initiation in order to discuss the conditions set forth in this permit.
10) This permit shall not be assigned, transferred, sold, or otherwise disposed of to a third party without the
written approval of the Division of Coastal Management.
NOTE: This permit does not eliminate the need to obtain any additional state, federal or local permits,
approvals or authorizations that may be required.
NOTE: Future development of the permittee's property may require a modification of this permit.
Contact a representative of the Division of Coastal Management at (252) 808-2808 prior to the
commencement of any such activity for this determination. The permittee is further advised that
many non -water dependent activities are not authorized within 30 feet of the normal high water
level.
NOTE: The U.S. Army Corps of Engineers has assigned the proposed project COE Action Id. No. SAW

stringers and decking. The head of the dock will consist of Floating finger units secured by treated

8. Project Summary:
The proposed project is for the construction of a shared 6-slip docking facility which
includes all associated infrastructure (pier, platforms, finger piers and boatlifts) along the
Taylors Creek portion of the property. The pier would remain within an easement area

(Clara Wade property) that would range from 25.5' to 32.81' in width depending on
location. A portion of the dock access would also bridge over a navigable channel within
the existing unnamed natural tributary that connects to Taylors Creek. The 2001 Front
Street Dock Association, Inc. non-profit corporation was formed on 8/25/14 in order to
serve the proposed shared docking facility.
9. Narrative Description:
The 2001 Front Street Dock Association, Inc. project is located at 2001 Front St., is
adjacent to Taylors Creek and within the Town of Beaufort's ETJ. The site is found by
turning right off of Cedar Street onto Live Oak Street. Follow Live Oak St. until you reach
the stop sign and turn left onto Front St. Follow this road for approximately 1.21 miles
(6,401 feet). The site will be located on the right (north side of Taylors Creek). It is not
located within the Beaufort Historic District or the National Historic District.
The residential property is 1.41 acres (61,421sf) in its entirety and 6.8' above nhw. Taylors
Creek runs along the south side of the property with an unnamed natural tributary along the
north side of Taylors Creek. The upland vegetation mainly consists of lawn grasses, shrubs
and oak trees. There is a 22' x 110'section of coastal wetlands along the 110' of shoreline
along the canal portion and 22' x 110' along the Taylors Creek portion of the tree hammock
consisting of Distichlis spicata (Salt Grass), Spartina patens (Salt Meadow Cordgrass)
Spartina altemiflora (Smooth Cordgrass) and Juncus roemerianus (Black Needlerush). The
waters of Taylors Creek have an approximate -3' lunar tidal amplitude.
The Division of Water Quality classifies this area as SC Waters. Taylors Creek is not
designated as a Primary Nursery Area and is closed to the taking of shellfish. The Town of
Beaufort's Land Use Plan classifies this area as Residential with Conservation within the
AECs. There are no shellfish resources in the area. The Federal Channel Setback within this
area of Taylors Creek is 61'. Water depths within this project location are -8' nlw/mlw, with
connecting water depths of -10' plus nlw/mlw. The bottom substrate is silty sand with shell.
Taylors Creek is approximately 400' wide at this location.
10) Proposed Development:
The applicant proposes to add a shared 6-slip private residential docking facility with
platforms, finger piers and boatlifts to the Taylors Creek portion of the property. There are
existing docking facilities along the canal portion of the property; however, due to the
shallow water depths and frequent maintenance dredging, the applicant is asking for a
shared docking facility along Taylors Creek that would serve 1915,1919,2001,2005 and
2011 Front St. The existing docks located within the canal would remain for observation
type use (with no slips) and the existing slips including boatlifts, would be removed. The
canal would be allowed to silt in and naturalize with no further maintenance excavation
performed. A 25' to 32' wide easement and non-profit dock association have been created
in order to accommodate the shared pier for the residents at 1915,1919,2001,2005 and
2011 Front Street. Riparian signatures with waivers were obtained from the adjacent
neighbors, Mr. Fredrick Stanley, Mr. Bradford Piner and Mrs. Margaret Risser.

The applicant is proposing to construct a 6' wide pier that extends from the high ground
portion that abuts coastal wetlands, along the Front Street shoreline. It would extend over a
total of 32' of coastal wetlands [(Distichlis spicata (Salt Grass), Spartina patens (Salt
Meadow Cordgrass), Spartina alterniflora (Smooth Cordgrass) and Juncus roemerianus
(Black Needlerush)] and would then bridge over the canal portion (open water) for
approximately 79'. The bridge portion would be 6' wide, a minimum of 5' above nhw and
would have a minimum pilings span of 10 wide in order to allow small john boats, canoes
etc access and navigation to this area. The pier would then continue over a second section
of coastal wetlands (Spartina alterniflora (Smooth Cordgrass)) for 111' and finally over
open water within Taylors Creek for the remaining 22'. The total length of the pier would
be 244' from the high ground escarpment and 234' from the normal high water contour of
the property along Front Street. The pier would then intersect a fixed 10' x 10' platform. A
3' x15' gangway would extend from the fixed platform and would intersect a 6' x 70'
floating platform. There would be three 4' x 27' finger piers extending south from the
floating platform that would delineate the proposed 6 slip areas. There would be six 13' x
13' boatlifts within each of the 6 proposed slips. All portions of the docking facility within
Taylors Creek would not exceed a maximum distance of 79' waterward of the edge of
marsh or 96' from the normal high water contour that borders the small tree hammock
along the north side of Taylors Creek. All parts of the docking facility would be landward
of the USACOE channel setback (approximately 17'), a distance of 5.38' from the eastern
riparian access line and 6.35' from the western riparian access line. There would be a total
of six slips.
11. Anticipated Impacts:
The proposed dock additions would shade a total of 798ft2 of coastal wetlands. The 6-slip
docking facility would also shade 958 ftz as well as incorporate 2,862 ft2 of open water
Public Trust Area. The existing water depths are sufficient for this use (-8' nlw). The
setting of pilings has the potential to cause a temporary increase in turbidity during
construction activities. The location of the proposed docking facility would not be a
hindrance to navigation due to the fact all portions would be located 17' landward of the
'USACOE channel setback. The bridge portion over the unnamed tributary would also not
be a hindrance to navigation due to the minimum height of 5' above NHW and a piling
span of 10' in width. The proposed naturalization of the unnamed tributary has the
potential to restrict the use of Public Trust Waters to canoes and kayaks, which due to the
shallow water depths, would be the only vessels that could reasonably navigate that
portion. However, this area, through naturalization, has the potential to create additional
habitat area. The proposed docking facility should not cause additional closures because
Taylors Creek is a permanently closed area.

Project Narrative
An Association of 4 Property Owners at 1915,1919,2001,2005,2011 Front Street, the 2001 FRONT
STREET DOCK ASSOCIATION, INC., propose to construct a community pier. The ARTICLES OF
INCORPORATION for this association are included in this submission. The proposed pier is planned to be
constructed at 2001 Front Street on Parcel Number 730508983498000, owned by Clara Wade and
Charles Wade Jr. This will require the recordation of a plat granting a "dock easement' to the 2001
FRONT STREET DOCK ASSOCIATION, INC. The proposed re -combination plat was recorded on October
15, 2014.
Historically, the two homeowners at 1915, 1919 and 2001 Front Street have maintained docks in on a
small canal located behind the northern bank of Taylors Creek. Access to these docks was from an
entrance located at the west side of the canal. This canal has historically been difficult to maintain and
required dredging every few years. The existing docks will remain in place, but no further dredging will
be performed. This area will be allowed to silt in and revert back to natural marsh lands.
The proposed dock construction consist of approximately 254 feet of fixed timber pier, 16 feet of gang
plank and platform and three 27 foot long finger piers which will accommodate as many as 6 boat lifts.
The plans for the pr osed construction are included in this submittal.

applicable, the State Dredge and Fill Law, for you to proceed with your project proposal. The original (buff -
colored form) is retained by you and it must be available on site when the project is inspected for
compliance. Please sign both the original and the copy and return the copy to this office in the enclosed
envelope. Signing the permit and proceeding means you have waived your right of appeal described below.
If you object to the permit or any of the conditions, you may request a hearing pursuant to NCGS
113A-121.1 or 113-229. Your petition for a hearing must be filed in accordance with NCGS Chapter 150B
with the Office of Administrative Hearings, 6714 Mail Service Center, Raleigh, NC 27611-6714, (919) 733-
2698 within twenty (20) days of this decision on your permit. You should also be aware that another
qualified party may submit an objection to the issuance of this permit within twenty (20) days.
The project plan is subject to those conditions appearing on the permit form. Otherwise, all work
must be carried out in accordance with your application. Modifications, time extensions, and future
maintenance requires additional approval. Please read your permit carefully prior to starting work and review
all project plans, as approved. If you are having the work done by a contractor, it would be to your benefit to
be sure that he fully understands all permit requirements.
From time to time, Department personnel will visit the project site. To facilitate this review, we
request that you complete and mail the enclosed Notice Card just prior to work initiation. However, if
questions arise concerning permit conditions, environmental safeguards, or problem areas, you may contact
Department personnel at any time for assistance. By working in accordance with the permit, you will be
helping to protect our vitally important coastal resources.

boat docks on the tidal creek and to not do any more dredging. I will speak with our attorney regarding making this

official and recording deed restrictions on the lots adjoining the creek so that if a lot is ever sold and the buyer does not
want to participate in the dock owners association then they would be prevented from building a dock and dredging the
tidal creek.

The following is my assessment and consequent recommendations of the above referenced proposal:
There are currently several docks along an existing narrow canal that connects to Taylors Creek. Per the
applicant(s), the homeowners at 1915, 1919 and 2001 Front St have historically maintained the docks within
this area. Access to the existing docks was from an entrance located to the west of the canal and has been
difficult to maintain, which has required frequent dredging. Per the applicant due to the shallow water depths
and frequent maintenance excavation they are proposing the construction of a shared "community" pier for
1915, 1919, 2001 and 2011 Front Street. Per the appl�ant the existing docks within the canal would remain
for observation uses but no further dredging would ba conducted and this area would be allowed to silt in
and convert back to wetlands. The proposed pier would extend from 2001 Front St approximately 9' west of
the existing dock, would span the canal (following USACOE height and width specifications) then cross a
high ground tree hammock and extend within Taylors Creek. The proposed docking facility (includes pier,
platforms and boatlifts) would extend a maximum of 77' waterward of normal high/ mean high water and
approximately 19' landward of the USACOE channel setback. The development conforms to the guidelines
set forth under 15A NCAC 07H .0208. Assuming that state and federal agencies concur with the proposal,
the District recommends the project be authorized as proposed, contingent upon the following conditions:
• The total # of slips shall not exceed a maximum of 6 along the proposed Taylors Creek docking
facility.
• All parts of the docking facility shall be landward of the USACOE channel setback and not
exceed a maximum distance of 77' from nhw/mhw.
• The portion of the pier spanning over the existing canal shall meet the USACOE minimum
height and width requirements (5' above normal high water and a piling span of 10').

authorizes the maintenance, repair, construction and installation of piers, docks, boathouses and

United States in the State of North Carolina pursuant to Section 10 of the Rivers and Harbors Act
of 1899.
Your work is authorized by this permit provided it is accomplished in strict accordance with
your proposed plans, the enclosed general conditions, and the following special conditions:
1. All work authorized by this permit must be performed in strict compliance with the
attached plans, which are a part of this permit.

The Wilmington Regional Office of the Division of Energy, Mineral, and Land Resources received a copy of the CAMA Major
Permit Application for the subject project on November 20, 2014. Staff review of the plans and specifications has determined
that the development activities proposed at this time will not pose a threat to surface water quality from stormwater runoff. The
Director has determined that projects that are reviewed and approved by the Division as not posing a water quality threat from
stormwater runoff should not be subject to the stormwater management permitting requirements of 15A NCAC 21-1.1000, the
stormwater rules. By copy of this letter, we are informing you that this project will not require a stormwater management
permit.
If the subject project disturbs one acre or more and has a point source discharge of stormwater runoff, then it is also subject to
the National Pollutant Discharge Elimination System (NPDES) stormwater discharge requirements. You are required to have
an NPDES permit for stormwater discharge from projects meeting these criteria. All temporary built -upon area associated with
the construction of the project must be removed within 30 days of completion of the project, or when it is no longer needed,
whichever occurs first.

2001 FRONT STREET DOCK ASSOCIATION, INC.
OF
In compliance with the requirements of Chapter 55A of the North Carolina
General Statutes entitled "Nonprofit Corporation Act," and the several amendments
thereto, the undersigned, natural person of full age, has this day executed these Articles
of Incorporation for the purpose of forming a non-profit corporation and hereby certifies:
ARTICLE I.
The name of the corporation is 2001 FRONT STREET DOCK ASSOCIATION,
INC., herein "Corporation' or "Association".
ARTICLE II.
The registered office of the Corporation is located at 2001 Front Street, Beaufort,
NC 28516, Carteret County, NC. The principal office and mailing address of the
Corporation is located at 2001 Front Street, PO Box 388, Beaufort, NC 28516, Carteret
County, NC.
ARTICLE III,
Leonard Safrit is the initial Registered Agent of the Corporation at said address in
Article II above.
ARTICLE IV.
The corporation is a charitable or religious corporation as defined in NCGS
55A-1-40(4). The Corporation does not contemplate pecuniary gain or profit to the
members thereof and no part of the Corporation's net income shall inure to the benefit of
any of its officers, directors or members or any other private individual. The purposes and
objects of the corporation shall be to function and serve as an association of property
owners owning and providing recreational and water access facilities for members and
their guests located on or near 2001 Front Street, Beaufort, NC, and in connection
therewith to own, operate, lease, sell, trade and otherwise deal with properties, whether
real or personal, as may be necessary or convenient in the administration and
management of the charitable or non-profit entity.

The Corporation shall have all the powers and privileges granted to Non -Profit
Corporations under the laws pursuant to which this Corporation is chartered, and all of the
powers and privileges which may be granted unto said Corporation under any other
applicable laws of the State of North Carolina.
ARTICLE VI.
The corporation shall have members with such designations, rights, powers and
privileges as provided in its bylaws.
ARTICLE VI1.
The Corporation shall have perpetual existence.
ARTICLE VIII.
The affairs of the Corporation shall be managed by its Board of Directors with
members of the board of directors being elected or appointed by the Board of Directors.
ARTICLE IX.
The number of members of the First Board of Directors of the Corporation shall not
be less than three. The number of members of the succeeding Board or Boards shall be
as provided from time to time by the By -Laws of the Corporation but shall not be less than

Revenue Code, and its regulations, and as the same may be amended hereafter..

provisions of these Articles of Incorporation, the By -Laws and the laws of the State of
North Carolina, shall hold office until the first annual meeting of the Membership (or until

Upon the dissolution of the Corporation, the Board of Directors shall, after paying
or making provision for the payment of all of the liabilities of the corporation, dispose of all
of the assets of the corporation exclusively for the purposes of the corporation in such
manner, or to such organization or organizations organized and operated exclusively for
religious, charitable, educational, scientific or literary purposes as shall at the time qualify
as an exempt organization or organizations under Section 501( c) (3) of the Code as the
Board of Directors shall determine, or to federal, state or local governments to be used

ARTICLE I
OFFICES
The principal office of the Corporation shall be located in Beaufort, County of Carteret, and State
of North Carolina The Corporation may also have such offices at such other places within or without the
State as the Board of Directors may from time to time determine.
ARTICLE II
MEMBERS
(a) There shall be one type of membership, to wit: regular membership. The requirements for
Regular Membership shall be established by the Board of Directors of this corporation. The duly
appointed and elected directors and officers of the corporation shall automatically be regular members of
the corporation .
(b) The 3 persons named and listed in the Certificate of Incorporation shall be the first regular
members of the Corporation, unless membership shall otherwise have been terminated. The eligibility
and qualifications for regular membership, and the manner of and admission into regular membership
shall be prescribed by resolutions duly adopted by the Board of Directors. Such resolutions or rules
and regulations adopted by the Directors may prescribe, with respect to all members, the membership
fee, attendance requirements at the annual meetings, the manner of suspension , termination of and
reinstatement of membership, and, except as may hereinafter otherwise be provided, the rights, liabilities
and other incidents of membership.
( c ) The right or interest of a regular member shall be governed by rules and regulations
adopted by the Board of Directors and may be suspended failure to pay dues, fees or assessments,
violation of rules and regulations, resignation, failure to comply with membership requirements,
expulsion, dissolution or liquidation of the Corporation for other members.
2. (a) The Annual Meeting of regular members of the Corporation shall be held on such date or
dates as shall be fixed from time to time by the Board of Directors of the Corporation. The first Annual
Meeting shall be held on a date within twelve months after the formation of the Corporation. Each
successive Annual Meeting shall be held on a date not more than twelve months following the preceding
Annual Meeting. Special Meetings of regular members may be held on such date or dates as may be fixed
by the Board of Directors of the Corporation from time to time and by the members on such date or dates

as shall be permitted by law.
(b) Any Annual or Special Meeting of regular members may be held at such place within or
without Carteret County, North Carolina, as the Board of Directors of the Corporation may from time
to time fix. In the event the Board of Directors shall fail to fix such place or time, or in the event regular
members are entitled to call or convene a Special Meeting in accordance with law, then, in such event,
such meeting shall be held at the principal office of the Corporation located at 2001 Front Street,
Beaufort, NC.
®) Annual or Special Meetings of regular members may be called by the Board of Directors or
by any officer of the Corporation instructed to do so by the Board of Directors, except to the extent that
directors may be required by law to call a meeting, and shall be called by the Secretary on behalf of the
members, when required to do so by law.
(d) Written notice stating the place, day and hour of the meeting shall be given for all meetings
of the regular membership. Such notice shall state the person or persons calling the meeting. Notice for an
Annual Meeting shall state that the meeting is being called for the nomination of officers with election
of the directors by the members, and for the transaction of such other business as may properly come
before the meeting. Notices of Special Meeting shall state the purpose or purposes for which the meeting
is called. At any Special Meeting, only the business stated in the Notice of Meeting may be transacted
thereat. Notice of Meeting shall be given either personally or by first class mail not less than 10 days nor
more than 50 days before the date of the meeting, to each regular member at his address recorded on the
records of the Corporation, or at such other address which the member may have furnished in writing to
the Secretary of the Corporation. Notice shall be deemed to have been given when deposited with postage
prepaid in a post office or other official depository under the exclusive jurisdiction of the United States
Post Office. Any meeting of members may be adjourned from time to time. In such event, it shall not be
necessary to provide further notice of the time and place of the adjourned meeting if announcement of the
time and place of the adjourned meeting is given at the meeting so adjourned. In the event the Board of
Directors fixes a new record date for an adjourned meeting, a new notice shall be given, in the same
manner as herein provided. No notice need be given to any member who executes and delivers a Waiver
of Notice before or after the meeting. The attendance of a member in person or by proxy at the meeting
without protesting the lack of notice of a meeting, shall constitute a waiver of notice by such member.
Any notice of meeting to members relating to the election of directors, shall set forth any amendments to
the By -Laws of the Corporation adopted by the Board of Directors, together with a concise statement of
the changes made.
(e) At every meeting of regular members, there shall be presented a list or record of members as
Of the record date, prepared or certified by the Secretary of the Corporation. Such list shall be evidence
of the right of the persons to vote at such meeting on matters for which the regular membership is entitled
to vote, and all persons who appear on such list or record to be members may vote at such meeting.
3. At each Annual Meeting of regular members, the Board of Directors shall present an Annual
Report. Such report shall be filed with the records of the Corporation and entered in the minutes of the
proceedings of such Annual Meeting of Members.
4. (a) Meetings of the regular members shall be presided over by the following officers, in order of

seniority - the President, Vice -President or, if none of the foregoing is in office or present at the
meeting, by a Chairman to be chosen by a majority of the members in attendance. The Secretary or an
Assistant Secretary of the Corporation shall act as Secretary of every meeting. When neither the Secretary
nor an Assistant Secretary is available, the Chairman may appoint a Secretary of the meeting.
(b) The order of business at all meetings of members shall be as follows:
Roll call.
Reading of the minutes of the preceding meeting.
Report of standing committees.
Officers' reports.
Old business.
Election of Directors
New business.
5. Every regular member may authorize another person to act for him or her by proxy in all
matters in which a regular member may participate, including waiving notice of any meeting, voting or
participating in a meeting, or expressing consent or dissent without a meeting, in the event the regular
member is prevented by illness or similar cause from attending the meeting. Every proxy shall be
signed by the regular member or his attorney in fact, and shall be revocable at the pleasure of the member
executing it, except as otherwise provided by law. Except as otherwise provided by law, no proxy shall be
valid after the expiration of eleven months from its date. Members are limited to voting their
membership and one additional membership by proxy only.
6. Regular members may nominate one or more persons for the office position of Directors of the
Corporation through procedures established by the Board. The President or Chair may appoint one or
more nominating committees for the election of directors, and may appoint a committee of directors for
the nomination of officers. The Board of Directors shall elect or appoint officers and the appointments
made by the Board shall constitute the duly elected officers..
Except as to a higher quorum for particular matters as maybe required bylaw, the presence of 51 % of
the members of the Corporation in good standing shall constitute a quorum at a meeting of regular
members for the transaction of any business. At a regular meeting the members present may adjourn
the meeting despite the absence of a quorum. Except for the election of officers by the Board of Directors,
each regular membership shall entitle the holder thereof to one vote on matters coming before the
membership.
The officers of the Corporation shall be elected by the Board of Directors and it shall be necessary for a
majority of the affirmative votes cast to elect provided a quorum of directors are present. Except to the
extent provided by law, all other action shall be by a majority of the votes cast, provided that the majority
of the affirmative votes cast shall be at least equal to a quorum. Whenever the vote of members is required
or permitted, such action may be taken without a meeting on the written consent setting forth the action
taken signed by all the members entitled to vote.

ARTICLE III
BOARD OF DIRECTORS
1. The Corporation shall be managed by a Board of Directors. Each director shall be at least 18
years of age, and shall be a regular member of the Corporation during his or her directorship. The initial
Board of Directors shall consist of three (3) persons. Thereafter, the number of directors constituting the
entire Board shall be no less than three. Subject to the foregoing, the number of Board of Directors may
he fixed from time to time by action of the members or of the Directors. The number of Directors may be
increased by action of the members and the Board of Directors. In increasing the number of directors,
the members and Board may provide for staggered terms for newly elected directors so as to provide for
continuity of the business and affairs of the Corporation.
2. The terms of office for the initial three directors shall be one year. Thereafter, the Board may
appoint successor directors so that the terms of succeeding directors are staggered so that two of the
succeeding directors are elected for two years, and the third for a term of one year. At each subsequent
meetings of the Board, succeeding directors shall be elected for two years in order to provide for
staggered terms.
3. The first Board of Directors shall consist of the three persons named as the initial Board of
Directors in the Certificate of Incorporation of the Corporation, and they shall hold office until the first
Annual Meeting of regular members, and until their successors have been duly elected and appointed
by the memberships. Thereafter, at the Annual Meeting of regular members, the members shall
nominate and elect one or more for the office of director as vacancies arise and need to be filled. Each
director shall hold office until the expiration of the term for which he or she was elected, and until his or
her successor has been duly elected and qualified, or until his or her prior resignation or removal as
hereinafter provided.
4. (a) Any or all of the members of the Board of Directors may only be removed for cause by vote
of a majority of members of the Corporation.
(b) A director may resign at any time by giving written notice to the Board of Directors or to an
officer of the Corporation. Unless otherwise specified in the notice, the resignation shall take effect upon
receipt thereof by the Board of Directors or such officer. Acceptance of such resignation shall not be
necessary to make it effective.
5. Newly -created directorships or vacancies in the Board of Directors for any reason or cause shall
be filled by the Board of Directors. A director elected to fill a vacancy caused by resignation, death,
or removal shall be elected to hold office for the unexpired term of his predecessor.
6. (a) A regular Annual Meeting of the Board of Directors shall be held immediately following the
Annual Meeting of Members. All other meetings shall be held at such time and place as shall be fixed by
the Board of Directors from time to time.

(b) No notice shall be required for regular meetings of the Board of Directors for which the time
and place have been fixed. Special meetings may be called by or at the direction of the President, or by a
majority of the directors then in office.
( c ) Written, oral, or any other method of notice of the time and place shall be given for special
meetings of the Board of Directors in sufficient time for the convenient assembly of the Board of
Directors. The notice of any special meeting should specify the purpose of such meeting. The
requirement for furnishing notice of a meeting may be waived by any director who signs a Waiver of'
Notice before or after the meeting or who attends the meeting without protesting the lack of notice to him.
7. Except to the extent herein or in the Certificate of Incorporation of the Corporation provided, a
majority of the members of the Board of Directors shall constitute a quorum. At any meeting held to
remove one or more directors for cause a quorum shall consist of a majority of the directors present at
such meeting. Whenever a vacancy on the Board of Directors shall prevent a quorum from being present,
then, in such event, the quorum shall consist of a majority of the members of the Board of Directors
excluding the vacancy. A majority of the directors present, whether or not a quorum is present, may
adjourn a meeting to another time and place. Except to the extent provided by law and these By -Laws, the
actions of the Board of Directors shall be by a majority of the directors present at the time of vote, a
quorum being present at such time. Any action authorized by resolution, in writing, by all of the directors
entitled to vote thereon and filed with the minutes of the corporation shall be the act of the Board of'
Directors with the same force and effect as if the same had been passed by unanimous vote at a duly
called meeting of the Board.
8. The President shall preside at all meetings of the Board of Directors. In his or her absence, the
Vice -President shall preside and, if there be no Vice -President or in his or her absence, any other
director chosen by the Board, shall preside.
9. Whenever the Board of Directors shall consist of more than five persons, the Board of Directors
may designate from their number, an executive committee and other standing committees. Such
committees shall have such authority as the Board of Directors may delegate, except to the extent
prohibited by law, In addition, the Board of Directors may establish special committees for any lawful
purpose, which may have such powers as the Board of Directors may lawfully delegate.
ARTICLE IV
OFFICERS
1. The Board of Directors may elect or appoint a President, Vice -President, Secretary,
Treasurer, and such other officers as they may determine. Any two or more offices may be held by the
same person except the office of President and Secretary. All officers are required to be Directors
2. Each officer shall hold office until the Annual Meeting of the Board of Directors, and until his
successor has been duly elected and qualifies. The Board of Directors may remove any officer for cause
upon notice and the opportunity to be heard.

3. (a) The President shall be the chief executive officer of the Corporation, shall have the
responsibility for the general management of the affairs of the Corporation, and shall carry out the
resolutions of the Board of Directors.
(b) During the absence or disability of the President of the Corporation, the Vice -President shall
have all the powers and functions of the President. The Vice -President shall perform such duties as may
be prescribed by the Board of Directors from time to time.
0) The Treasurer shall have the care and custody of all of the funds and securities of the
Corporation, and shall deposit said funds in the name of the Corporation in such bank accounts as the
Board of Directors may from time to time determine. The Treasurer he may also sign checks, drafts,
notes and orders for the payment of money, which shall have been duly authorized by the Board of
Directors.
(d) The Secretary shall keep the minutes of the Board of Directors and the minutes of the
members. He or she shall serve all notices for the Corporation which shall have been authorized by the
Board of Directors, and shall have charge of all books and records of the Corporation.
ARTICLE V
MISCELLANEOUS
1. The Corporation shall keep at the principal office of the Corporation, complete and correct
records and books of account, and shall keep minutes of the proceedings of the members, the Board of
Directors, or any committee appointed by the Board of Directors, as well as a list or record containing the
names and address of all members.
2. The corporate seal shall be in such form as the Board of Directors shall from time to time
prescribe.
3. The fiscal year of the Corporation shall be fixed by the Board of Directors from time to time,
subject to applicable law and based upon the recommendation of the Corporation's accountant.
4. (a) All By -Laws of the Corporation shall be subject to alteration or repeal, and new by-laws may
be made, by a majority vote of the regular members entitled to vote at a special meeting of the members
called for such purpose, following favorable recommendation by the Board of Directors. Provided,
changes to the bylaws shall be consistent with the Articles of Incorporation regarding the election and
appointment of directors and other matters.
(b) The Board of Directors shall have the power to make, alter or repeal, from time to time,
By -Laws of the Corporation, except that the Board may not amend or repeal any by-law in which control
thereof is vested exclusively in the members. If any by-law regulating an impending election of directors
is adopted, amended or repealed by the Board, there shall be set forth in the notice of the next meeting of
members for the election of directors, the by-law so made, amended or repealed, together with a concise
statement of the changes made.

The NC Division of Coastal Management hereby acknowledges receipt of your application for State approval
for development of your property located on Taylors Creek in Carteret County. The site is at 2001 Front St.
in Beaufort, Carteret County. The application was received as complete on 10/27/14, and appears to be
adequate for processing at this time. The projected deadline for making a decision is 1/18/15. An additional
75-day review period is provided by law when such time is necessary to complete the review. If you have not
been notified of a final action by the initial deadline stated above, you should consider the review period
extended. Under those circumstances, this letter will serve as your notice of an extended review. However,
an additional letter will be provided on or about the 75th day.
If this agency does not render a permit decision within 70 days from 10/27/14, you may request a meeting
with the Director of the Division of Coastal Management and permit staff to discuss the status of your
project. Such a meeting will be held within five working days from the receipt of your written request and

NCGS 113A-119(b) requires that Notice of an application be posted at the location of the proposed
development. Enclosed you will find a "Notice of Permit Filing" postcard which must be posted at the
property of your proposed development. You should post this notice at a conspicuous point along your
property where it can be observed from a public road. Some examples would be: Nailing the notice card to a
telephone pole or tree along the road right-of-way fronting your property, or at a point along the road right-
of-way where a private road would lead one into your property. Failure to post this notice could result in an
incomplete application.
An onsite inspection will be made, and if additional information is required, you will be contacted by the

CAMA Major Development Permit Application Checklist
This checklist is provided solely as an informational resource to assists in the
preparation of the permit application. Although this checklist is not required to be filled
out as part of the permitting process, nor is it required that this checklist be provided to
the Division of Coastal Management (DCM), the items included within the checklist are
required to complete the permit application.
During the pre -application or application submittal meeting, a DCM representative will
sit down with you and review the application package for completeness. The Division
representative will refer to this checklist to determine whether or not an application is
deemed to be complete or insufficient. If an application package is deemed incomplete,
the specific deficiencies will be noted on the application checklist. A copy ofthe checklist
will be provided to the applicant, or applicant's agent, at the end of the meeting. Once
the items have been addressed, the applicant or agent should contact the local field
representative to reschedule a final meeting.

on the scope of the proposed development, you will also need to fill out some or all of the

I P x 17" should be folded to legal size or smaller.
The workplan drawings must be accurately drawn to an engineers scale (1 "-200' or less)
(example 1"=30'), 1"=50', 1"=60', 1"=100', etc.). The scale must be indicated on the
drawings.
The following list of items must be indicated on the workplan drawings. No application
or workplan drawings will be accepted as complete until all of the applicable items on RECEIVED
the checklist have been approved by the DCM
