The County has inspected the area and determined that it is suitable for the intended use. County will indemnify and hold harmless the NCSPA from ai?y loss or liability, including defense costs, arising from any damage or injury to persons or property resulting from any activities contemplated by this Agreement or the use or occupancy of the Premises by any persons except for the officers and employees of the NCSPA when engaged in the normal course and conduct of 0 NCSPA's business. The foregoing is intended to constitute a complete indemnification of IN CSPA by the County except for any damage or injury to persons or property which may be caused by the actual active negligence of NCSPA officers or employees. X. ENTIRE AGREEMENT This document embodies the entire Agreement between the parties as to the subject matter hereof. Any prior agreements, either written or oral, with respect to the same subject matter are superseded hereby. In particular, the prior Lease between the parties, dated June 28, 1991, is hereby canceled. No modification or amendment to this Agreement shall be effective until reduced to writing and executed by authorized representatives of NCSPA and the County.
