This permit authorizes: Demolition of an existing residence(inc. septic tank)and construction of new dwelling with new septic system. (1) All proposed development and associated construction must be done in accordance with the permitted work plat drawing prepared by Weston Lyall, PE, PLS, PLLC, revised (R4) on September 20, 2019. The authorized work plat was received by the Division of Coastal Management on September 27, 2019. (2) All construction must conform to the N.C. Building Code requirements and all other local, State and Federal regulations, applicable local ordinances and FEMA Flood Regulations. (3) Any change or changes in the plans for development, construction, or land use activities will require a re-evaluation and modification of this permit. (4) A copy of this permit shall be posted or available on site. Contact this office at(910) 766-7221 for a final inspection at completion of work. (5) With exception of a beach access walkway and 100 sq. ft. or less of structurally independent decking, all other structures shall be set back a minimum of 60 feet from the first line of stable natural vegetation (FLSNV) and static vegetation line (SVL), as determined by the DCM, the Local Permit Officer(LPO), or another assigned agent of the DCM. Construction must begin within sixty(60)days of the determination or the measurement is void and must be redone. (7) Any/all structures constructed within the Ocean Hazard area shall comply with the NC Building Code, including the Coastal and Flood Plain Construction Standards of the N. C. Building Code, and the Local Flood Damage Prevention Ordinance as required by the National Flood Insurance Program. If any provisions of the building code or a flood damage prevention ordinance are inconsistent with any of the following Area of Environmental Concern (AEC)standards,the more restrictive provision shall control. (8) All unconsolidated material resulting from associated grading and landscaping shall be retained on site by effective sedimentation and erosion control measures. Disturbed areas shall be vegetated and stabilized (planted and mulched) within 14 days of construction completion. Any excess sand held in storage shall be re-distributed throughout the site; However, no material shall be deposited any further seaward than the landward toe of the frontal dune. (9) This permit does not authorize the removal and/or transportation of sand from the subject property. (10)With the exception of the permitted "boardwalk", or beach/structural access walkway, no other development shall be located seaward of the landward toe of the frontal dune, as determined by the NC Division of Coastal Management and depicted on the approved she plan drawing as"Toe of Dune-JAD 7-25-2019". (11) The total floor area of the permitted dwelling shall not exceed 1,760 square feet, per the application package. (12)All buildings must be elevated on pilings with a diameter of at least 8 inches in diameter if round, or 8 inches to a side if square;and the first-floor level of the sills and joists must meet the 100-year flood level elevation. (13)All pilings shall have a tip penetration greater than eight feet below the lowest ground elevation under the structure. (14)Any structure authorized by this permit shall be relocated or dismantled when it becomes imminently threatened by changes in shoreline configuration. The structure(s) shall be relocated or dismantled within two years of the time when it becomes imminently threatened. and in_any use upon its collapse or subsidence. However, if natural shoreline recovery or beach renourishment takes place within two years of the time the structure becomes imminently threatened, so that the structure is no longer imminently threatened, then it need not be relocated or dismantled at that time. This condition shall not affect the permit holder's right to seek authorization of temporary protective measures allowed under Coastal Resources Commission(CRC) Rules. PLANS AND SPECIFICATIONS: a. Contractor shall construct the Improvements substantially in accordance with the Plans and Specifications attached hereto as they may be modified by any change orders executed by the parties and in accordance with all applicable building codes and ordinances. b. The parties acknowledge that the Plans will be modified to include any executed change orders and must be approved by the Buyer prior to Contractor applying for building permits and submitting Plans for architectural review,if applicable. c. The parties acknowledge that the Plans must also be approved pursuant to the Declaration of Covenants,Conditions,and Restrictions and Architectural Guidelines for n/a (insert community name, if applicable). Contractor shall submit the Plans for approval and, if such approval is not granted,each party agrees to work diligently and in good faith to agree upon any modifications required to resubmit for architectural approval and that the cost of such modifications shall be the responsibility of the Buyer. The parties acknowledge that no clearing, grading, or other construction activity may be commenced on the Property until the Plans and certain other items as required by the Declaration and the Architectural Guidelines, such as exterior colors, have been approved. In case of conflict, the Specifications will take precedence over the Plans and the Plans will take precedence over this Agreement. 2. CHANGE ORDERS: Contractor shall not be required to make changes to the Plans and/or Specifications unless agreed to in writing by both parties in the form of change order provided by Contractor. Buyer shall pay to Contractor the cost of any alternations, additions, omissions or deviations agreed to in any such change order at the time of acceptance by Buyer and such amount shall be in addition to the Purchase Price set forth in this Agreement. The cost or credit,if any,of such change order will be determined by Contractor. Buyer's acceptance of a change order immediately authorizes Contractor to purchase or finalize work order for materials. Change requests made by Buyer after a change order has been accepted will be subject to an administrative fee by Contractor. 3. CONSTRUCTION SCHEDULE: a. The Contractor will commence construction once the building permits have been issued, Plans have been approved pursuant to Paragraph 1,the Property has been prepared for footings and, if applicable,the Buyer's construction loan is closed. The construction schedule of the House commences when the footings are poured. b. Contractor shall use reasonable efforts to achieve "Substantial Completion," as defined in Paragraph 3(d)below, by the Estimated Time for Completion specified on the first page of this Agreement, subject to occasioned by acts of God, casualty losses,labor or material shortages,or other events beyond the Contractor's control. c. The Estimated Time for Completion specified on the first page of this Agreement may be adjusted for additional days needed to implement change orders requested and accepted by Buyer. Additional days, if needed, shall be documented on the change order provided by Contractor and shall extend the Estimated Time for Completion specified on the first page of this Agreement. d. The House shall be "Substantially Complete" when (i) the Improvements have been constructed on the Property in accordance with the Plans,all fixtures,finishes,equipment,appliances and landscaping installed and operational,so that the Improvements may be used for their intended purpose, even though minor punch list items and mechanical adjustments may not be completed; and (ii) a certificate of occupancy has been issued for the Improvements by the appropriate governmental authority. 4. HOME SELECTIONS: Buyer shall be offered several options regarding materials and finishes for the House. Such selections must be made within the timeframe specified by Contractor(see Charter Building Group Standard Procedures). Buyer's failure to make selections within the specified timeframe will result in a delay of completion and a delay fee to compensate Contractor for increased labor,material and overhead costs caused by the delay. PERMITS AND APPROVALS: Contractor shall obtain all permits and authorizations from municipal,county,state and federal agencies that may be required for the construction of the Improvements and shall comply with all local requirements for building permits,inspections and zoning. Contractor reserves the right to make minor adjustments to the floor plan, window and door sizes and material substitutions of equal or greater quality to compensate for product availability or varying onsite conditions. 7. FINANCING CONTINGENCY: a. Buyer(X )does( )does not have to obtain a new loan in order to purchase the Property. PAYMENT OF CONSTRUCTION DRAWS: The Purchase Price set forth in this Agreement, less the Construction Deposit described on the first page of this Agreement, shall be paid in accordance with the Draw Sheet attached hereto. Contractor will submit construction draw requests to Lender or Buyer, as indicated above, and all draw payments shall be paid within five (5) business days after receipt thereof by the Lender or Buyer. Contractor reserves the right to request construction draws based on partial percentage of work completed. The final draw payment, together with any amounts previously requested and remaining unpaid,shall be paid within 10 business days after receipt by Lender or Buyer of Contractor's notice that the Improvements are Substantially Complete and a Certificate of Occupancy has been issued for the Improvements. Buyer agrees to direct the Lender, if applicable,to disburse all payments directly to Contractor,however,failure of the Lender to make any payment when due shall not relieve Buyer of obligation to make such payment when due and shall constitute a default by Buyer under this Agreement. In the event Lender or Buyer should fail to pay Contractor at the time a payment of any amount becomes due under the terms of this Agreement, Contractor may,and at any time thereafter, serve written notice that Contractor will stop construction within 10 days after receipt of such notice by Buyer.After the expiration of said 10 day period, Contractor shall have the right to stop construction until payment of said unpaid amount has been paid. Additionally, in the event Buyer should fail to pay Contractor at the time that any amount becomes due under the terms of this Agreement, interest shall accrue, and be due and payable by Buyer,on all such unpaid amounts at the rate of 10 percent(%) per annum. The interest that accrues and becomes due and payable shall be in addition to the Purchase Price set forth in this Agreement. 9. INSURANCE: Contractor shall provide a builder's risk insurance policy from a company licensed to do business in North Carolina in the amount of$ 426.450.00 (insert Purchase Price) on a replacement cost basis without voluntary deductibles. Contractor shall bear the risk of loss for damage or destruction of building materials,equipment,appliances and fixtures,whether incorporated in the Property or stored on or offsite, until Substantial Completion, except the risk of loss caused by flood is borne by Buyer. At all times during construction, including completion of punch list items, Contractor shall maintain worker's compensation insurance as required by law and commercial general liability insurance in the amount of$1,000,000 /2,000,000 covering personal injury or death and property damage which may arise out of Contractor's operations on the Property and for which Contractor may be legally liable. Certificates of Insurance acceptable to Lender and/or Buyer shall be provided before construction is commenced. Buyer shall be responsible for obtaining a homeowner's policy of property insurance to cover casualty losses arising after termination of the builder's risk policy,generally upon issuance of certificate of occupancy for the Improvements but no later than Buyer's possession. ENVIRONMENTAL AND SOIL CONDITIONS: Buyer acknowledges that Contractor has not completed a soil test to determine feasibility of construction of the Improvements on the Property and that Contractor is not responsible for adverse soil conditions that are not reasonably foreseeable by an experienced contractor. Buyer also acknowledges that various substances naturally occurring or used in construction of the Improvements on the Property may now or in the future be determined to be toxic or hazardous. Neither Contractor nor any broker(s) involved in this transaction have any knowledge of, nor have they investigated or made any determination with respect to,the existence of toxic or hazardous substances or gasses,including Radon gas. Buyer or Buyer's representative, at Buyer's expense, shall be entitled to conduct soil or environmental tests to determine whether Property is suitable for Buyer's intended use. 11. MECHANICS/MATERIALMAN LIENS: Contractor agrees to keep the Property free of liens arising from Contractors failure to pay any mechanic or materialman for labor or materials supplied at Contractor's request in connection with the construction of the Improvements on the Property,provided that all payments due to Contractor hereunder have been made in a timely manner. 12. WARRANTIES: a. Seller's Limited Warranty: Contractor shall cover defects in materials and workmanship in structures,systems,fixtures, equipment and finishes for a period of one(1)year from the date of certificate of occupancy. Contractor shall provide warranty documents that include written description of warranty consistent with this paragraph and procedures for making warranty requests to Buyer at Closing. Imperfections in nonstructural components of the Property resulting from normal settling and drying of materials shall not be considered defects. ANY OTHER WARRANTY, WHETHER EXPRESS OR IMPLIED, ARE DISCLAIMED BY CONTRACTOR AND WAIVED BY BUYER, EXCEPT AS OTHERWISE EXPRESSLY STATED IN THIS AGREEMENT OR PROHIBITED BY NORTH CAROLINA LAW. Should Contractor repair or attempt to repair any defect subsequent to the expiration of the warranty period set forth in this paragraph, such conduct will not extend the limited warranty beyond the original one (1)year term and shall not be evidence of a warranty either express or implied in addition to the warranties established in this paragraph and such conduct shall be deemed a gratuitous act by Contractor. No gratuitous act by Contractor subsequent to the expiration of the one(1)year warranty period shall be warranted by Contractor either expressly or by implication. b. Manufacturer's Limited Warranties: Contractor shall assign to Buyer any manufacturer limited warranties or guarantees if any,on materials,fixtures,appliances and components installed in the Improvements. Buyer shall be responsible for compliance with any notice or claim procedures set forth therein. Contractor does not adopt and is not bound by any such manufacturer's warranty assigned to Buyer. 13. INSPECTIONS: During the course of construction,Buyer or his designated representative may enter and inspect the Property at reasonable times and in such a manner as not to interfere with the progress of construction. BUYER'S ENTRY SHALL AT ALL TIMES BE AT BUYER'S RISK. 14. FINAL WALK-THROUGH AND PUNCH LIST:Within seven(7)days after Contractor notifies Buyer that Improvements are Substantially Complete,Contractor and Buyer shall meet at a mutually convenient time during regular business hours to conduct a "walk-through" inspection of the Improvements. At that time, Contractor and Buyer shall prepare a final punch list identifying any material defects and each party shall execute the punch list. Contractor shall use its best effect to address all of the material defects noted on the punch list in a timely manner. However,the fact that any such items remain to be addressed as of Closing shall not constitute a valid reason for Buyer's failure to close, as long as a certificate of occupancy has been issued for the Improvements, and none of the proceeds due to Contractor shall be withheld from Contractor because punch list items remain to be addressed as of Closing. 15. CLOSING: Closing and delivery of possession shall occur upon receipt of the balance of the Purchase Price ("Final Draw Payment"), together with any amounts previously requested and remaining due to Contractor under this Agreement; however, such balance shall be paid no later than 10 days after Contractor's notice to Buyer or Lender, if one, that the Improvements are Substantially Complete and a Certificate of Occupancy has been issued. At time of delivery of possession, the Improvements shall be broom clean and ready to occupy and Contractor shall provide Buyer with termite soil treatment guarantee, a certificate of occupancy, and documents evidencing Contractor's limited warranty as described in Paragraph 11(a). Buyer may not place any household goods or personal items in the House prior to delivery of possession. 16. NOTICE: Any notice to be given hereunder shall be in writing,addressed to the appropriate party, and shall be delivered either in person or by mail.Such notice shall be deemed delivered at the time of personal delivery or,if mailed,on the date postmarked. SUCCESSORS AND ASSIGNS: This Agreement shall be binding upon and inure to the benefit of the parties' successors and assigns; provided, however, Buyer shall not assign this Agreement or any interest hereunder, in whole or in part, without prior written consent of Contractor. 18. ENTIRE AGREEMENT: This Agreement, together with all attachments and exhibits referenced in this Agreement and attached, embodies the entire agreement between the parties and cannot be waived or amended except in writing signed by both parties.Buyer has not relied upon any information,representation,warranties or statements,whether oral or written,expressed or implied, made by Contractor, Brokers, or any other person representing or purporting to represent the Contractor that are not expressly set forth or provided for in this Agreement. 19. APPLICABLE LAW: This Agreement shall be governed by and construed in accordance with the substantive laws of the State of North Carolina and the laws of the United States applicable to transactions in the State of North Carolina. 20. SEVERABILITY: The provisions of this Agreement are intended to be independent, and in the event any provisions hereof should be declared by a court to be invalid,illegal or unenforceable for any reason whatsoever,such provision shall not affect the remainder of this Agreement,provided that the unenforceable term is not an essential term of the Agreement. 21. ARBITRATION: Subsequent to the execution of this Agreement by the parties hereto, all claims, disputes, differences and controversies which may arise concerning the matters and obligations set forth herein,or for the construction or application of this Agreement,or concerning any liabilities created hereunder,or any act or omission of any party hereto,shall be subject to binding arbitration in accordance with the rules and regulations then in force of the American Arbitration Association. The prevailing party shall be entitled to their costs including reasonable attorney's fees. However,this clause shall not limit the right of any party to seek temporary injunctive relief where an unacceptable interim period may exist between the time the decision to arbitrate is made and the earliest time at which arbitration can be commenced. 22.
