This Hold Hau.uiless and indemnification Agreement("Agreement") is entered into by
and between Joseph P. & Janet E. Lamb and John Moore,; e-reinafter"Promisor", and
Marylyn McCormick,hereinafter"Promisee", on this y d3.y of 79- . 49 q-'cp—
Recitals
Regarding property in Sneads Ferry,NC, Pro or desires to hire an experienced
professional to clean the canal to a depth of 4 o 5tb een lot#10 and Promisee's lot
#8. The fill (soil from the canal free of debris) from the area of the canal adjacent to .
Promisee's lot#8 will be deposited on lot#8, leveled, and seeded with grass; in effect
elevating the property. All expense associated with this work will be paid by.
• Promisors.
Agreement
- -Promisor-will.-indemnify and-hold-harmless Promisee fr.-OM-any and all"cl i_ms actions,
and judgments,including all costs of defense and attorney's'fees incurred in
against same, arising from and related to Promisor's cleaning of canal. Promisor's defending.
actions include the acts of agents and contractors hired by Promisor,
Promisee shall be entitled, in its reasonable discretion, to settle claims prior to suit or
judgment, and in such.event Promisor shall indemnify abd hold harmless Promisee for
any such claims paid, including Promisee's reasonable attorney's fees incurred resulting
from such claim..
In the event any claim or suit is brought against Promisee within the scope of this
Agreement, Promisor shall pay for legal counsel chosen by Promisee to defend against
same.
This Agreement shall encompass all claims resulting from the cleaning of the canal and
subsequent depositing, leveling, and seeding on.Promisee's lot#8, as well as hiring of
• - independent contractors.
In the event either party files suit in a court of law to iiterpret or to enforce UV?.to Ins of
