BUFFER AUTHORIZATION CERTIFICATE FOR PIER AND DOCKING FACILITIES ACCESS WAY A riparian buffer authorization is required for pier and docking facilities access ways through the Tar-Pamlico& Neuse River Riparian buffer per Division of Water Resources(DWR)regulations 15A NCAC 026.0233&.0259.The Division of Coastal Management(DCM),through a Memorandum of Understanding with the Division of Water Resources(DWR) has reviewed your project proposal and has determined that the project as proposed complies with the aforementioned regulations. Those activities covered by your Coastal Area Management Act(CAMA)permit have received Buffer Authorization provided the project is constructed in a manner that continues to meet all of the conditions listed below. Failure to comply with this Buffer Authorization may subject the property owner and the party(contractor) performing the construction and/or land clearing to a civil penalty by DWR of up to$25,000 per day per violation. i. Crossing is Perpendicular: Pier and docking facility access way must cross the 50 ft. riparian buffer perpendicularly(which is defined as,between 75 and 105 degrees)unless otherwise approved by DCM.The alignment shall minimize the removal of woody vegetation to the greatest extent practicable. 2. Pervious Materials:All reasonable measures shall be taken to ensure the access way is made of pervious materials like open-slatted wood or composite, mulch,or grass to meet the intent of the rules to the maximum extent practicable. 3. Access Width:The width of the pier or docking facility access way shall be limited to six(6)feet. 4. Project Drawing:The drawing on the CAMA General Permit is considered the project drawing of your property indicating the relative location of the pier or docking facility and any requested access way. ARTICLES OF ASSOCIATION OF SWAN POINT REEF CONSERVATION AND RECREATION ASSOCIATION Article 1 -Name, Organization and Membership. § 1.1 Name. The name of the association is SWAN POINT REEF CONSERVATION AND RECREATION ASSOCIATION ("Association"). § 1.2 Organization. The Association is organized as an unincorporated nonprofit association pursuant to North Carolina General Statutes chapter 59B, the Uniform Unincorporated Nonprofit Association Act. §1.3 Members. The initial members of the Association are David A.Howdy and Larry D. Keech. Article 2 -Purposes and Activities. § 2.1 Purposes. This unincorporated nonprofit association is organized for non-profit purposes pursuant to N.C.G.S. §59B-1, et. seq., to the extent that said purposes are consistent with IRC § 501(c)(3) (1986), as amended,or any superseding statutes thereto. §2.2 Activities. Pursuant to the purposes prescribed in§ 2.1 above,the rganization shall conduct any and all activities deemed necessary and proper by the Member of the ssociation consistent with the laws of the United States of America and the State of North Car Tina. Said activities shall include,but not be limited to: ! (A) the ownership and conservation of that certain lot or parcel escribed in an instrument recorded in the Beaufort County Registry in Deed Book 1653, page 07, which description is attached hereto as Exhibit A and incorporated herein by reference(the`Property"); (B)the restriction of the use of the Property as a"play area"for wners of lots in the Swan Point Reef subdivision, as designated in their respective deeds; i (C)the management of the Property and maintenance of such structures and easements as currently exist on the Property;and i (D)the payment of any taxes and other costs associated with m4intaining the property and ownership thereof. Article 3 -Duration §3.1 Perpetual Duration.The duration of the Association shall be perpetual,unless sooner dissolved by an act of its members. § 3.2 Dissolution Procedures. In the event of the dissolution of the Association, assets of the Association shall be distributed to an Association organized exclusively for nonprofit purposes similar to the purposes of this Association so enumerated in § 2.1 of these Articles of Association and recognized as a nonprofit association or other nonprofit organization. Article 4-Powers and Responsibilities § 4.1 The Association shall reserve the right to exercise all powers accorded unincorporated nonprofit associations pursuant to N.C.G.S. §59B-1, et. seq,to the extent that said powers enable acts which are not inconsistent with IRC § 501(c)(3)(1986). §4.2 Private Inurement Prohibited.No part of the net earnings of the Association shall inure to the benefit of,or be distributable to its members,directors,officers,or other private persons,except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in§ 3.1 of these Articles of Association. Any salaries, together with fringe benefits or other forms of compensation (housing, transportation, and other allowances) paid to or provided employees, directors,or officers,will not exceed a value which is reasonable and commensurate with the duties and working hours associated with such employment and with the compensation ordinarily paid persons with similar positions and duties. §4.3 Influencing Legislation Restricted.No substantial part of the activities of the Association shall be the carrying on of propaganda,or otherwise attempting to influence legislation. § 4.4 Political Activities Prohibited. The Association shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. § 4.5 Activities Restricted to Exempt Purposes. Notwithstanding any other provision of these Articles of Association, the Association shall not carry on any other activities not permitted to be carried on(a)by a corporation exempt from federal income tax under IRC§501(c)(3)(1986),or(b) by a corporation, contributions to which are deductible under IRC § 170(c)(2)(1986). Article 5 -Transfer of Membership. § 5.1 No person may become a Member of the Association without the unanimous consent of all Members. § 5.2 Upon the death of any Member,the deceased Member's interest shall be owned by the heirs of the deceased Member. § 5.3 Notwithstanding the foregoing, each Member shall have the right to purchase the other Member's membership interest for the sum of$2,500 upon the occurrence of any of the following: (i) either Member or his heirs sell or otherwise convey said Member's lot adjacent to the Property or(ii)either member requests the consent of the other member to convey his Membership interest to any third party.
