LICENSE AGREEMENT
BETWEEN THE
CO TAL OCEAN RESEARCH AND MONITORING PROGRAM
UNIVERSITY OF NORTH CAROLINA WILMINGTON
AND
OCEAN CREST PIER, OCP LLC
This Li : se Agreement is entered into by the Coastal Ocean Research and Monitoring
Program(CO' I'),University of North Carolina Wilmington (LICENSEE) and Ocean Crest
Pier, OCP LLC p ICENSOR). The purpose of this Agreement is to allow LICENSEE to have
the right of acce• to and occupancy and use of certain real property owned by the LICENSOR,
for the purpose u f operating and maintaining a near shore current and wave observations station
and a meteorolo p;cal station. The property affected is the Ocean Crest Pier, located at 1409 East
Beach Drive,O. . Island,North Carolina 28465(referred to below as"the premises"). _
By their •ignatures below,the authorized representatives of LICENSEE and the
LICENSOR agr=e to the following terms and conditions:
1. Empl•yees or agents of LICENSEE shall have the right of access to,and occupancy
and use of the premises,with the understanding that access to the premises will be required
periodically d 'u g the year by maintenance personnel, free-of-charge with proper university
identification.
2. LICE SOR waives a license fee since the prescribed use is for research and
educational purpres.
3. By v e of the right of access to and occupancy and use of the premises, LICENSEE
shall be entitled o install, operate,and maintain the current observations instrumentation(in a
mutually agreea [e location),an Acoustic Doppler Current Profiler(located approximately 750-
1000 feet from e end of the pier),an anemometer,air temperature sensor and electrical
enclosure(locate on the end of the pier) and power cords(which will be run underneath the
pier). All equip ent and resulting data generated from this equipment shall remain the property
of the LICENSE .
4. This greement shall not be construed to require the LICENSOR to furnish to
LICENSEE any more than access to and occupancy and use of the premises for the purposes
stated herein.
5. On to ' ation of this Agreement, LICENSEE shall remove the instrument ment it has
placed on the pre ses, and restore the premises to the condition in which they existed before

6. The liability of LICENSEE for bodily injury,property damage or any other matter
sounding in tort 's determined solely in accordance with the provisions,procedures, and limits of
the North Carol' Tort Claims Act,N.C.G.S. 143-291, et. seq.
7. LICE SEE agrees not to sell, convey, transfer mortgage,pledge,assign, or otherwise
encumber this A eement, in whole or in part,nor any of LICENSEE's rights, interests, or
privileges, hereunder,
8. Use of the premises by LICENSEE shall not be in support of any policy which
discriminates ag ' t any person on the basis of race,sex,religion, or national origin.
9. This greement shall take effect upon signature by both parties, and shall remain in
effect for a perio of ten years from the date of the last signature, with options to extend the _
-Agreement fors bsequent ten year periods,-provided that the parties may terminate the
Agreement eithe by mutual written agreement or upon ninety days' written notice by either party
to the other.
