hereinafter referred to as "Grantor" (whether one or more), do hereby grant and convey unto North Carolina Natural Gas
Corp., a Delaware corporation, its successors and assigns, hereinafter referred to as"Grantee", the right to construct,main-
tain,inspect, operate,protect,repair,replace, change the size of, or remove a pipeline or pipelines and appurtenances, for the
transportation of natural gas,oil,petroleum products or any other liquids,gases or substances which can be transported through
a pipeline, together with the right of ingress and egress to and from the same for the purposes afore d,_.vcr under,through
and across lands of vhich.the Grantor warrants he is the owner in fee simple,situated in �8a 11���eaaFF

lows,to-wit:

Being land more particularly described in a deed dated 10-23-19I6, and recorded in De::�
Book 380, Page 132, records of said County.
The here-in granted Right of Way shall be 100 feet in width during construction
period only, There after reverting back to a permanent Right of Way of 50 Feet
in width.
As a part consideration here-for, Grantor shall be permitted to purchase gas from
said Gas Line for domestic and Industrial purposes to be used exclusively on the
here-in described premises.
Should more than one pipeline be constructed under this grant, at any time, an additional consideration, equal to the sum of
$ 1.00 per lineal rod,shall be paid for each line so laid after the first line. •
TO HAVE AND TO HOLD said right of way and easement unto said Grantee,its successors and assigns continuously.
It is agreed that the pipeline or pipelines to be laid under this grant shall be constructed at sufficient depth below the surface of
the ground to permit normal cultivation, and Grantor shall have the right to fully use and enjoy the above described premises,
subject to the rights herein granted.
Grantee shall have the right to clear and keep clear all trees,undergrowth and other obstructions from the herein granted right of
way,and Grantor agrees not to build,construct or create,nor permit others to build,construct or create any buildings or other
structures on the herein granted right of way that will interfere with the normal operation and maintenance of the said line or
lines.
Grantee agrees to pay to the then owners and to any tenant, as their interests may be, any and all damages to crops, timber,
fences or other improvements on-said premises that may arise from the exercise of the rights herein granted,said damages,if not
mutually agreed upon, to be ascertained and determined by three disinterested persons, one of whom to be appointed by the
Grantor,one by the Grantee,and the third by the two so appointed,and the written award of such three persons shall be final
and conclusive.
Any payment due hereunder may be made direct to the said Grantor or any one of them. '
It is understood that the person securing this grant is without authority from Grantee to make any agreement with respect to the
subject matter hereof not herein expressed.

THIS AGREEMENT, made and entered into this / /

corporation duly created and existing under and by virtue of (/7

State of Delaware and duly licensed to transact business in
the State of North Carolina, party of the second part, .
WITNESSETHCort)
That said party of the first part, in consideration
of the sum of Ten Dollars ($10.00) and other good and valuable
considerations in hand paid by the party of the second part,
the receipt of which is hereby acknowledged, does hereby grant
unto said party of the second part, its successors and assigns,
a right of way and easement Fifty Feet (50 ft.) in width upon,
over, and across that certain tract or parcel of land situate
in the County of New Hanover, State of North Carolina, which
tract is more specifically described as follows:
Beginning at a stone marked. "P" , the Northeast
corner of a tract of land conveyed by Milton D.
Hays and wife, Minnie E. Hays, to the Pittsburgh
Lumber Company by deed registered in the records
of said New Hanover County in Book 32, page 358,
and running thence South 89 1/2 degrees West,
902.2 feet to a stone marked "P"; thence South 4
degrees East 1,173.7 feet to a stake; thence
South 89 1/2 degrees West 1,050 feet to a stake;
thence North 4 degrees West 1,173.7 feet to a
stake; thence on same line continued North 4 de-
grees West 1,805 feet to a stake; thence North
30 degrees West 3,386 feet, more or less, to a
cypress or water r^' -t the side of the swamp
above the highla. _, thence along the upper
or Northern side-of the said bluff, 40 poles, more
or less, to the river; thence down the various
courses of the said river. as it meanders. to the

Said right of way is defined by a line which
is at all points fifteen (15) feet South or
Southwest of the North line of said fifty (50)
foot right of way, the point of beginning of
said line being determined as follows: Commence
at the Northwest corner of the above described
parcel of land; thence South 30° East along the
West line of said parcel of land twelve hundred
and twenty (1220) feet more or less to a concrete
monument marked 'K"; thence continue South 30°
East along the West line of said parcel of land
eighty-one (81) feet to the point of beginning;
from said point of beginning the said line
extends the following courses and distances
across the said parcel of land: South 48° 31'
East one hundred and sixty-six (166) feet; South
37° 18' East two hundred and forty-eight (248)
feet; South 48° 31' East eleven hundred and
fifty-four (1154) feet; South 71° 41' East to
the river, as shown on North Carolina Natural
Gas Corp. drawing 2-9, NH-5, dated January 24,
1959, and last re'vised May 22, 1959, captioned
"6' Pipeline Crossing Property of Swift & Co.,
New Hanover County, North Carolina," attached
hereto and made a part hereof.
SUBJECT, HOWEVER, to the following terms and conditions:
1. Said right of way is for the purpose of constructing,
maintaining, inspecting, operating, protecting, repairing,
replacing, changing the size of or removing an underground pipe-
line or pipelines within the limits of the right of way above
defined, for the transportation of natural gas, oil, petroleum
products or any other liquids, gases or substances which can be
transported through said pipelines.
2. The rights herein granted are granted expressly
subject to the rights granted by party of the first part to
Tide Water Power Company, a North Carolina corporation, by easement
agreement dated April 23, 1941, to maintain an electric trans-
mission line, including necessary wires, poles, guy wires and
fixtures and telephone wires and fixtures necessary for the opera-
tion of said line on a right of way one hundred (100) feet in
width across the above described parcel of land, and are

part to Carolina Power & Light Company by easement deed dated
July 1, 1954, to construct, maintain and operate two electric
transmission lines, of wood or steel construction, including
the necessary wires, poles, towers, guy wires and fixtures, and
telephone wires and fixtures necessary for the operation of said
lines on a one hundred and thirty (130) foot right of way across
the above described parcel of land.
3. Said pipeline shall be constructed, operated and
maintained in a good and workmanlike manner and without inter-
ference to the facilities maintained on said land by virtue of
the two easement deeds referred to in the preceding paragraph.

4, The said pipeline shall be installed and maintained
at sufficient depth below the surface of the land to permit normal
cultivation thereof.
5. Party of the second part shall have the right to
clear and keep clear of all obstructions, trees, undergrowth.
and other obstructions (other than the facilities installed
and maintained pursuant to the terms of the two easement agreements
referred to in paragraph 2 hereof) from the herein granted right of
way, and party of the first part agrees not to build, construct
or create any buildings or other structures (other than the
facilities installed pursuant to the terms of the two easement
agreements referred to in paragraph 2 hereof) on the herein granted
right of way that will interfere with the normal operation and
maintenance of the said line or lines.
6. Party of the first part shall have the right to use
said right of way to the extent that such use is not inconsistent

save party of the first part harmless from any and all
liability, loss, damage, cost and expense, including attorneys
fees, which it or any of them may incur or suffer on account
of injuries to or death of any person on the above described
tract of land or elsewhere, and damage to or destruction of
property of any kind, wherever located, owned by party of the
first party or others, arising out of the construction., main-
tenance, inspection, operation, protection, replacement,
repair, change in the size of, relocation, removal or presence
of said underground pipeline or pipelines, unless due to the
sole negligence of party of the first part, its employes, agents,
successors and assigns, and if such liability, loss, damage,
cost and expense is due to the joint or concurring negligence
of the parties, their agents, employes, successors or assigns,
it shall be borne by them equally.
8. This agreement shall be binding upon and inure to
the benefit of the successors and assigns of the parties hereto.
IN WITNESS WHEREOF, the parties hereto have caused
these presents to be executed by their duly authorized officers
and their respective corporate seals to be hereunto affixed and
attested as of the day and year first above written.
