Location Agreement (revised)
1. This Location Agreement shall be between the undersigned Lessor as owner of the premisE
(or as agent for or authorized representative of such owner) described herein ("Lessor") an
Safe Haven Productions, LLC, as lessee ("Lessee"), regarding the premised generally describe
as follows (the "Premises"):
Waterfront land (including the easternmost dock or boat slip) located adjacent to and sout
of 410 West Brunswick Street, Southport, North Carolina; and being part of Parcel #237LE03!
THIS AGREEMENT SPECIFICALLY DOES NOT INCLUDE the use or lease of any boats or othE
vessels located in or docked at any of the docks or boat slips on said property.
LESSOR MAKES NO REPRESENTATION OR WARRANTY REGARDING THE CONDITION OF TH
"PREMISES" AND LESSEE, AFTER HAVING HAD SUFFICIENT OPPORTUNITY TO INSPECT SA[
PREMISES, ACCEPTS SAID PREMISES IN ITS CURRENT CONDITION.
2. Lessor hereby grants to Lessee and any agent, licensee and/or assignee of Lesse
("Successor(s)") the right to use (either accurately or with such liberties as Lessee may deer
necessary), photograph (including, without limitation, by means of motion picture, still or vide
device photography), reproduce and/or replicate the Premises, including, without limitatior
both the real and personal property, any name connected with the Premises and any name!
trademarks, signs and identifying features thereof including the right to photograph, record an
use any logos and verbiage contained on the Premises; the right to refer to the Premises or an
part thereof by any fictitious name; the right to attribute any fictitious events as occurring o
the Premises; and as set forth in Paragraph 10, below. Lessor also grants to Lessee and it
Successor access to and egress from said Premises with Lessee's personal equipment for th
purpose of erecting and maintaining temporary motion picture sets, structures and equipmen
(to the extent required by Lessee), and of photographing said Premises, sets and structure
and/or recording sound for such scenes as Lessee may desire located at the Premises in an
manner whatsoever.
3. Lessor warrants that Lessor is the owner (or the agent for the owner) of said Premises, tha
Lessor is fully authorized to enter into this Location Agreement and has the right to gran
Lessee the use of said Premises and each and all of the rights herein granted and that no on
else's permission is required.

above, or in the event of damage or imperfect film or equipment, then Lessee shall have the
right to use the Premises at a later date upon terms mutually agreed upon by Lessor and
Lessee.
In the event of an approaching hurricane, this agreement shall be suspended temporarily upon
the issuance of a Hurricane Watch by the National Weather Service/NOAA so that all pantie!
concerned have time to properly prepare for the approaching storm. The contract woulc
resume as soon as reasonably possible and safe after the storm.
Lessee agrees to pay for the rights and licenses granted herein, and as rental for said Premise,
shall pay to the Lessor the following:
Charges shall b payable ayable in the following manner: One-half (1/2) of total to be paid upoi
commencement of work; the balance, plus payment for any additional days incurred by LesseE
upon completion of the work contemplated hereunder. Provided that Lessee has complier
with all terms hereof, Lessor agrees to execute a Location Release within three (3) busines
days after the completion of Lessee's use of the Premises as set forth above provided tha
conditions of paragraph seven (7) below have been met.
6. If Lessee desires to photograph retakes or other scenes, Lessee may, upon reasonable noticE
reenter upon and use said Premises for such period as may be reasonably necessary therefo
commencing at any time within eighteen (18) months after completion of principi
photography on this location and in such event the above rental rate (pro rata, if applicabl(
shall apply.
7. Lessee shall leave said Premises in as good condition as when received by it, exceptir
reasonable wear and tear and use of said Premises for the purposes herein permitted; an
Lessee shall have the right to remove all of its sets, structures and other material an
equipment from said Premises.
8. Lessee shall indemnify and hold Lessor harmless from and against damages for injury to c
death of any persons and for damage to or destruction of any property occurring durir
Lessee's use of said Premises caused by Lessee or any of its employees or agents in the condu

(including, without limitation, any right to seek and/or obtain rescission and/or equitabl(

hereunder; and (iv) Lessor will not assert or maintain against Lessee any claim of any kind o
nature whatsoever related to invasion of privacy or other civil rights, defamation, copyrigh
infringement, libel or slander, in connection with the exercise of the permission or rights hereir
granted.
10. Lessor hereby irrevocably grants to Lessee and its successors the right, in perpetuity
throughout the world, to re -use the photography and sound recordings (or any part thereof
and/or to duplicate and re-create all or a portion of said Premises and to use the same in an'
and all formats, media and/or manner now known or hereafter devised including, withou
limitation, in and in connection with any motion picture, and/or in connection with an
exploitation, distribution, marketing, production, publicity, promotion and/or advertising c
same.
11. Neither Lessee nor its Successors shall be obligated to make any actual use of any photograph),
recordings, depictions or other references to the Premises in any manner whatsoever at an
time.
12. Lessee and its Successors shall have the right to assign any or all of this Location Agreemen
including, without limitation, the rights, licenses and privileges granted to it hereunder, to ar
other entity or person, but Lessee shall remain liable for its obligations hereunder.
13. THIS AGREEMENT SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH THE LAWS C
THE STATE OF NORTH CAROLINA APPLICABLE TO AGREEMENTS OF THIS NATURE, AND LESSC
AND LESSEE HEREBY CONSENT TO THE JURISDICTION OF SAID STATE.
14. This Agreement is entered into as of the date indicated below, represents the entire agreemei

LOCATION AGREEMENT
1. This Location Agreement shall be between the undersigned lessor as
owner of the premises (or as agent for or authorized representative of such owner)
described herein ("Lessor") and Safe Haven Productions, LLC, as lessee ("Lessee"),
regarding the premises generally described as follows (the "Premises"):
Waterfront land (including dock or boat slip if any) located on W. Brunswick St.,

2. Lessor hereby irrevocably grants to Lessee and any agent, licensee and/or
assignee of Lessee ("Successor(s)") the right to use (either accurately or with such
liberties as Lessee may deem necessary), photograph (including, without limitation, by
means of motion picture, still or video device photography), reproduce and/or replicate
the Premises, including, without limitation: both the real and personal property, both
interior and exterior of the Premises; any name connected with the Premises and any
names, trademarks, signs and identifying features thereof including the right to
photograph, record and use any logos and verbiage contained on the Premises; the right
to refer to the Premises or any part thereof by any fictitious name; the right to attribute
any fictitious events as occurring on the Premises; and as set forth in Paragraph 10,
below. Lessor also irrevocably grants to Lessee and its Successor access to and egress
from said Premises with Lessee's personnel and equipment for the purpose of erecting
and maintaining temporary motion picture sets, structures and equipment (to the extent
required by Lessee), and of photographing said Premises, sets and structures and/or
recording sound for such scenes as Lessee may desire located at the Premises in any
manner whatsoever.
3. Lessor warrants that Lessor is the owner (or the agent for the owner) of
said Premises, that Lessor is fully authorized to enter into this Location Agreement and
has the right to grant Lessee the use of said Premises and each and all of the rights herein
granted and that no one else's permission is required.
4. Lessee may take possession of said Premises on or about May 16, 2012
and may continue in possession thereof until the completion of all photographing and
recording for which Lessee may desire the use of said Premises, estimated to require
about twenty (20) day(s) of photography, and total occupancy of approximately ei h -
two 82 days. If due to the illness of actors, the director or other essential artists and
crew, or weather conditions or any other occurrence beyond Lessee's control, Lessee is

5. Lessee agrees to pay for the rights and licenses granted herein (provided
the Premises are actually utilized for photography), and as rental for said Premises:
Charges: $50.00 per day (estimate of a total of 82 days)
All charges shall be payable on completion of the work contemplated hereunder, unless
specifically agreed to the contrary, and the signing by Lessor of a Location Release.
Lessor explicitly agrees to execute a Location Release within three (3) business days after
the completion of Lessee's use of the Premises as set forth above. Lessee may at any
time elect not to use the Premises in which case neither party shall have any obligation
hereunder.
6. If Lessee desires to photograph retakes or other scenes, Lessee may re-
enter upon and use said Premises for such period as may be reasonably necessary
therefor, commencing at any time within eighteen (18) months after completion of
principal photography on this location and in such event the above rental rate (pro rata, if
applicable) shall apply.
7. Lessee shall leave said Premises in substantially as good condition as
when received by it, excepting reasonable wear and tear and use of said Premises for the

8. Lessee shall indemnify and hold Lessor harmless from and against
damages for injury to or death of persons and for damage to or destruction of property of
the owner occurring during Lessee's use of said Premises and caused by the gross
negligence or willful misconduct of Lessee or any of its employees in the conduct of
Lessee's motion picture operations hereunder to the extent such loss is not otherwise
covered by any insurance, provided that Lessee's liability shall be limited to one million
dollars ($1,000,000).
9. Lessor and Lessee acknowledge and agree that (i) all rights of every kind
in and to all photography and sound recordings made hereunder shall be solely owned in
perpetuity by Lessee and its Successors; (ii) neither Lessor nor any tenant or other party
now or hereafter having an interest in said Premises, nor any party claiming through or
under any of the foregoing, shall have any interest in any such rights; (iii) Lessor and any
tenant or other party now or hereafter having an interest in said Premises hereby waives
any right to seek and/or obtain rescission and/or equitable and/or injunctive relief against
Lessee, its Successors and/or any other party, in connection with this Location

kind or nature whatsoever, including, but not limited to, those based upon invasion of
privacy or other civil rights, defamation, copyright infringement, libel or slander, in

perpetuity, throughout the world, to re -use the photography and sound recordings (or any
part thereof) and/or to duplicate and re-create all or a portion of said Premises and to use
the same in any and all formats, media and/or manner now known or hereafter devised
including, without limitation, in and in connection with any motion picture, and/or in
connection with any exploitation, distribution, marketing, production, publicity,
promotion and/or advertising of same.
11. Lessor hereby waives, on behalf of himself and his insurance carrier, all
rights of subrogation with respect to any claim or claims which may arise under any and
all policies of insurance now or during the term hereof in effect insuring any property of
Lessor situated in or upon said Premises.
12. Neither Lessee nor its Successors shall be obligated to make any actual
use of any photography, recordings, depictions or other references to the Premises in any
manner whatsoever at any time.
13. Lessee and its Successors shall have the right to assign any or all of this
Location Agreement, including, without limitation, the rights, licenses and privileges
granted to it hereunder, to any other entity or person.
14. THIS AGREEMENT SHALL BE CONSTRUED AND ENFORCED
IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA
APPLICABLE TO AGREEMENTS OF THIS NATURE, AND LESSOR HEREBY
CONSENTS TO THE JURISDICTION OF SAID STATE.

damages for injury to or death of persons and for damage to or destruction of property of

covered by any insurance, provided that Lessee's liability shall be limited to one million

3. Lessor warrants that Lessor is the owner (or the agent for the owner) of
said Premises, that Lessor is fully authorized to enter into this Location Agreement and
has the right to grant Lessee the use of said Premises and each and all of the rights herein
granted and that no one else's permission is required.
4. Lessee may take possession of said Premises on or about May 16, 2012
and may continue in possession thereof until the completion of all photographing and
recording for which Lessee may desire the use of said Premises, estimated to require
about twenty (20) day(s) of photography, and total occupancy of approximately eighty-
two 82 days. If due to the illness of actors, the director or other essential artists and
crew, or weather conditions or any other occurrence beyond Lessee's control, Lessee is

the same in any and all formats, media and/or manner now known or hereafter devised
including, without limitation, in and in connection with any motion picture, and/or in
connection with any exploitation, distribution, marketing, production, publicity,
promotion and/or advertising of same.
11. Lessor hereby waives, on behalf of himself and his insurance carrier, all
rights of subrogation with respect to any claim or claims which may arise under any and
all policies of insurance now or during the term hereof in effect insuring any property of
Lessor situated in or upon said Premises.
12. Neither Lessee nor its Successors shall be obligated to make any actual
use of any photography, recordings, depictions or other references to the Premises in any
manner whatsoever at any time.
13. Lessee and its Successors shall have the right to assign any or all of this
Location Agreement, including, without limitation, the rights, licenses and privileges
granted to it hereunder, to any other entity or person.
14. THIS AGREEMENT SHALL BE CONSTRUED AND ENFORCED

parcel involved, we feel that greater compensation is fair and equitable, as the
personal use of said property will be restricted for the duration of the production
during "high season".
Any use by any person other than the owners of the vessel Alice Belle is strictly
prohibited. If the vessel needs to be moved Lessee should notify owners to do so.
Access to this vessel by the owners for purposes of maintenance will be on a

5. Lessee agrees to pay for the rights and licenses granted herein, and as rental for said Premises

photography and sound recordings made hereunder shall be solely owned in perpetuity I
Lessee and its Successors; (ii)Lessor nor any party claiming through or under any of tt
foregoing, shall have any interest in any such rights; (iii)Lessor shall not have any right of acti(
(including, without limitation, any right to seek and/or obtain rescission and/or equitab
and/or injunctive relief against Lessee, its Successors and/or any other party) or make any clai
arising out of any use or non-use of the photography and/or sound recordings contemplate
hereunder: and hv) Lessor will not assert or maintain against Lessee any claim of any kind
and all formats, media and/or manner now known or hereafter devised including, withot
limitation, in and in connection with any motion picture, and/or in connection with ar
exploitation, distribution, marketing, production, publicity, promotion and/or advertising
same.
11. Neither Lessee nor its Successors shall be obligated to make any actual use of any photograph
recordings, depictions or other references to the Premises in any manner whatsoever at ar
time.
12. Lessee and its Successors shall have the right to assign any or all of this Location Agreemen
including, without limitation, the rights, licenses and privileges granted to it hereunder, to ar
other entity or person, but Lessee shall remain liable for its obligations hereunder.
13. THIS AGREEMENT SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH THE LAWS C
THE STATE OF NORTH CAROLINA APPLICABLE TO AGREEMENTS OF THIS NATURE, AND LESSO
AND LESSEE HEREBY CONSENTS TO THE JURISDICTION OF SAID STATE.
14. This Agreement is entered into as of the date indicated below, represents the entire agreemer
between the parties, and may be amended only in writing signed by both parties.
