WITNESSETH: WHEREAS, DECLARANT is the owner of certain real property in the Town of Wrightsville Beach, New Hanover County, North Carolina, upon which DECLARANT has constructed a private boat dock facility to be known as "Schloss Estate Boat Docking Facility" as shown on the plat entitled "Docking Spaces --Schloss Estate Boatowners Association" which map shall be recorded in the New Hanover County Registry simul- taneously with the recording of this instrument and to which reference is hereby made for a more particular description. (The Real Estate and Boat Docking Facilities together being hereinafter called "The Properties"). NOW, THEREFORE, DECLARANT does hereby organize and estab- lish an Association for the mutual benefit and protection of all per- sons, firms or corporations hereafter acquiring any interest in The Properties referred to above, and does hereby covenant and agree to and with each and all of said persons, firms or corporations that the use and enjoyment of The Properties is hereby made subject to these Articles of Association which shall be appurtenant to and shall not be separated from the ownership of any portion of said land and facili- ties, and which shall run with and be binding upon said land by whom- soever owned: ARTICLE I. In general to do everything necessary, proper or ad- visable for the accomplishment of the purposes herein set forth. ARTICLE III. MEMBERSHIP Every owner of an interest in The Properties shall be a member of the Association which membership shall be appurtenant to and may not be separated from ownership of said real property. Persons or entities who hold an interest in said real property merely as security for the performance of an obligation shall not be members. ARTICLE IV. VOTING RIGHTS rights: The Association shall have two (2) classes of voting CLASS I. All members with the exception of the De- clarant shall have Class I voting rights which shall entitle such member to one vote in the affairs of the Association for each membership owned. When more than one person holds an in- terest in any membership, the vote for such membership shall be exercised as they among themselves shall determine, but in no event shall more than one vote be cast with respect to any such membership. CLASS II. The Declarant shall have Class II voting rights, which shall entitle the Declarant to three (3). votes for each membership owned. Class II voting rights shall cease and be con- verted to Class I voting rights on the happen- ing of either of the following events, which- ever occurs earlier: (al When the total Class I votes outstanding exceeds the total Class II votes out- standing; or (b) on January 1, 1985. -2- Boor PACE 1192 0449 ARTICLE V. OFFICERS The officers of the Association shall be a President, a Vice President, and a Secretary -Treasurer, all of which shall be elected annually for a term of one year at the annual meeting of the membership of the Association. ARTICLE VI. BOARD OF DIRECTORS Routine business of the Association shall be conducted by the Board of Directors of the Association which shall consist of the above officers of the Association. Meetings of the Board of Directors shall be held at such times and in such places as the officers shall from time to time determine. The officers shall, subject to the approval of the membership, establish rules and regulations for the use, operation and maintenance of the common areas and facilities. Except as provided in ARTICLE VIII, any vacancy in any office shall be filled by appointment by the re- maining members of the Board of Directors. ARTICLE VII. MEETINGS A. ANNUAL MEETINGS of the Association shall be held in May of each year unless otherwise determined by the Board of Directors. B. SPECIAL MEETINGS of the Association may be called at any time either by t e Presi ent or by any five members. C. PLACE. All meetings of the Association shall be held in New Hanover County or at such other place within the State of North Carolina as designated by the Board of Directors. D. Seven (7) days written notice shall be given to all members of any annual or special meeting of the Association, but this requirement may be waived by consent of all members. ARTICLE VIII. REMOVAL OF OFFICERS Any one or more of the officers may be removed at any time, without specifying any cause, by a majority vote of the mem- bers at a properly called meeting of the Association. The Associ- ation, at such meeting, shall elect a replacement to fill the un- expired term of the officer so removed. -3- Boor SAGE 1192 0450 ARTICLE IX. DUES AND ASSESSMENTS Each member of the Association by acceptance of a deed for an undivided interest in The Properties, agrees and covenants, whether or not so expressed in such deed, to pay to the Associa- tion such annual dues and special assessments as sh a 1 1 be estab- lished from time to time by the Association. Such annual dues and special assessments, together with interest, costs and reasonable attorney fees, shall be a charge upon the interest o f such member in the property constituting the boat dock facility and shall con- stitute a lien on such member's interest and shall be enforceable as set forth in the Declaration of Covenants, Condit ions and Re- strictions for SCHLOSS ESTATE BOATOWNERS ASSOCIATION - ARTICLE X. LIABILITY OF MEMBER The grantee of an interest in The Propert is s shall be jointly and severally liable with the grantor for a 1 1 unpaid dues and assessments against the latter for his proportionate share of the common expenses, dues and assessments up to the time of the grant or conveyance, without prejudice to grantee's right to re- cover from the grantor the amounts paid by the grantee therefor. However, any such grantee shall be entitled to a state- ment from the Treasurer of the Association setting forth the amount of the unpaid assessments against the grantor , and such grantee shall not be liable for, nor shall such inte rest conveyed be subject to a lien for, any unpaid assessments in excess of the amount therein set forth. ARTICLE XI. RULES AND REGULATIONS The Board of Directors shall adopt such rules and regu- lations as may be necessary or appropriate for the accomplishment of the purposes of the Association. Such rules and regulations shall become effective when approved by a majority vote of the members of the Association, and when so approved sha l 1 become a part of these Articles of Association as fully as i f set out here- in verbatim. ARTICLE XII.
