THIS RIGHT-OF-WAY AND EASF29- r Made and entered into this the
day of June, 3.983, by and between W. GILES HUNNINGS, JR. and
wife, DARRARA L. HLRJNINGS, parties of the first part, hereinafter referred
to as Grantors, and CLYDE A. BEST and wife, INEZ SPIVEY PHILLIPS BEST,
parties of the second part, hereinafter referred to as Grantees;
W I T N E S S E T H
THAT, WHEREAS the parties are the owners of adjacent and adjoining
properties lo<:atexl .in the town of Holden Beach, Lockwood Folly Township,
Brunswick. County, North Carolina, and Grantees are desirous of acquiring
an easement and right-of-way over a portion of Grantors' property for
lxirposes described below;
AND, WHEREAS Grantors are desirous of granting a right--of-way and
CasEment over Grantors' property for said purposes on condition that
Grantees, their successors and assigns, canply with the tAmis and pro-
•vt!iions set forth below;
NOW, THEREFORE, in oonsideration of the prenises, the performance
of the conditions herein provide-d, and the sum of ten dollars ($10.00)
and other vaivable consideration, Grantors have bargained, sold and
conveyed, and by these presents do hereby bargain, sell aryl convey to
Grantees, their heirs, successors, and assigns, subject to the terms and
conditions and for the purposes herein expressed, a perpetual right-of-
way and easement over, along, and upon that portion of Grantors' prolx3rty
lying and being in the town of Holden Beach, Lockwood Folly Township,
Brua. wick County, worth Carolina, and being more particularly descriJx--J

AND BEING all of t1-jat area lying between that certain property
describe-cl in a deed dated 26 July 1982 from John U. Apostolopoulos
et ux to Inez Spivey Phillips Best, et vix recorded Li Book 505 at
Page 119 of the Brunswick Registry, and Canal G as more particularly
described in Map Book 6 at Page 132, Brunswick Registry.
This right-of-way arxd easement is made subject to the following
terms and conditions:
(1) Use. The right-of-way and easanwnt hereby conveyed shall be
used as a nicans of access for purposes of ingress, egress, and 'regress
to Canal G, Holden Beach Harbor Uevelorinent as more particularly described
in Map Book 6 at Page 132, Brunswick County Registry, from Grantees'
promises described in peed Book 505 at Page 1.1.9, BLunswi.Ck County Registry,
and for all purposes reasonably associate with the use and enjoyment of
said Canal, including but not limited to boating, fishing and other
water sports and activities. Grantees shall be entitled to oo,st-uct
and maintain at Grantees' sole expense a dock and walkway access to the
same to serve Grantees' prellises.
(2) Mintenance.. Giantees shall keep the area of this easement in
a neat, clean and orderly condition, free of debris or refuse, and shall
permit no condition to occur on said premises which could amount to a
public or private nuisance.
FURM4 R, Grantees shall be responsible, at Grantees sole Expense,
to construct and maintain along the western portion of the easement
lying adjacent to Canal G, Holden Beach Harbor, a bulkhead for control.
of erosion by the waterflow of said canal. said bulkhead shall be of
equal quality and comparable in design, appearance, construction and
materials to, and connected with, a bulkhead to be constructed by Grantors
over Grantors other adjacent property which is not the subject of this
easement. Said construction shall be canwanced, prosecuted aril uxnpletW
within sixty (60) days after the completion of the bulkhead along Grantors'
said adjacent property, and small thereafter be maintained in a condition

(3) Liability. Grantees shall be solely responsible to keep and
maintain t1e area of this easment in a safe and secure condition so as
to protect Grantees and Grantees invitees, licensees, and tellants and
their property fran injury due to any defect or cause or condition as
may exist or occur on the premises. Grantors shall bear no responsibility
to Grantees or to anyone clauning by, through or under Grantees in
relation to the premises. Grantees shall, at all times, keep and maintain
a policy or policies of liability insurance or homeowners insurance
sufficient to protect Grantees, their invitees, licensees and tenants
and their property from injury or harm due to any defect, cause or
condition as may exist or occur on the pryanises. Said policy or policies
shall include Grantors as additional insureds in relation to said premises
alxi Grantees shall provide grantors, upon request, with proof of continuous
insurance coverage_
Grantees shall also be responsible to secure and maintain a policy
or policies of flood and hazard insurance sufficient to protect the
perm tied improvements constructed in the area of this easenk-jit from
loss or casualty by reason of fire or flocxi.
(4) Special Terminatior, Period. Should Grantees fail to keep and
perform any of the conditions of this easement required to be performed
by Grantees, then Grantors shall be entitled to notify Grantees of any
failure or deficiency Di performance by registered or certified mail at
Grantees' last known address. Should Grantees fail to renedy the condition
ccmplained of within thirty (30) days from the date of mailing of said
notice, then Grantors shall be entitled to eater the premises and correct
said condition or deficiency and to charge the cost of the correction to
Grantees, or, at their option, Grantors shall be entitled to then
declare this easement and right-of-way terminated and forfeited by
Grantees.
In the event of any said termination, any improvEnletts constructed

(5) Inspection/Entry. Grantors shall be entitled to enter the
premises of this easement at reasonable times for purposes of inspecting
the szune to insure compliance with the terns and conditions herein
provided. Grantors shall also be entitled to enter the pranises should
the same become necessary in relation to the maintenance, construction
or repair of the bulkhead along the western portion of Grantors adjacent
property which is not a part of this easEanent.
(6) Assessments and Maintenance Charges. Any assessments, maintenance
charges or levies of the town of holden Beach or any property owners
group or association levied against the area of this easement for the
purpose of dredging, maintenance or other improvement of Canal G adjoining
the easement to the west side shall be the sole expense of Grantees, and
Grantees agree to pay any said levy, charge or assessment as part of Uu?
consideration for obtauiiix3 this easement. However, any ad valorem
taxes levied against the area of this easement, whether city or county,
shall he the sole responsibility of the Grantors.
(7) Surviveability. This right-of-way and easement shall be binding
upon and shall inure to the benefit of the parties hereto, their heirs,
devisees, successors in interest, administrators, executors and assigns.
(H) Option to Purchase. if, at any time during the future period of
lifetimes of Grantees plus a period of twenty-one (21) years after the
death of the last to die of said Grantees, it shall becrn)e pentii.ssable for
the Grantors, their successors or assigns to convey the area of the eascim sit
herei.nabove described to Grantees, their successors or assigns without
violating any law, ordinance or regulation of the city of holden Beach,
County of Brunswick, State of North Carolina or of the Federal Gorverimejit,
whether by the granting of a variance by the Town of Holden Beach, the
development of a sewer system authorizing smaller ntiniimi lot sizes or
other lawful reason then, in such event Grantees, their successors or
assigns shall have the right aid option to purchase the area of the

Further, any said conveyance of said area shall be made subject to
such rights -of -way and easenents as may exist for the maintenance of
Canal G subject to tnwn ordinances and regulations of Holden Beach and
any lcx:al, state or federal enviror"ntal regulation pertaining to the
use of the premises. In the event this option is exercised and said
ptemuses are oonveyW under this option, Grantees, their successors or
assigns agree to indEm-iify and hold Grantors, their successors or assigns
harmless from any loss as may occur to said Grantors, their successors
or assigns by virtue of making such a conveyance.
10 HAVE A14D TO HOLD, said right-of-way and easement to them the
said Grantees and their successors in title; it being agreed that the
right-of-way and easement hereby granted is appurtenant to and runs with
the: land now owned by the Grantees and described in an insttment recorded
in Deed Book 505 at Page 119 of the Brunswick County Registry, and
hereinabove refercmctzKi.
