It provides ' Design and Construction Standards applicable to additions and connections to the Bath Wastewater System. ' These Standards are derived from the Project Manual for the Bath Wastewater System dated December 1, 1985. The Standards Manual is intended for use by all major participants in the ' planning, design, and construction of new service hookups or expansions to the existing wastewater system, including: 1) The Property Owner, who needs wastewater service. 2) The Consulting Engineer who evaluates impacts and estimates costs of ' proposed connections, and provides construction/contract guidelines and construction administration advisory assistance. -3) The Town of Bath Board, Contractors, and Staff, who manage the ' wastewater service, and 4) The Contractor who constructs connections and additions to the system. This manual should guide the Town of Bath through the process of planning and constructing new wastewater service connections and extensions to the system on an as -needed basis, and should assist in establishing desired standards for both quality of construction and compatability with the existing system. HOW TO USE THE STANDARDS MANUAL OVERVIEW This Standards Manual provides a recommended process for the design, approval, and construction of new service connections to the Bath Wastewater System. ' Part I provides specifications of the work suitable for use with most residential connections, and certain non-residential uses. Specifications provided are selected to represent standards in quality of workmanship, products, and material for the most simple, uncomplicated generic connections. Since many of the recommended Division One requirements are applicable to larger ' contracts and/or more complex construction contracts, the reader may wish to waive many of these specifications for simple, uncomplicated residential connections. 1 Part II provides Illustrative Details that further serve to describe ' mechanical equipment, electrical wiring, service connections and other design information recommended as standards for new connections. Part III provides sample application, bidding and contract forms for use by ' the Town Wastewater Manager and Town Attorney in obtaining price proposals and completing construction contracts for new connections. EXHIBIT.A:.FLOW CHART _ The purpose of the Flow Chart is to illustrate the procedures necessary for obtaining connections and additions to the Bath Wastewater System. It will also assist in estimating time required to initiate construction and to clarify the requirements of each participant. The flow chart contains all the major milestones and decision points in this process, and graphically depicts the sequence of steps required, from initial application through completion of construction. PART I: SPECIFICATIONS OF THE WORK The purpose of Part I is to set quality standards, and to ensure compatibility with the existing wastewater system through specification of materials, equipment, and methods of construction. The scope of these specifications is adequate for wastewater service connections to individual residences, residential development, and certain non-residental uses. Suitability of these specifications for particular applications should be determined by the Town of Bath and the Engineer during the Application Phase. PART II: ILLUSTRATIVE DETAILS These are illustrative details to supplement Part I in providing the technical information for bidding and contract documents. Others may be required if so determined by the town and/or engineer during the Application Phase. PART III: SAMPLE CONTRACTS & FORMS A. APPLICATION FORMS The sample application forms are to provide the basis for engineering assessment and completion of bidding documents; provide data for engineering assessment, cost estimating and amount of payment bond, and to ensure that preliminary requirements are met (payment bond, easement documents, identification of participants). Part III is intended to provide sample forms and documents utilized to apply for and obtain bids and construction contracts for wastewater service connections and to satisfy applicable regulatory requirements. B. SAMPLE BID FORMS The Sample Bid Form provides a format for the contractor's price proposal to complete work specified. It includes time required to complete work and �I 1-1 I 1 specified categories of unit prices for -items specifically required for the Bath Wastewater System. C. SAMPLE CONTRACT FORMS Sample forms provided include an abbreviated standard contract forms for small ' construction projects, with General and Supplementary conditions. A "Notice to Proceed" form, whereby the Town would authorize the start of construction of a new hookups is also provided; and finally, in support of the Town's need to ' recover any Sales Taxes paid to contractors, a form for Contractor's reporting of Sales Tax is provided. ' SUMMARY OF THE WORK 01010-1 SECTION 01040 - PROJECT COORDINATION PART 1 - GENERAL RELATED DOCUMENTS: Drawings and general provisions of Contract, including General and'.Supp lementary Conditions and other Division-1 Specification sections, apply to work of this section. DESCRIPTION OF WORK: ' Minimum administrative and supervisory requirements necessary for coordination of work on the project include but are not necessarily limited to the following: Coordination and meetings. Administrative and supervisory personnel. I� LJ 1� ' Surveys and records or reports. Limitations for use of site. Special reports. General installation provisions. Cleaning and protection. Conservation and salvage. COORDINATION AND MEETINGS: .MONTHLY COORDINATION MEETING: Hold monthly general project coordination meetings at regularly scheduled times convenient for all parties involved. These meetings are in addition to specific meetings held for other purposes, such as regular project meetings and special preinstallation meetings. Request representation at each meeting by every party currently involved in coordination or planning for the work of the entire project. Conduct meetings in a manner, which will resolve coordination problems. Record results -of the meeting and distribute copies to everyone in attendance and to others affected by decisions or actions resulting from each meeting. SURVEYS AND RECORDS/REPORTS: General: Working from lines and levels established by the property survey, establish and maintain bench marks and other dependable markers as necessary. -Calculate and measure required dimensions as shown within recognized PROJECT COORDINATION 01040-1 B tolerances. Drawings shall not be scaled to determine dimensions. Advise ' entities performing work, of marked lines and levels provided for their use. LIMITATIONS ON USE OF THE SITE:' ' General: Limitations on site usage as.well as specific requirements that impact site utilization are indicated in the contract documents. In addition , to these limitations and requirements use the available space in the least destructive manner possible. Schedule deliveries so as to minimize space and time requirements for storage of materials and - equipment on site. , TRADEPERSONS AND WORKMANSHIP STANDARDS: General: Contractor shall instigate and maintain procedures to ensure that ' persons performing work at site are skilled and knowledgeable in methods and craftsmanship needed to produce required quality -levels for workmanship in completed work. Remove and replace work which does not comply with workmanship in completed work. Remove and replace work which does not comply with workmanship standards as specified and as recognized in the construction industry for applications indicated. Remove and replace other work damaged or ' deteriorated by faulty workmanship or its replacement. INSPECTIONS, TESTS AND REPORTS: - General: Required inspection and testing services are intended to assist in determination of probable compliances of the work with requirements, but do not ' relieve Contractor of responsibility for those compliances, or for general fulfillment of requirements of contract documents. Specified inspections and tests are not intended to limit Contractor's quality control program. Afford ' reasonable access to agencies performing tests and inspections. Tests: Where tests or ;inspections are indicated Owner will engage independent testing agency to perform required services and will pay costs. ' Reports: Contractor shall coordinate testing/inspection as required, including analysis of results and recommendations where applicable, with reports in duplicate to Architect/Engineer except as -otherwise indicated, and submit copies directly to governing authorities where required or requested. DOCUMENTS REQUIRED AT SITE , Contractor shall maintain, in readable condition, at the job site, one complete set of working drawings and specifications, including all shop ' drawings for his work. Such drawings and specifications shall be available for use by the Engineer and or Town Clerk. .. 1 PROJECT COORDINATION 01040-2 , TRANSPORTATION AND HANDLING" Materials, products., and equipment shall be.properly containerized, packaged, boxed, and protected to prevent damage during transportation and ' handling. STORAGE AND PROTECTION ' Contractor is responsable for any damage caused by storage in the open. Storage space at the job site is as permitted by owner. Any additional off -site space required is the responsibility of the Contractor. Store and protect materials delivered to the site from damage. Do not use damaged material in the work. ' CLEANING UP The premises and the job site shall be maintained in a reasonably. neat ' and orderly condition and kept free from accumulation of waste materials and rubbish during the entire construction period. Upon completion of the work, remove any temporary structure, fences, surplus materials, and rubbish of every kind from the site of the work. ' PROJECT COORDINATION 01040-3 SECTION 01310 - SCHEDULES, REPORTS, PAYMENTS PART 1 - GENERAL: ' RELATED DOCUMENTS: ' Drawings and general provisions of Contract, including General and Supplementary Conditions and other Division-1 Specification sections, apply to work of this section. COORDINATION: ' Coordinate both the listing and timing of reports and other activities required by provisions of this and other sections, so as to provide consistency and logical coordination between the reports. Maintain coordination and correlation ' between separate reports by updating at monthly or shorter time intervals. Make appropriate distribution of each.report and updated report to all parties involved in the work including the Architect/Engineer and Owner. In particular, ' provide close coordination of the progress schedule, schedule of values, listing of subcontracts, schedule of submittals, progress reports, and payment requests. I PRELIMINARY PROGRESS SCHEDULE: Bar -Chart Schedule: Submit a bar -chart type progress schedule not more than 7 ' days after the date established for commencement of the work. On the schedule, indicate a time bar for each major category or unit of work to be performed at the site, properly sequenced and coordinated with other elements of work. Show completion of the work sufficiently in advance of the date established for ' substantial completion of the work. 1 PROGRESS MEETINGS, REPORTING: General: In addition to specific coordination and pre- installation meetings for each element of work, and other regular project meetings held for other purposes, hold a general progress meeting each month with time coordinated with preparation of the payment request. Require each entity then involved in planning, coordination or performance of work to be properly represented at each meeting. Review each entity's present and futyre needs including interface requirements, time, sequences, deliveries, access, site utilization, temporary facilities and services, hours of work, hazards and risks, housekeeping, change orders, and documentation of information for payment requests. Discuss whether ' each element of current work is ahead of schedule, on time, or behind schedule in relation with updated progress schedule. Determine how behind -schedule work will be expedited, and secure commitments from entities involved in doing so. ' Discuss whether schedule revisions are required to ensure that current work and subsequent work will be completed within Contract Time. Review everything of significance which could affect progress of the work. ' SCHEDULES, REPORTS, PAYMENTS 01310-1 Reporting: Within 3 days after each progress meeting date, distribute copies of minutes -of -the -meeting to each entity present and -to others who should ' have been present. Include a brief summary (in narrative form) of progress of the work since previous meeting and report. Schedule Updating: Immediately following each progress meeting, where: revisions to progress schedule have been made or recognized, revise progress schedule. Reissue revised schedule concurrently with report of each meeting. Pre -Construction Conference: A`pre-construction conference shall be held at a ' place selected by the Engineer on a date convenient to the Contractor and the Town Clerk prior to commencement of the work. The Contractor may. have present any subcontractors that he desires ' to invite. Daily Reports: Prepare a daily report, recording the following ' information concerning events at the site; and submit duplicate copies to Architect/Engineer at regular intervals not exceeding weekly intervals: , List of subcontractors at the site. List of separate contractors at the site. Approximate count of personnel at the site. , High/'low temperatures, general weather conditions. Accidents (refer to accident reports). Meetings and significant decisions. Unusual events (refer to special reports). ' Stoppages, delays, shortages, losses. Meter readings and similar recordings. Emergency procedures, field orders. ' Orders/requests by governing authorities. Change orders received, implemented. Services connected, disconnected. ' Equipment or system tests and start-ups. Partial completions, occupancies. Substantial completions authorized. ' UNIT PRICE SCHEDULE: ' General: Refer to individual specification sections for units of work where the establishment of unit prices are required. Methods of measurement and pricing are specified in these sections. I Schedule: Within 15 days of the date of commencement of the work prepare a schedule of unit prices established in the contract documents. This schedule ' shall indicate the generic name, unit of measurement, price per unit, related specification section and the subcontractor, if any, assigned to the work so named. Indicate whether add -prices are established to be different from deduct -prices. Distribute this schedule to the Owner, Architect/Engineer, and each entity involved in performance of the work, where established unit prices could possibly come into force and effect , SCHEDULES, REPORTS, PAYMENTS 01310-2 I The Owner reserves the right to reject the Contractor's measurement of work- in -place which involves use of established.unit prices, and to have this work measured by an independent surveyor acceptable to the Contractor at the Owner's expense. ' SCHEDULE OF VALUES: General:_ Coordinate preparation. of schedule, of values and! progress schedule. ' Correlate�line items with other administrative schedules and the forms required for -the work, including progress schedule, payment request form, listing of subcontractors, schedule of allowances, schedule of alternates, listing :or- products and principal suppliers and fabricators, and the schedule of submittals. Provide breakdown of the Contract Sum in sufficient detail to facilitate continued evaluation of payment requests and progress reports. Break down principal subcontract amounts -into several line items. Round off to the nearest whole dollar, but with total equal to Contract Sum. ' SCHEDULES, REPORTS, PAYMENTS 01310-3 SECTION 01340 - SUBMITTALS 9 PART 1 - GENERAL RELATED DOCUMENTS: .Drawings and general provisions of Contract, including General and Supplementary Conditions and other Division-1 Specification sections, apply to work of this section. ' DESCRIPTION OF REQUIREMENTS: ' The types of submittal requirements specified in this section include shop drawings, product data, samples and miscellaneous work -related submittals. Individual submittal requirements are specified in applicable sections for each ' unit of work. Refer to other Division-1 sections and other contract documents for requirements of administrative submittals. ' Definitions: Work -related submittals of this section are categorized for convenience as follows: 4 Shop drawings include specially -prepared technical data for this project, including drawings, diagrams, performance curves, data sheets, schedules, templates, patterns, reports, calculations, instructions, measurements and similar- information not in standard printed form for general application to a ' range of similar projects. Product data include standard printed information on materials, products and systems; not specially -prepared for this project, other than the designation of selections from among available choices printed therein. Samples include both fabricated and unfabricated physical examples of materials, products and units of work; both as complete units and as smaller portions of units of work; either for limited visual inspection or (where indicated) for more detailed testing and analysis. ' Mock-ups are a special form of samples, which are too large or otherwise inconvenient for handling in specified manner for transmittal of sample submittals. ' Miscellaneous submittals related directlyto the work (non -administrative) ( n administrative) include warranties, maintenance agreements, workmanship bonds, project photographs, survey data and reports, physical work records, quality testing and certifying reports, copies of industry standards, record drawings, field measurement data, operating and maintenance materials, overrun stock, and ' similar information, devices and materials applicable to the work and not processed as shop drawings, product data or samples. SUBMITTALS 01340 - 1 I. GENERAL SUBMITTAL REQUIREMENTS: Coordination and Sequencing: Coordinate preparation and processing of submittals with performance of the work so that work will not be delayed by submittals. ' Preparation of Submittals: Provide permanent marking on each submittal to identify project, date, Contractor, subcontractor, submittal name and similar ' information to distinguish it from other submittals. Show Contractor's executed review and approval marking and provide space for Architect's/Engineer's "Action" marking. Package each submittal appropriately for transmittal and handling. Submittals which are received from sources other than through Contractor's office will be returned .by A/E "without action". SPECIFIC -CATEGORY SUBMITTAL REQUIREMENTS: General: Except as otherwise indicated in individual work sections, comply with ' requirements specified herein for each indicated category of submittal. Provide and process intermediate submittals, where required between initial and final, similar to initial submittals. ' Shop Drawings: Provide newly -prepared information, on reproducible sheets, with graphic information at accurate scale (except as otherwise indicated), with name of preparer indicated (firm name). Show dimensions and note which are based on field measurement. Identify materials and products in the work shown. Indicate compliance with standards, and special coordination requirements. Do not allow shop drawing copies without appropriate final "Action" markings by , Architect/Engineer, to be used in connection with the work. Initial Submittal: 2 blue -line -or black -line prints; one will be returned. ' Final Submittal: 3 prints, plus 2 additional prints where required for ' maintenance manuals; plus -number of prints needed for distribution to others (other than Architect/Engineer); 2 will be retained and remainder will be returned, one of which is to be marked -up and maintained by the Contractor as "Record Document ' Product Data: Collect required data into one submittal for each unit of work or system; and mark each copy to show which choices and options. are applicable to ' project. include manufacturer's standard printed recommendations for application and use, compliance with standards, application of labels and seals, notation of field measurements which have been checked, and special coordination requirements. At the completion of the construction work. all temporary wiring, 'lighting, and other temporary electrical equipment and devices shall be removed. 1 TEMPORARY FACILITIES 01506-1 1 1 SECTION 01705 - PROJECT CLOSEOUT PART 1 - GENERAL RELATED DOCUMENTS: Drawings and general provisions of Contract, including General and 'Supplementary Conditions and other Division-1 Specification sections, apply to work of this section. DESCRIPTION OF REQUIREMENTS: Definitions: Closeout is hereby defined to include general requirements near, end of Contract Time, in preparation for final acceptance, final payment, normal termination of contract, occupancy by Owner and similar actions evidencing completion of the work. Specific requirements for individual units of work are specified in sections of Division 2 through 16. Time of closeout is directly related to "Substantial Completion", and therefore may be either a single time period for entire work or a series of time periods for individual parts of' the work which have been certified as substantially complete at different dates. Permanent measures will be required as shown ' and described on the plans. The Contractor shall be responsible for maintenance of the permanent measures until ;the completion of the project. ' Methods and Measures: The following list of methods and measures for sediment controls should be considered and implemented by the Contractor: 1. Plan buffer zone erosion control measures in advance. ' 2. Install preliminary erosion control measures in advance of or concurrent with clearing and grubbing. ' 3. Prohibit pumping of ditches directly into any stream or lake. Provide settling basins. ' 4. Require excavated materials to be piled uphill from ditch — NOT on stream side of ditch. All discounts for cash or prompt payment shall accrue to the Contractor. 6.1.3 Payments made by the Contractor to Subcontractors for Work performed pursuant to subcontracts under this ' Agreement. 6.1.4 Cost of all materials, supplies, equipment, temporary facilities and hand tools not owned by the workers, which are consumed in the performance of the Work. ' 6.1.5 Reasonable rental costs of all necessary machinery and equipment, exclusive of hand tools, used.at the site of the Work, whether rented from the Contractor or others. ' 6.1.6 Cost of premiums for all bonds and insurance, permit fees, and sales, use or similar taxes related to the Work. 6.1.7 Losses and expenses, not compensated by insurance or otherwise, sustained by the Contractor in connection t with the Work, provided they have resulted from causes other than the fault or neglect of the Contractor. 6.1.8 Cost of removal of all debris. ARTICLE 8 ' ACCOUNTING RECORDS 8.1 The Contractor shall check all materials, equipment and labor entering into the Work and shall keep such full ' and detailed accounts as may be necessary for proper financial management under this Agreement. The Owner shall be afforded access to all the Contractor's records relating to this Contract. F, ARTICLE 9 PAYMENTS TO THE CONTRACTOR ' 9.1 Based on Applications for Payment submitted to the Architect by the Contractor, and on the Architect's recommendations, the Owner shall make progress payments to the Contractor as follows: 9.2 Payments due and unpaid under the Contract Documents shall bear interest from the date payment is due at the rate entered below, or in the absence thereof, at the legal rate prevailing at the place of the Project. ' 9.4 If the Owner terminates the Contract as provided in the Contract Documents, the Owner shall reimburse the Contractor for any unpaid Cost of the Work due the Contractor under Article 4, plus (1) the unpaid balance of the Fee computed upon the Cost of the Work to the date of termination at the rate of the percentage spe- cified in Article 5, or (2) if the Contractor's Fee is stated as a fixed sum, such an amount as will increase the payments on. account of the Contractor's Fee to a sum which bears the same ratio to the said fixed sum as the Cost of the Work at the time of termination bears to the adjusted Guaranteed Maximum Cost, if any, other- wise to a reasonable estimated Cost of the Work when completed. The Owner shall also pay to the Contractor fair compensation, either by purchase or rental at the election of the Owner, for any equipment retained. In ' case of such termination of the Contract, the Owner shall further assume and become liable for obligations, commitments and unsettled claims that the Contractor has previously undertaken or incurred in good faith in connection with said Work. The Contractor shall, as a condition of receiving the payments referred to in this Article 9, execute and deliver all such papers and take all such steps, including the legal assignment of the ' Contractor's contractual rights, as may be required for the purpose of fully vesting in the Owner the rights and benefits of the Contractor under such obligations or commitments. The intent of the Contract Docu- ments is to include all items necessary for the proper execution and completion of the. Work. The Contract Documents are complementary, and what is required by any one shall be as binding as if required by all. Work not covered in the Contract Documents will not be required unless it is consistent therewith and reasonably inferable therefrom as being necessary to produce the intended results. 11.2 Nothing contained in the Contract Documents shall create any contractual relationship between the Owner or the Architect and any Subcontractor or Sub -subcontrac- tor. 11.3 Execution of the Contract by the Contractor is a reoresentation that the Contractor has visited the site and is familiar with the local conditions under which the Work is to be performed. 11.4 The Work comprises the completed construction required by ti.e Contract Documents and includes all la- bor necessary to produce such construction, and all mate- rials and equipment incorporated or to be incorporated in such construction. ARTICLE 12 ARCHITECT 12.1 The Architect will provide administration of the Contract and will be the Owner's representative during construction and until final payment is due. 12.2 The Architect shall at all times have access to the Work wherever it is in preparation and progress. 12.3 The Architect will visit the site at intervals appro- priate to the stage of construction to become generally familiar with the progress and quality of the Work and to determine in general if the Work is proceeding in accord- ance with the Contract Documents. However, the Archi- tect will not be required to make exhaustive or con- tinuous on -site inspections to check the quality or quan- tity of the Work. On the basis of the Architect's on -site observations as an architect, the Architect will keep the Owner informed of the progress of the Work, and will endeavor to guard the Owner against defects and defi- ciencies in the Work of the Contractor. The Architect will not have control or charge of and will not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the Work, and.will not be responsible for the Contractor's failure to carry out the Work in ac- cordance with the Contract Documents. 12.4 Based on the Architect's observations and an evalu- ation of' the Contractor's Applications for Payment, the Architect will make recommendations as to payment owed the Contractor. 12.5 The Architect will be the interpreter of the require- ments of the Contract Documents. The Architect will make decisions on all claims, disputes or other matters in question between the Contractor and the Owner, but will not be liable for the results otany interpretation or deci- sion rendered in good faith. The Architect's decisions in matters relating to artistic effect will be final if consistent with the intent of the Contract Documents. All other de- cisions of the Architect, except those which have been waived by making or acceptance of final payment, shall be subject to arbitration upon the written demand of either party. 12.6 The Architect will have authority to reject Work which does not conform to the Contract Documents. 12.7 The Architect will review and approve or take other appropriate action upon the Contractor's submittals such as Shop Drawings, Product Data and Samples, but only for. conformance -.with -the -design concept of the Work and with the information given in the Contract Docu- ments. ARTICLE 13 OWNER 13.1 The Owner shall furnish all surveys and a legal de- scription of the site. 13.2 Except as provided in Paragraph 14.5, the Owner shall secure and pay for necessary approvals, easements, assessments and charges required for the construction, use or occupancy of permanent structures or permanent changes in existing facilities. 13.3 The Owner shall forward all instructions to the Contractor through the Architect. 13.4 If the Contractor fails to correct defective Work of persistently fails to carry out the Work in accordance with the Contract Documents, the Owner, by a written order, may order the Contractor to stop the Work, or any por- tion thereof, until the cause for such order has been eliminated; however, this right of the Owner to stop the Work shall not give rise to any duty on the part of the Owner to exercise this right for the benefit of the Con- tractor or any other person or entity. ARTICLE 14 CONTRACTOR 14.1 The Contractor shall supervise and direct the Work, using the Contractor's best skill and attention, and the Contractor shall be solely responsible for all construction means, methods, techniques, sequences and procedures 1 1 1 AIA DOCUMENT A117 • ABBREVIATED COST-PLUS OWNER -CONTRACTOR AGREEMENT • MARCH 1979 EDITION • AIA® ' 01979 • THE AMERICAN INSTITUTE OF ARCHITECTS, 1735 NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 A117-1979 6 E CI 1 11 and for coordinating all portions of the Work under the Contract. 14.2 Unless otherwise specifically provided in the Con- tract Documents, the Contractor. shall provide and pay for all labor, materials, equipment, tools, construction equipment and machinery, water, heat, utilities, transpor- tation, and other facilities and services necessary for the proper execution and completion of the Work, whether temporary or permanent and whether or not incorporated or to be incorporated in the Work. 14.3 The Contractor shall at all times enforce strict dis- cipline and good order among the Contractor's em- ployees and shall not employ on the Work any unfit per- son or anyone not skilled in the task assigned to them. 14.4 The Contractor: warrants to the Owner and the Ar- chitect that all materials and equipment incorporated in the Work will be new unless otherwise specified, and that all Work will be of good quality, free from faults and defects and in conformance with the Contract Docu- ments. All Work not conforming to these requirements may be considered defective. 14.5 Unless otherwise provided in the Contract Docu- ments, the Contractor shall pay all sales, consumer, use, and other similar taxes which are legally in force at the time bids are received, and shall secure and pay for the building permit and for all other permits and govern- mental fees, licenses and inspections necessary for the proper execution and completion of the Work. 14.6 The Contractor shall give all notices and comply with all laws, ordinances, rules, regulations, and lawful orders of any public authority bearing on the perform- ance of the Work, and shall promptly notify the Architect if the Drawings and Specifications are at variance there- with. 14.7 The Contractor shall be responsible to the Owner for the acts and omissions of the Contractor's employees, Subcontractors and their agents and employees, and other persons performing any of the Work under a contract with the Contractor. 14.8 The Contractor shall review, approve and submit all Shop Drawings, Product Data and Samples required by the Contract Documents. The Work shall be in accord- ance with approved submittals. 14.9 The Contractor at all times shall keep the premises free from accumulation of waste materials or rubbish caused by the Contractor's operations. At the completion of the Work the Contractor shall remove all such waste materials and rubbish from and about the Project as well as the Contractor's tools, construction equipment, ma- chinery and surplus materials. 14.10 The Contractor shall pay all royalties and license fees; shall defend all suits or claims for infringement of any patent rights and shall save the Owner harmless from loss on account thereof. 14.11 To the fullest extent permitted by law, the Con- tractor shall indemnify and hold harmless the Owner and the Architect and their agents and employees from vnd against all claims, damages, losses and expenses, includ- ing but not limited to attorneys' fees arising out of or resulting from the performance of the Work, provided that any=such claim, damage, loss or expense (1) is at- tributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property (other than the Work itself) including the loss of use resulting therefrom, and (2) is caused in whole or in part by any negligent act or omission of the Contractor, any Subcon- tractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, regardless of whether or not it is caused in part by a party indemnified hereunder. Such obligation shall not be construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity which would oth- erwise exist as to any party or person described in this Paragraph 14.11. In any and all claims against the Owner or the Architect or any of their agents or employees by any employee of the Contractor, any Subcontractor, any- one directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, the indemnification obligation under this Paragraph 14.11 shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for the Contractor or any Subcontractor under Workers' or Workmen's Compensation Acts, dis- ability benefit acts or other employee benefit acts. The obligations of the Contractor under this Paragraph 14.11 shall not extend to the liability of the Architect, the Archi- tect's agents or employees, arising out of (1) the prepara- tion or approval of maps, drawings, opinions, reports, surveys, change orders, designs or specifications, or (2) the giving of or the failure to give directions or instruc- tions by the Architect, the Architect's agents or employees provided such giving or failure to give is the,primary cause of the injury or damage. ARTICLE 15 SUBCONTRACTS 15.1 A Subcontractor is a person or entity who has a direct contract with the Contractor to perform any of the Work at the site. 15.2 Unless otherwise required by the Contract Docu- ments or in the Bidding Documents, the Contractor, as soon as practicable after the award of the Contract, shall furnish to the Architect in writing the names of Subcon- tractors for each of the principal portions of the Work. The Contractor shall not employ any Subcontractor to whom the Architect or the Owner may have a reasonable objection. The Contractor shall not be required to con- tract with anyone to whom the Contractor has a reason- able objection. Contracts between the Contractor and the Subcontractors shall (1) require each Subcontractor, to the extent of the Work to be performed by the Sub- contractor, to be bound to the Contractor by the terms of the Contract Documents, and to assume toward the Con- tractor all the obligations and responsibilities which the Contractor, by these Documents, assumes toward the Owner and the Architect, and (2) allow to the Subcon- tractor the benefit of all rights, remedies and redress afforded to the Contractor by these Contract Documents. AIA DOCUMENT A117 • ABBREVIATED COST-PLUS OWNER -CONTRACTOR AGREEMENT • MARCH 1979 EDITION • AIA® 7 A117-1979 01979 • THE AMERICAN INSTITUTE OF ARCHITECTS, 1735 NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 ARTICLE 16 WORK BY OWNER OR BY SEPARATE CONTRACTORS 16.1 The Owner reserves the right to perform work re- lated to the Project with the Owner's own forces, and to award separate contracts in connection with other por- tions of the Project or other work on the site under these or similar Conditions of the Contract. If the Contractor claims that delay or additional cost is involved because of such action by the Owner, the Contractor shall make such claim as provided elsewhere in the Contract Docu- ments. 16.2 The Contractor shall afford the Owner and separate contractors reasonable opportunity for the introduction and storage of their materials and equipment and the execution of their work, and shall connect and coordinate the Contractor's Work under this Contract with theirs as required by the Contract Documents. 16.3 Any costs caused by defective or ill-timed work shall be borne by the party responsible therefor. ARTICLE 17 MISCELLANEOUS PROVISIONS 17.1 The Contract shall be governed by the law of the place where the Project is located. 17.2 All claims or disputes between the Contractor and the Owner arising. out of, or relating to, the Contract Documents or the breach thereof shall be decided by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association then obtaining unless the parties mutually agree other- wise. Notice of the demand for arbitration shall be filed in writing with the other party to the Owner -Contractor Agreement and with the American Arbitration Associa- tion and shall be made within a reasonable time after the dispute has arisen. The award rendered by the arbitrators shall be final, and judgment may be entered upon it in accordance with applicable law in any court having juris- diction thereof. Except by written consent of the person or entity sought to be joined, no arbitration arising out of or relating to the Contract Documents shall include, by consolidation, joinder or in any other manner, any person or entity not a party to the Agreement under which such arbitration arises, unless it is shown at the time the demand for arbitration is filed that (1) such per- son or entity is substantially involved in a common ques- tion of fact or law, (2) the presence of such person or en- tity is required if complete relief is to be accorded in the arbitration, (3) the interest or responsibility of such per- son or entity in the matter is not insubstantial, and (4) such person or entity is not the Architect or any of the Architect's employees or consultants. The agreement herein among the parties to the Agreement and any other written agreement to arbitrate referred to herein shall be specifically enforceable under the prevailing arbitration law. ARTICLE 18 TIME 18.1 All time limits stated in the Contract Documents are of the essence of the Contract. The Contractor shall expedite the Work and achieve Substantial Completion within the Contract Time. 18.2 `The Date of Substantial Completion of the Work is the Date certified by the Architect when construction is sufficiently complete so that the Owner can occupy or utilize the Work for the use for which it is intended. 18.3 If the Contractor is delayed at any. time in the progress of the Work by changes ordered in the Work, by labor disputes, fire, unusual delay in' transportation, adverse weather conditions not reasonably anticipatable, unavoidable casualties, or any, causes beyond the Con- tractor's control, or by any other cause which the Archi- tect determines may justify the delay, then the Contract Time shall be extended by Change Order for such rea- sonable time as the Architect may determine. ARTICLE 19 PAYMENTS AND COMPLETION 19.1 Payments shall be made as provided in Article 9 of the Agreement. 19.2 Payments may be withheld on account of (1) defec- tive Work not remedied, (2) claims filed, (3) failure of the Contractor to make payments properly to Subcontractors or for labor, materials or equipment, (4) damage to the Owner or another contractor, or (5) persistent failure to carry out the Work in accordance with the Contract Documents. 19.3 When, the Architect agrees that the Work is sub- stantially complete, the Architect will issue a Certificate of Substantial Completion. 19.4 Final payment shall not be due until the Contractor has delivered to the Owner a complete rel ase of all liens arising out of this Contract or receipts in full covering all labor, materials and equipment for which a lien could be filed, or a bond satisfactory to the Owner indemnify- ing the Owner against any lien. If any lien remains unsat- isfied after all payments are made, the Contractor shall refund to the Owner all monies the latter may be com- pelled to pay in discharging such lien, including all costs and reasonable attorneys' fees. 19.5 The making of final payment shall constitute a waiver of all claims by the Owner except those arising from (1) unsettled liens, (2) faulty or defective Work ap- pearing after Substantial Completion, (3) failure of the Work to comply with the requirements of the Contract Documents, or (4) terms of any special warranties re- quired by the Contract Documents. The acceptance of final payment shall constitute a waiver of all claims by the Contractor except those previously made in writing and identified by the Contractor as unsettled at the time of the final Application for Payment. ARTICLE 20 PROTECTION OF PERSONS AND PROPERTY 20.1 The Contractor shall be responsible for initiating, maintaining, and supervising all safety precautions and programs in connection with the Work. The Contractor shall take all reasonable precautions for the safety of, and shall provide all reasonable protection to prevent dam- age, injury or loss to (1) all employees on the Work and other persons who may be affected thereby, (2) all the AIA DOCUMENT A117 • ABBREVIATED COST-PLUS OWNER -CONTRACTOR AGREEMENT • MARCH 1979 EDITION • AIA® ' 01979 • THE AMERICAN INSTITUTE OF ARCHITECTS, 173S NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 A117-1979 8 Work and all materials and equipment to be incorporated therein, and (3) other property at the site or adjacent thereto. The Contractor shall give all notices and comply with all applicable laws, ordinances, rules, regulations and orders of any public authority bearing on the safety of persons and property and their protection from damage, injury or loss. The Contractor shall promptly remedy all damage or loss to any property caused in whole or in part by the Contractor, any Subcontractor, any Sub -sub- contractor, or anyone directly or indirectly employed by any.of them, or by anyone for whose acts any of them may be liable; except damage or loss attributable to the acts or omissions of the Owner or Architect or anyone directly or indirectly employed by either of them or by anyone for whose acts either of them may be liable, and not attributable to the fault or negligence of the Contrac- tor. The foregoing obligations of the Contractor are in addition to the Contractor's obligations under.Paragraph 14.11. ARTICLE 21 INSURANCE 21.1 Contractor's liability insurance shall be purchased and maintained by the Contractor for protection from claims under Workers' or Workmen's Compensation Acts and other employee benefit acts, claims for damages be- cause of bodily injury, including death, and from claims for damages, other than to the Work itself, to property which mat- arise out of or..result from the Contractor's operations under this Contract, whether such operations be by the Contractor or by any Subcontractor or anyone directly or indirectly employed by any of them. This in- surance shall be written for not less than any limits of liability specified in the Contract Documents, or required by law, whichever is the greater, and shall include con- tractual liability insurance applicable to the Contractor's obligations under Paragraph 14.11. Certificates of such insurance shall be filed with the Owner prior to the com- mencement of the Work. 21.2 The Owner shall be responsible for purchasing and maintaining Owner's liability insurance and, as an option, may maintain such insurance as will protect the Owner against claims which may arise from operations under the Contract. 21.3 Unless otherwise provided, the Owner shall pur- chase and maintain property insurance upon the entire Work at the site to the full insurable value thereof. This insurance shall include the interests of the Owner, the Contractor, Subcontractors and Sub -subcontractors in the Work and shall insure against the perils of fire and ex- tended coverage and shall include "all risk" insurance for physical loss or damage including, without duplication of coverage, theft, vandalism, and malicious mischief. 21.4 Any loss insured under Paragraph 21.3 is to be ad- justed with the Owner and made payable to the Owner as trustee for. the insureds, as their interests may appear, subject to the requirements of any mortgagee clause. 21.5 The Owner shall file a copy of all policies with the Contractor before an exposure to loss may occur. 21.6 The Owner and the Contractor waive all rights against each other for damages caused by fire or other perils to the extent covered by insurance obtained pur- suant to this Article 21 or any other property insurance ap- plicable to the Work, except such rights as they may have to the proceeds of such insurance held by the Owner as trustee. The Contractor shall require similar waivers in favor of the Owner and the Contractor by Subcontractors and Sub -subcontractors. ARTICLE 22 CHANGES IN THE WORK .22.1 The Owner, without invalidating the Contract, may order changes in the Work consisting of additions, dele- tions, or modifications, the Guaranteed Maximum Cost, if any, and the Contract Time being adjusted accordingly. All such changes in the Work shall be authorized by writ- ten Change Order signed by the Owner and the Architect. 22.2 The Guaranteed Maximum Cost, if any, and the Contract Time may be changed only by Change Order. 22.3 The cost or credit to the Owner from a change in the Work shall be determined. by mutual agreement. ARTICLE 23 CORRECTION OF WORK 23.1 The Contractor shall promptly correct any Work rejected by the Architect as defective or as failing to con- form to the Contract Documents whether observed be- fore or after Substantial Completion and whether or not fabricated, installed or completed, and shall correct any Work found -to be defective or nonconforming within a period of one year from the Date of Substantial Comple- tion of the Contract or within such longer period of time as may be prescribed by law or by the terms of any ap- plicable special warranty required by the Contract Docu- ments. The provisions of this Article 23 apply to Work done by Subcontractors as well as to Work done by direct employees of the Contractor. Property owner- Applicant for rwgstewater service and/or owner of property to be's'erved. ` 1 SUPPLEMENTARY GENERAL CONDITIONS 00210-2 ' 1B.3.2 Definitions - Wherever in the specifications or upon the drawings the words directed, required, permitted, "ordered," "designated "prescribed," or words of like import are used, it shall be understood that the direction, requirement, permission, order, designation, o(r''prescript'ion of the Owner is intended, and similarly the words "approved," "acceptable," "satisfactory," or words'of like import, shall mean approved by, or acceptable to, or satisfactory ' to the Owner, unless otherwise expressly stated, 1B.4 PHOTOGRAPHS OF PROJECT - No photographs of the project will be'required, ' 1B.5 CORRELATION OF PLANS AND SPECIFICATIONS - The contract, plans and speci- fications are to be interpreted as mutually explanatory or supplementary, and therefore any features shown in one and not in the other shall have the same ' force and effect as if shown in both, and shall be fully executed, Prior to execution of the work, the Contractor shall check all drawings and specification`s, and shall immediately report all errors, discrepancies conflicts and omissions discovered therein to the Engineer. All such errors, discrepancies, conflicts ,• and omissions will be adjusted by the Engineer, and adjustment by the Contractor without prior approval shall be at his own risk. The settlemeht of any compli- cations arising from such adjustments shall be made by the Contractor at his own expense and to the satisfaction of the Owner, 1B.6 OWNERSHIP OF DRAWINGS - All drawings, specifications and memoranda relat- ing to th'e work are the property of the Owner and are to be carefully used and returned to the Owner at completion or cessation of the work from any cause 1B.6.1 Contract documents to be furnished - Five (5) sets of specifications will be furnished the Contractor without charge. Additional sets can be secured from the Engineer upon request at cost of reproduction. The Contractor shall have available on the project site at all times one (1) copy of each of said plans and specifications. ' 1B.7 ORDER OF'WORK - The prosecution, order or sequency of the work shall be as approved by the Engineer, which approval, however, shall in no way affect the responsibility of the Contractor. ' 1B.8 PHYSICAL DATA - The drawings, which'accompany and form a part of this contract, have been prepared on the basis of surveys and inspections of the site, and are intended to present an essentially accurate indication of the physical ' conditions at the site. However, this shall not relieve the Contractor of the necessity for familiarizing himself with physical conditions at the site, and any discrepancies found in the drawings shall not be the grounds for claims by ' the Contractor against the Owner, or for non-performance or work specifically provided for under the contract. ' 1B.9 ORGANIZATION, PLANT AND PROGRESS - The following is supplemental to paragraph 16 of the General Conditions: (a) The Contractor shall give his personal superintendence to the work, or shall have a competent superintendent with authority to act for him, to the satis- faction of the Engineer, on the job at all times during the progress of the work. '1 SUPPLEMENTARY GENERAL CONDITIONS 00210-3 (b) The Contractor shall employ an ample force of properly experienced men and provide construction plant properly adapted to the work and i- cient capacity and efficiency to accomplish the work in a safe and worof kmesunfflike manner at a rate'of progress satisfactory to the Owner, --All plants shall be maintained in -good working order and provision shall be made for immediate emergency repairs. No reduction in the capacity of the plant employed on the work shall be made except by written permission of the Owner. The measure of the capacity of the plant shall be its actual performance on the work.to which these specifications apply. Award of this contract shall not be construed as a guaranty by the Owner that plant listed by the Contractor for use on this contract is adequate for the performance of the work, (c) Should the Contractor fail to maintain a rate of progress which, in the:,opinion of the Owner, will complete work within the time'limit specified, the Owner may require that additional men working, if necessary, during addi_ tional periods or shifts, or additionalplant, or both, be placed on the work, or a reorganization of pliant layout be affected in order that the progress of the work be brought up to schedule and so maintained. Should the Contractor refuse or neglect so to increase the number of men, working period, or plant,. or to reorganize the plant layout in the manner satisfactory to the Owner, the latter may proceed under the provisions of the Contract to rectify the conditions, 1B,10 SUPERVISION AND INSPECTION: (a) The work shall be conducted under the general direction of the Engineer and wil.l*be inspected by -inspectors appointed'by him. The inspectors will keep a record of work done and see that the location and limit marks are kept in proper order, but the presence of the inspectors shall not relieve the Contractor or his responsible agent of responsibility for the proper execution of the work. (b). The Contractor will be required to furnish at his expense such labor, organization and materials which form a part of the ordinary and usual equipment and crew of the Contractor as may be reasonably necessary, in inspecting and supervision of the work. Should the Contractor refuse, neglect or delay com- pliance with this requirement, the specified facilities may be furnished and maintained by the Owner and the cost thereof will be deducted from any amounts due, or to become due the Contractor. (c) Except as specified in this paragraph, or otherwise provided for in these specifications, all expense of inspection will be borne by the Contractor. 1 1 (d) It is understood that any instruction or decision given by the Engineer through the Resident Engineer is to be considered the instruction or , decision of the Owner, in all cases where, under the terms of this contract, decision rests with the Engineer. The laboratory or inspection agency shall be selected by the Owner, The Owner will pay for all laboratory inspection service direct and not as a part of the contract. ' O Materials of construction, particularly those upon which and durability of the structure may depend, shall be subject to inspectionren andth 'testing to establish conformance with specifications and suitability for uses intended. (g) In accordance with the Contract, all materials, parts and equipment ' furnishes_ and incorporated in the work shall be high grade, free from defects ' SUPPLEMENTARY GENERAL CONDITIONS 00210-5 and imperfections, of recent manufacture and unused. Workmanship shall be of the highest grade and in accordance with the best modern standard practice. 1B,13 STANDARD PRODUCTS - All materials, suppjies'and articles furnished shall, wherever practicable, be the standard ' products of recognized, reputable manu- facturers. The standard products of manufacturers other than these specified will be accepted when it is proved to the satisfaction of the Engineer,-:1.n accordance with the Contract, that , they are equal in strength, dura4ility, use- fulness and convenience for the purpose 'intended. Any changes required in the details and dimensions indicated on the drawings, for the substitution of standard products , other than these provided for, shall be properly made as approved by the Engineer and at the expense of the Contractor. 16,14 PROTECTION OF MATERIAL AND WORK - The Contractor shall at all times carefully and properly ' protect all materials of every description, both before and after being used in the work,, and all work performed by him, and provide any enclosing or special protect ion from weather deemed ' necessary bythe the Engineer without additional cost to the Owner. I SUPPLEMENTARY GENERAL CONDITIONS 00210-6 SECTION 0022O(lC) : SPECIAL CONDITIONS 1C.1 EXISTING UTILITIES AND STRUCTURES The contractor shall be held responsible for damage to existing underground utilities. The contractor shall familiarize himself with the existing conditions and take precautions to safeguard himself from damage including, if necessary: locating utilities by use of an electronic pipe' finder and excavation and exposure of all existing underground lines prior to the trenching operation. This contractor shall be held responsible for the workmanlike repair of any damage done to any of these utilities in the prosecution of his work under this contract. 1C.2 DAMAGES DURING CONSTRUCTION: The Contractor shall save the Owner harmless from any damages rising from his work obstructing or interfering with any existing utilities, trees, and real property. I C C 1C.3 PERMITS AND RIGHTS OF WAY: The Owner will furnish all permits and rights of way , whether on privately or publicly owned property. The Contractor shall clear the rights of way for his operations at no cost to the Owner. 1C.4 RIGHT-OF-WAY: The Owner will provide no right-of-way over other property. The Contractor shall take every possible precaution to inconvenience as little as possible the owners or tenants of adjacent property. Public highways shall not be obstructed in such a way as to cut off traffic. The Contractor shall, at his own expense, repair any damage or injury to either public or private property during the progress of the work. Wholesale cutting of trees on the right-of-way will not be permitted, except as necessary for construction. 1C.5 ACCESS ROADS: Streets, roads and drives used by the Contractor for access to and from the site of his work shall be protected from damage in excess of that caused by the normal traffic of vehicles used for or in connection with construction work. Wholesale cutting of trees on the right- of-way will not be permitted, except as necessary for construction. 1C.6 UTILITIES: The Contractor shall make his own arrangements for all utilities required for the work. 1C.7 REMOVAL OF OBSTRUCTIONS: The Contractor may, with the Owner's consent, remove obstructions to his operation, but they shall be removed and replaced at the Contractor's expense. 1C.8 CLEARING: The Contractor shall perform all clearing necessary for installation of the complete work. Clearing shall consist of removing all ' SPECIAL CONDITIONS 00220-1 brush and debris in the rights of way obtained for the work. All trees of calipered diameter greater than 2" DBH s1i0uld -be reviewed with engineer for approved disposition prior to Trenching. 1C.9 PROTECTING TREES, SHRUBBERY AND LAWNS: Trees and shrubbery in developed areas and along the trench lines or roots from adjacent trees and shrubs shall not be disturbed unless absolutely necessary, and subject to the prior approval of the Engineer. Any such trees, shrubbery, and roots necessary to be removed shall be heeled in and replanted. Where trenches cross private property through established lawns, sod shall be cut, removed, stacked -and maintained in suitable condition until replacement is approved by the Engineer. Topsoil underlying lawn areas shall be removed and kept separate from general excavated materials. 1C.10 RESTORATION OF DISTRUBED AREAS: All areas disturbed by, during or as a result of construction activities shall be restored to their existing or better condition. This is not to be interpreted as a replacement of trees and undergrowth in undeveloped sections of rights -of -way. 1C.11 PROTECTIVE WORK: The Contractor shall furnish and install all necessary temporary works for the protection of the work, including barricades, warning signs, and lights at night. ! 1C.12 EMERGENCY WORK: The Contractor shall at a 1 1 times (nights, weekends or holidays) have a responsible man available to act in case of emergency repairs who the Owner may contact. Upon notification of any emergency work necessary, the Contractor's representative shall immediately take steps to make such repairs. 1C.13 NORTH CAROLINA SALES TAX: A11 applicable North Carolina sales tax shall be to the account of the Contractor. The Contractor shall submit monthly records of sales tax paid on the form provide at the end of this Appendix Manual. When no sales tax has been paid in any month, the Contractor shall submit the form stating that no purchases have been made. 1C.14 PAYMENTS: No separate payments will be made for any of the special requirements specified within this section of the specifications, and all costs pertaining thereto shall be included in the price bid for the item to which the requirements pertain.
