WITNESSETH: WHEREAS, the Division of Marine Fisheries (DMF) is a branch within the Agency dedicated to stewardship of marine and estuarine resources; and WHEREAS, the Department has property at the Swan Quarter Ferry Terminal in Hyde County; and, WHEREAS, the DMF has a need for a pier to assist with the loading of oyster shells and has requested to use the Department's property for said purpose, hereinafter known as the Project; and, NOW, THEREFORE, in consideration of the premises and the benefits accruing to the Department and the Agency as the result of the Project it is agreed as follows: SCOPE OF THE PROJECT 1. The Project consists of construction of a pier at the Swan Quarter Ferry Terminal to assist with the loading of oyster shells. All work, as further described in this Agreement, shall be done at no cost or liability to the Department. PLANNING AND DESIGN 2. The Agency shall prepare the environmental and/or planning document, including any environmental permits, and the plans, contractor specifications and estimates (PS&E package). The Department shall have the right to review and approve design of the pier. Agreement ID # 7751 1 CONSTRUCTION 3. The Agency shall construct, or cause to be constructed, the Project in accordance with the plans and specifications of said Project. All work shall be done in accordance with state construction standards, specifications, policies and procedures. RIGHT OF WAY AND UTILITIES 4. The Department shall provide access to and use of the ferry terminal property for the construction of the pier. There is no cost to the Agency for the use of the Department's property. 5. This Agreement does not imply any conveyance of property or control from the Department. 6. The Agency, without any cost or liability whatsoever to the Department, shall relocate and adjust all utilities in conflict with the Project. Said work shall be performed in a manner satisfactory to the Department prior to the Agency beginning construction of the Project. MAINTENANCE AND OPERATIONS 7. Upon completion of the Project, the Agency shall own, maintain and operate the pier at no,cost or liability to the Department. 8. If the pier is no longer needed, or if the Agreement is terminated, then the Agency shall remove the pier at no expense to the Department and the area shall be left in a manner acceptable to the Department. The Department has the opportunity to assume responsibility of the pier in the event the Agency terminates the agreement or no longer has a use for the pier. Any changes to the intended use of the pier by the Agency shall be agreed upon by the Department and the Agency. PERIOD OF AGREEMENT 9. This Agreement will remain for such a period of time as the Department and the Agency deem necessary; however, either party may choose to terminate with a ninety (90) day written notice to the other party. ADDITIONAL PROVISIONS 10. Any modification to scope, responsibilities, or period of agreement will be agreed upon by all parties by means of a written Supplemental Agreement. Agreement ID # 7751 2 0 11. The Department must approve any assignment or transfer of the responsibilities of the Agency set forth in this Agreement to other parties or entities. 12. This Agreement is solely for the benefit of the identified parties to the Agreement and is not intended to give any rights, claims, or benefits to third parties or to the public at large. 13. This Agreement contains the entire agreement between the parties and there are no ,t understandings or agreements, verbal or otherwise, regarding this Agreement except as expressly set forth herein. 14. The Agency is solely responsible for all agreements, contracts, and work orders entered into or issued by the Agency to meet the terms of this Agreement. The Department is not responsible for any expenses or obligations incurred for the terms of this Agreement except those specifically eligible for the funds and obligations as approved by the Department under the terms of this Agreement. 15. The parties hereby acknowledge that the individual executing this Agreement has read this Agreement, conferred with legal counsel as needed, fully understands its contents, and is authorized to execute this Agreement and to bind the respective parties to the terms contained herein. 16. It is the policy of the Department not to enter into any agreement with parties that have been debarred by any government agency (Federal or State). By execution of this agreement, the Agency certifies that neither it nor its agents or contractors are presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in this transaction by any Federal or State Agency or Department and that it will not enter into agreements with any entity that is debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in this transaction. 17. The Department and the Agency are both executive branch agencies of the State of North Carolina and therefore have no known legal authority to give indemnities. As between said parties, the Agency will be primarily liable to the Department for damages caused by the Agency or its officers, agents, or employees acting within the course and scope or their employment with respect to the subject matter of this Agreement, except to the extent that any such loss is actually reimbursed by a contractor or insurer. With respect to the claims of third parties, both the Department and Agency hereto enjoy the State's sovereign immunity except as expressly waived by the North Carolina Tort Claim Act, Article 31 of Chapter 143 of the General Statutes of North Carolina, and may be liable only as therein provided. Neither party will take any action that could or might compromise the sovereign immunity of the other. Agreement ID # 7751 e 18. By Executive Order 24, issued by Governor Perdue, and N.C. G.S.§ 133-32, it is unlawful for any vendor or contractor ( i.e. architect, bidder, contractor, construction manager, design professional, engineer, landlord, offeror, seller, subcontractor, supplier, or vendor), to make gifts or to give favors to any State employee of the Governor's Cabinet Agencies (i.e., Administration, Commerce, Environmental Quality, Health and Human Services, Information Technology, Military and Veterans Affairs, Natural and Cultural Resources, Public Safety, Revenue,.Transportation, and the Office of the Governor). IT IS UNDERSTOOD AND AGREED that the approval of the Project by the Department is subject to the conditions of this Agreement.
