HADDOCK ("Haddock") WITNESSETH: A. Haddock is the owner of Lot 1 (herein "Lot 1 ") and Lot 2 (herein "Lot 2") Bay Harbor Village, Phase II, Map One, as shown on a map recorded in Book of Maps 25, Page 35, Carteret County Registry ("Lot I "). B. The Association desires an easement, (which is in addition to the existing easement defined in the Declaration of Covenants, Conditions and Restrictions of Brandywine Marina recorded in Book 576, Page 379, Carteret County Registry), for the purpose of replacing and repairing the existing bulkhead located along the western line of Lot 2. C. The Association also desires to obtain permission from Haddock to perform maintenance dredging of the channel and marina basin adjacent to Lot I and Lot 2. NOW THEREFORE, in consideration of $10.00 in hand paid by the Association to Haddock, the promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by the parties hereto, Haddock and the Association agree as follows: 1. Easement. Haddock hereby grants and conveys to the Association a temporary easement which shall not run with the land to enter onto Lot 2 and to disturb the soil on Lot 2 for the purpose of repairing and replacing the bulkhead along the western line of Lot 2. This easement shall terminate on September 30, 1997. 2. Restoration and Indemnification. The Association agrees to use its reasonable best efforts to disturb Lot 2 as minimally as possible. Upon completion of the repair and replacement of the bulkhead along the western line of Lot 2, and in any event on or before September 30, 1997, the Association will restore Lots 2 to its condition prior to the beginning of replacing and repairing the bulkhead along the western line of Lot 2. The Association further agrees to replace or compensate Haddock for the loss of any trees located on Lot 2 outside the existing 20 foot utility and maintenance easement. 3. YndemniPtcation. The Association agrees to indemnify and hold harniless Haddock and Haddock's heirs, successors and assigns, from and against any and all loss, costs, expenses, and damages, including reasonable attorney's fees, arising out of the repair and replacement of the bulkhead along the western side of'Lot 2. This indemnification shall survive the termination of the easement granted herein. 4. Consent to Dredging. Haddock hereby consents to maintenance and dredging of the channel and marina basin adjacent to Lot 1 and Lot 2. Haddock and the Association have executed this Easement and Inde.nu0cation Agreement as a sealed instrument as of the day and year first above written. -(SEAL) Donna F. Haddock BRANDYWINE MARINA ASSOCIATION i ATTEST: Secretary [CORPORATE SEAL] R,gLX-4 M BRANDYWINE MARINA ASSOCIATION BRANDYWINE BAY, MOREHEAD CITY, NC January 21, 1997 Mr. Spaulding Craft: As you are aware, we are in the process of obtaining bids and permits to replace the east wall at the Brandywine Marina which was significantly damaged as a result of the two hurricanes this past summer. This bulkhead/retaining wall is adjacent to your western property line. There exists a 20 foot easement along the western side of your property granted to the Brandywine Marina Association for maintenance and repair. The plans for this project, which you have reviewed, were drawn by von Oesen Engineering and call for significant work to be performed within this 20 foot easement. Do to the scope of this project and the requirement for the location of the concrete deadman at the 20 foot easement limit, we are sure that the soil somewhat beyond the easement will also be disturbed. We will make all efforts to keep this additional encroachment to a minimum. Additionally, three to four individual pine trees within this easement may be lost due to having the soil around them disturbed. On completion of the wall reconstruction, we plan to do maintenance dredging of the channel and the marina basin where necessary. The quantity of dredge will be a maximum of 1000 cubic yards. In order to obtain a CAMA maintenance dredge permit we require your permission as an adjacent property owner. This purpose of the letter is to formally appraise you of the reconstruction project, our intent to to have heavy machinery working on your property within the our easement, to ask your permission to disturb the soil beyond the 20 foot easement to complete the project, and to receive for CAMA your approval to perform maintenance dredging. The timing for the above mentioned projects is expected to be within the next five months with anticipated completion prior to the end of June 1997. We will make all efforts to minimize the disturbance to your property, particularly beyond the 20 foot easement. As you would expect, it will be put back to its original state on project completion.
