Along with requiring special care by those who build and develop, the General Assembly directed the Coastal Resources Commission (CRC) to implement clear regula- tions which minimize the burden on the applicant. This application for a minor development permit under CAMA is part of the Commission's effort to meet the spirit and intent of the General Assembly. It has been designed to be straightforward and require no more time or effort necessary from the applicant. Please go over this folder with the Local Permit Officer (LPO) for the locality in which you plan to build to be certain that you understand what information he or she needs. Under CAMA regulations, the minor permit is to be issued within 25 days once a complete application is in hand. Often less time is needed if the project is simple. The process generally takes about 18 days. You can speed the approval process by making certain that your application is complete and signed, that your drawing meets the specifications given inside and that your application fee is attached. Other permits are sometimes required for development in the coastal area. While these are not CAMA-related, we urge you to check with the Local Permit Officer to determine which of these you may need. A listing is included on page 2 of this folder. (successor by merger to Sugarloaf -Properties, Inc.), a North Carolina corporation with its principal office and place of business in McAdenville, North Carolina, herein called LANDLORD and the Town of Morehead City, a municipal corporation of the State of North Carolina in the County of Carteret, North Carolina, herein called TENANT; WITNESSETH THAT: For TEN DOLLARS ($10.00) and other valuable consideration received and hereby acknowledged by each party thereto, and in consideration of the promises and covenants herein contained, LANDLORD and TENANT contract, promise and agree as follows: ARTICLE 1. Exhibit A is made a part of this Lease as if fully set out herein. ARTICLE 2. The term of this Lease shall begin on the 31st day of December , 2001, and shall terminate on the 31st day of December , 2002 and shall continue on a month to month basis from the termination date, unless sooner terminated as herein provided. Provided TENANT has performed all of the covenants and agreements set out in this Lease which are to be done and performed by TENANT, LANDLORD, at its option, may extend this Lease for two (2) successive terms of one (1) year each beginning on the termination date set forth above. This Lease shall be automatically extended unless LANDLORD gives notice to TENANT in writing of its intent not to extend the Lease at least 120 days before the end of the then existing one (1) year term. TENANT shall pay to LANDLORD an annual rent of One and 00/100 DOLLAR ($1.00) payable in advance at the time of the execution of this Lease and on the anniversary date of each lease year during the term of this Lease and any authorized extensions thereof. As additional consideration, the TENANT will pay before they become delinquent all ad valorem property taxes and any other governmental charges that may be assessed against the Premises. ARTICLE 4. LANDLORD covenants that it is well seized of the Premises, has good right to lease them, will put TENANT in possession thereof. and TENANT shall peaceably and quietly have. hold and enjoy the Premises: and LANDLORD warrants and agrees to defend the 1AH:2373� I % I 2 APR 15 2002 title to said Premises and to reimburse and hold TENANT harmless from any loss that TENANT may experience arising from any defect in LANDLORD'S title. However, this Lease is subject to all recorded liens of deeds of trust and any and all recorded and unrecorded easements. ARTICLE 5. TENANT may modify that access point between the existing piers and docks in order to construct a boat ramp consistent with the drawing entitled `Boat Ramp Cross Section" attached hereto and marked Exhibit B-l. In addition, the TENANT may remove part or all of the existing fence on the Premises which is around the boat access park area. At the expiration of the lease term or any authorized extension thereof, the TENANT will replace the removed fence so that said fence will be in substantially the same condition as it existed at the beginning of this Lease, ordinary wear and tear excepted, unless LANDLORD instructs TENANT otherwise. ARTICLE 6. To the fullest extent permitted by law, the TENANT shall indemnify and hold harmless LANDLORD and its affiliates, its and their officers, directors, employees, contractors, subcontractors and agents, from and against all claims, damages, losses and expenses, including, but not limited to, fees and charges of attorneys and court costs, arising out of or resulting from injury or death to person(s) and/or damages to property caused by the TENANT, its employees, agents, contractors and/or subcontractors. TENANT agrees to keep in full force and effect during the term of this Lease general liability insurance coverage with minimum coverage limits in the amount of $2,000,000.00 per occurrence and adequate workers' compensation coverage; and TENANT shall furnish LANDLORD with a certificate of insurance evidencing such coverage and naming LANDLORD as an additional insured, as its interest may appear. Such certificate of insurance shall indicate a thirty (30) day notice to LANDLORD in the event TENANT'S insurance shall cancel, and such coverage shall be maintained with a carrier having a B rating or better by the AM Best Guide published annually. ARTICLE 7. TENANT shall make no unlawful or offensive use of the Premises and shall comply with all statutes, ordinances, rules, orders, regulations and requirements of Federal, State, county and municipal governments in connection with its use and operation of the Premises. ARTICLE 8. It is understood and agreed that TENANT will use the Premises for public access to the waters of Bogue Sound, including, without limitation, construction of a boat ramp for the launching of boats and a parking area for parking of vehicles and boat trailers. TENANT may add to these uses the rental of kayaks or canoes and any other recreational uses as approved in writing by LANDLORD, which approval shall not be unreasonably conditioned, withheld or delayed. ARTICLE 9. LANDLORD shall have the right to enter and inspect the Premises at all reasonable times. 3 APR 1 5 2OU ARTICLE 10. During the term of this Lease, TENANT shall be responsible for insuring the Premises as set forth in Article 6 above and paying all ad valorem taxes, assessments and other governmental fees or charges associated with the Premises and improvements located thereon. For any partial calendar year occurring during the term of this Lease; taxes will be prorated between LANDLORD and TENANT. ARTICLE 11. TENANT shall pay all charges for electric power, water, sewer, natural gas and all other utility services used on, in or in connection with the Premises. ARTICLE 12. TENANT shall repair and maintain the docks, boat launching ramp, and all other improvements now existing, or hereafter placed, on the Premises in a neat, clean and safe condition. Such improvements shall include those shown on the development plan attached hereto and marked Exhibit B and B-1 and incorporated herein by reference. At the expiration of the lease term, TENANT may, at its option, remove all improvements made by it to the Premises which do not fall into the category of being "LANDLORD approved improvements" as approved by LANDLORD and shown on Exhibits B and B-1. LANDLORD shall pay to TENANT the cost of any such LANDLORD approved improvements (LANDLORD'S original obligation for which is $15,000.00 upon completion of, and payment for, such improvements by TENANT) made by TENANT (and which TENANT may not remove from the Premises) within ninety (90) days after expiration of the Lease or any extended term thereof, less $5,000.00 toward the cost of such improvements for each year this Lease remains in force; the parties hereto recognizing that after three (3) years, no such payment for improvements shall be required from LANDLORD to TENANT and LANDLORD shall be the sole owner of such LANDLORD approved improvements. The LANDLORD approved improvements to be made by TENANT are set forth in detail on Exhibit C which is attached hereto and incorporated by reference. LANDLORD is hereby deemed to have approved such improvements. TENANT may make further improvements to the Premises after receiving written approval therefor from LANDLORD, which approval shall not be unreasonably withheld, conditioned or delayed. TENANT agrees to indemnify and hold LANDLORD harmless for any third party liens or related claims asserted against or placed upon the Premises which are a result of any actin taken by the TENANT during the term of this Lease, and such indemnity shall include the payment of all reasonable costs associated with such claims including, but not limited to, reasonable attorneys' fees incurred by LANDLORD. ARTICLE 13. All required or permitted' notices to be given by this Lease shall be deemed to be properly given if delivered in writing personally or sent by registered or certified mail, return receipt requested, postage prepaid, to LANDLORD or TENANT, as the case may be, at the addresses given following the respective signatures to this Lease, or to such other address as may be furnished by either party to the other in writing. The date of mailing shall be deemed the date of giving notice. ARTICLE 14. Should the TENANT fail to timely discharge all of its obligations under the terms of this Lease, LANDLORD shall give TENANT written notice of such default or APR 1 5 z00� 4 defaults, and TENANT shall have ten (10) days to cure such default after receiving notice from the LANDLORD. TENANT will have met the obligations to cure if TENANT begins the cure within ten (10) days of the time of receiving notice from the LANDLORD of a non -monetary default and if TENANT thereafter proceeds with due diligence to complete the cure. Any monetary default must be cured by the payment of sums due within ten (10) days of receipt of notice from LANDLORD. If TENANT fails to so cure any default of which it receives notice from LANDLORD, LANDLORD may declare a breach of TENANT'S obligations under this Lease and may thereupon cancel the Lease and re-enter into possession without having any obligation to pay for improvements as referred to in Article 12 above. ARTICLE 15. As a part of the consideration passing from TENANT to LANDLORD for this Lease, TENANT agrees to keep all portions of the Premises in a neat, attractive, clean and safe condition at all times during the term or any extension thereof. Wherever used herein, the singular shall include the plural, the plural the singular, and the use of any gender shall be applicable to all genders as the context may require.
