Dear Ms. Karoly,
This letter is with reference to DWQ #06-0703 and USAGE Action ID No. 200610019 issued to The Rivers
Edge Subdivision in Perquimans County. Conditions of approval were stipulated in the permit; however,
Condition 7 required an addition to the Declaration of Covenants, Conditions and Restriction for The
Rivers Edge Subdivision (Covenants).
Particularly, the Covenants call for lot owners to keep their lots mowed and maintained, which would have
conflicted with the State rules prohibiting mowing that portion of a lot designated in the Conservation
Easement. In order to amend the Covenants, 75% of the lot owners of The Rivers Edge Subdivision had to
agree to the addition to the Covenants. This has now been accomplished and recorded and can be found as
an attachment to this Letter of Transmittal.
Please consider these documents as compliance with the Condition of Approval and that the developer of
The Rivers Edge Subdivision intends to proceed with the fill authorized by the 401 Water Quality
Certification #06-0703.

RESTRICTIONS made as of the 22°`' day of May, 2007 by RIVER'S 1;DGE PUA, INC., a
North Carolina non-profit corporation (hereinafter "REPOA") as successor to Coastal Land
Development, Inc., Declarant; and the undersigned individuals or entities constituting not less
than seventy-five percent (75%) of the Lot Owners in The Rivers 1/dge Subdivision;
RECITALS
WHEREAS, Coastal Land Development, Inc. has heretofore executed a subdivision
Declaration of Covenants, Conditions and Restrictions dated November i 2, 2004 for a
development called The Rivers Edge of record in Book 274, rage S72 of the I'erquimans County
Public Registry (hereinafter the "Declaration"); and
WHEREAS, Coastal Land Development, Inc. imposed the Declaration on the property

described therein, including specifically Phase 1 oi'The Rivers Edge Subdivision as shown on
plats of record in Flat Cabinet 2, Slide I27, Map 8 and flat Cabinet 2, Slide I28, Maps 1-3 of the
Perquimans County T'ublie Registry; and
WHEREAS, Coastal Land Development, Inc. heretofore executed the First Supplemental
Declaration of Covenants, Conditions and I~estrictians Iior'I'he Rivers edge Subdivision in I3oolc
298, Page 446 of the Perquimans CouzZiy Public Registry (hereinafter the "first Supplement") for
Phase 2 of Tlae Rivers Edge Subdivision (Plat Cabinet 2, Slide 141, Maps 3-4 of the Perquimans
County Public Registry) and subsequently prepared and recorded An-zended First Supplemental
Declaration of Covenants, Conditions and Restrictions For The Rivers Ldge Subdivision because
I:)eclarant had overlooked attaching to the Itirst Supplement The Division of Water Quality's
I.,ow Density Supplement applicable to the Lots in Phase 2 of The Rivers Ldge Subdivision as
recited in Section 16 of the Declaration and so attached and incorporated same in said Amended
First Supplemental Declaration; and
WI-IERIAS, Coastal Land Development, Inc. has agreed to grant certain "Conservation
lasements" to the State ofNorth Carolina, llepazlmcnt of Administration, State Property 4fi~iee,
upon portions of some of the Lots in 'T'he Rivers Edge Subdivision as designated and shown on
the plats of Phase 1 and 2 above referenced; and
WHERIaAS, the State of North Carolina has indicated a desire to accept such
"Conservation Easements" pursuant to the North Carolina Ecosystem Enhancement Program
administered by the State of North Carolina, Department of Environment and Natural Resources,
but only if the Declaration is amended to adequately insure that use of thasc areas of the Lots
impacted by the "Conservation Easements" will not be adverse to the covenants, conditions and

restrictions of the "Cotlservatiotl Casement;" and
WHEREAS, since some of the I.,ots in The Rivers Edge Subdivision have previously
been sold and conveyed, it is necessary for the Declaration to be amended as provided in Section
5 thereof' so as to render the amendment effective as to all Lots in the subdivision;
NOW T'HEREI'ORE, REPUA and the undersigned herewith modify and amend the
Declaratio~l as to all of the I:ots in Tl1c Rivers Ldge Subdivision (Phase 1 thereof in flat Cabinet
2, Slide 127, Map 8 and flat Cabinet 2, Slide 128, Maps 1-3 of the Perquimans County Public

recreation and quiet enjoyment of said "Conservation Easement(s) "areas in
their natural condition. This includes but is not limited to prohibiting use of
ATV's or other off road vehicles within such "Conservation Easement(s) "areas,
and filling or draining within such areas other than in a manner then permitted or
sanctioned by applicable rules and regulations of the State of North Carolina.
Those areas of the Lots in The Rivers Edge Subdivisions expressly designated and
shown on the plats of Phase 1 and 2 as "Conservation Easement(s) "areas are
exempt from compliance, and shall not comply, with any provision, covenant,
condition and restriction of the Declaration which conflicts. with the covenants,
conditions and restrictions of any "Conversation Easement" applicable to the
same area.
IN WITNESS WHEREOF, REPOA has caused this Addition to Declaration of
Covenants, Conditions and Restrictions for The Rivers Edge to be signed in its corporate name
by its duly authorized officer and undersigned owners in the Rivers Edge Subdivision
