Flagged Hi Tom. I hope you are doing well. Would you please check your system and tell me if our NPDES Permit with the change of ownership (from DuPont to Chemours) was issued? I would have bet money that it had been and that I had held it in my hands, but the only permit I can find here is the one that was issued on February 6, 2012, with an effective date of March 1, 2012. I have looked everywhere I can think of, but I cannot find a circa 2015 permit. If one was issued, is it possible for you to mail me a copy of it? I truly apologize for this bother. I am hoping that I am thinking of the Title V Air Permit or the RCRA Permit, which I do have, and perhaps the change of owner modified NPDES Permit has not be issued yet. Thanks! Mike Michael E. In response, I've attached our name/ownership change form, which you will need to complete down the road. Feel free to send me an electronic version, and I can coordinate internally. You also asked about false SNC listings in ECHO, and there was a statewide problem with a disconnect between State/Fed databases, which has since been resolved. I've included some info from Vanessa Manuel below, who has been working on some of the database transition issues. If you still have questions about false SNCs, feel free to contact Vanessa directly at 919-807-6392. Good to see you again. Excerpt from Vanessa Manuel.......... 1. Issue with ECHO SNCs. The information in ECHO is populated, I believe on a monthly basis, from ICIS. The information (permit info &DMR data) in ICIS is uploaded from the state's data system, BIMS. ICIS calculates and generates violations (SNCs) based on the DMR data and permit limit information in ICIS. If the violations found in ECHO are incorrect, then it should be determined if any corrections to the data uploaded is warranted, i.e., fix the data in BIMS and re -upload to ICIS or manually correct the data in ICIS. Correcting any wrong data in ICIS should remove any invalid violations in ECHO. A few weeks ago, EPA re -ran RNC (Reportable Non -Compliance) for the state with the goal of removing those invalid SNC DMR non -receipt violations that ICIS generated during the period the state was not yet sending any DMR data to ICIS (shortly after EPA required the state to migrate from PCS to ICIS). If DuPont's SNC violations in question were for DMR non -receipt, then I recommend the facility re -check ECHO to ensure the SNC violations have been removed. Subject to the terms and conditions of this Agreement, the Parties shall use, and shall cause their respective Affiliates to use, their respective commercially reasonable efforts to consummate the transactions contemplated hereby, a portion of which may have already been implemented prior to the date hereof, including the completion of the Internal Reorganization. Section 2.2 Restructurine: Transfer of Assets• Assumption of Liabilities. (a) Internal Reorganization. Prior to the Effective Time, except for the Transfers set forth on Schedule 2.2(a), the Parties shall complete the Internal Reorganization. (b) Transfer of Assets. At or prior to the Distribution (it being understood that some of such Transfers may occur following the Effective Time in accordance with Section 2.2(a) and Section 2.6), pursuant to the Conveyancing and Assumption Instruments and in connection with the Contribution: (i) DuPont shall, and shall cause the applicable Asset Transferors to, transfer, contribute, distribute, assign and/or convey or cause to be transferred, contributed, distributed, assigned and/or conveyed ("Transfer") to (A) the respective DuPont Asset Transferees, all of the applicable Asset Transferors' right, title and interest in and to the DuPont Retained Assets and (B) Chemours and/or the respective Chemours Asset Transferees, all of its and the applicable Asset Transferors' right, title and interest in and to the Chemours Assets, and the applicable DuPont Asset Transferees and Chemours Asset Transferees shall accept from DuPont and the applicable members of the DuPont Group, all of DuPont's and the other members' of the DuPont Group's respective direct or indirect rights, title and interest in and to the applicable Assets, including alI of the outstanding shares of capital stock or other ownership interests. (ii) Any costs and expenses incurred after the Effective Time to effect any Transfer contemplated by this Section 2.2(b) (including any transfer effected pursuant to Section 2.6) shall be paid by the Parties as set forth on Schedule 10.5(a). Chemours recognizes that the security and safety of its operations are critical to its employees, community, and to the future of Chemours.
