☐  Other  specify: A final redevelopment plan has not been adopted, but conceptually, the property  may be redeveloped into mixed‐use, potentially including all of the above.  The PD prefers to  demolish the building in accordance with this Environmental Management Plan so that the building  will not be  visual impediment to planning, enable a topographic survey to be prepared for future  planning. PD also desires to demolish the building to eliminate trespassing, prevent malicious fires,  and to safeguard the community.    2) slabs/pavement and other structures: The site consists of a single relatively flat parcel  consisting of approximately 2 acres site upon which is situated an approximately 45,000 sf  masonry building surrounded by nearly 100% impervious surfaces (asphalt paving). The  current plan is to the raze the building and foundations, and remove on site utilities. The  3  EMP Form ver.1, October 23, 2014  remaining site grade will be balanced with on‐site fill but with imported fill if necessary. The  existing asphalt will remain and existing monitor wells will be protected. Finished surfaces  consisting of soil will be compacted as appropriate and seeded for erosion control. While an  exact redevelopment plan has not been established, Attachment A depicts a conceptual  isometric view of two proposed new structures and associated parking. The exact building The demolition contractor will take into account conditions such as wind speed, wind direction, and moisture content of soil during demolition activities and should the work require moving soil about the site or if stickpiling soil is necessary. Soil piles will be covered with plastic sheeting when not in use (and overnight) to control dust levels and stormwater erosion. As necessary, light misting of overly dry soil will also be used to reduce fugitive dust from the site. In the unlikely event that contaminated soil is encountered during site redevelopment that requires excavation, particular attention will be paid by contractors to implement dust control measures and soil will be managed as described below.    ☒  Field Screening:      ☒ Yes  ☐ No   If yes, describe method; If no, explain rationale:  During soil disturbance at the site, the workers or  contractors will observe soils for evidence of potential significantly impacted soil that may not be suitable to leave  in place in exposed areas at a residential use site. Evidence of potential significant impacted soil includes a distinct  unnatural color, strong odor, or observance of filled or previously disposed materials of concerns (i.e. chemicals,  tanks, drums, etc). Should the above be noted during site work, the contractor will contact the project  environmental engineer to observe the suspect condition. If the project environmental engineer confirms that the  material may be impacted, then the procedures below will be implemented. In addition, the environmental  engineer will contact the DEQ Brownfields project manager within two business days to advise that person of the  condition.    ☒  Soil Sample Collection:    ☐ Yes   ☒ No   If yes, describe method (e.g., in‐situ grab, composite, stockpile, etc.); If no, explain rationale:   Based on previous site assessment, additional soil samples are not anticipated and based on the objective of only completing demolition of the building at this time, significant soil disturbing 7  EMP Form ver.1, October 23, 2014  activities are not anticipated. However, if significant soil impact is encountered during demolition, or removal of utilities, excavation will proceed only as far as needed to allow the work to be completed and only as far as needed to allow alternate corrective measures described below. Suspect significantly impacted soil excavated during demolition or utility removal may be stockpiled and covered in a secure area to allow the work to progress. Suspect impacted soil will be underlain by and covered with minimum 10-mil plastic sheeting. At least one representative sample of the soil will be collected for analysis of total VOCs, SVOCs, and hazardous substance list (HSL) metals plus hexavalent chromium. If the results of analysis of the sample indicate that the soil could potentially exceed toxicity characteristic hazardous waste criteria, then the soil will also be analyzed for toxicity characteristic leaching procedure TCLP VOCs and/or TCLP RCRA metals. Impacted soil will be handled in the manner described below based upon the laboratory analyses: i) If no organic compounds are detected in a composite sample (other than which are attributable to sampling or laboratory artifacts) and metals are consistent with background levels, then the soil will be deemed suitable for use as on-site fill. Should there be excess cut and off-site disposal is deemed appropriate, the proposed location(s) for off-site placement of soil along with the receiving facility's written approval for acceptance of the soil will be provided to DEQ for approval prior to taking the soil off-site. ii) If detectable levels of compounds are found which do not exceed the use specific DEQ IHSB Residential PSRGs - (other than which are attributable to sampling or laboratory artifacts or which are consistent with background levels for metals) and the TCLP concentrations are below hazardous waste criteria, then the soil may be used on-site as fill without conditions, iii) If detectable levels of compounds are found which exceed the use specific DEQ IHSB Residential PSRGs - (other than which are attributable to sampling or laboratory artifacts or which are consistent with background levels for metals) and the TCLP concentrations are below hazardous waste criteria, then the soil, with DEQ's written approval, may be used on-site as fill below an impervious surface, of at least 2 ft. of compacted clean soil. If the impacted soil with concentrations above Residential PSRGs is moved to an on-site location, its location and depth will be documented, covered with a geotextile fabric so that its location can be identified if encountered in the future, and its location will be provided to DEQ in an updated survey plat, iv) Impacted soil may be transported to a permitted facility such as a landfill provided that the soil is accepted at the disposal facility. If soil is transported to a permitted facility, the permitted facility's written approval to dispose of soil from the site will be included with the final EMP report. Following completion of soil disturbance for site development (i.e., after grading and utility construction), the PD or its consultant or contractor will assess the site for areas that are not 9  EMP Form ver.1, October 23, 2014  covered with clean fill soil, building foundations, sidewalks, or asphalt or concrete parking areas and driveways will be made. If such areas exist, a plan will be prepared for final grade sampling for DEQ review and approval. Off-Site Fill Dirt: In the event that fill dirt from off the Project site is needed during CONTRACTOR'S performance of the Work prior to substantial completion, CONTRACTOR agrees, at additional cost to OWNER, to transport said fill dirt to the Project site and to distribute said fill dirt on the Project site as directed by OWNER. OWNER shall be responsible for all costs associated with such fill dirt including, ,vithout limitation the aforementioned transportation and distribution as well as any testing required by regulatory authorities or otherwise. Suspension of Work: OWNER may, with written notice, suspend further performance by CONTRACTOR. The notice shall specify the date, cause, and anticipated duration of suspension. Upon receipt of the notice of suspension CONTRACTOR shall cease activities as identified in the notice and notify, suspend pe1fonnance, and/or tenninate its subcontractors and/or vendors to implement the suspension of the work. All suspensions shall extend the time schedule or performance on a day~per-day basis unless CONTRACTOR claims added time for inefficiency, demobilization, weather, or similar issues. ~n the event tbat CONTRACTOR's work performance is interrupted by a suspension of work, CONTRACTOR shall be equitably compensated for such charges that are incmTed by CONTRACTOR for demobilization and subsequent remobilization and any termination charges by subcontractors and/or vendors. Termination: Should CONTRACTOR become insolvent, commit a material breach, or default under the Agreement, OWNER, at its sole discretion, may terminate this Agreement for cause, by sending a Notice of Tennination for default. Such notice shall specify reasons for termination and CONTRACTOR will have five (5) business days in which to either cure the default or notify OWNER of how and when CONTRACTOR plans to cure the default. If CONTRACTOR does not cure the default within five (5) days or such time period as is acceptable to OWNER, OWNER may tenninate this Agreement. OWNER may terminate the work at its convenience, upon ten ( I 0) days written notice to CONTRACTOR. Extension of Time: The contract time shall be extended as necessary to compensate for delay in the process of the work resulting from changes in the work, suspension of the work in whole or in part by OWNER, or Force Majeure. CONTRACTOR shall give notice to OWNER of any delay within a reasonable time after the occunence or commencement of a cause of delay. H. Griffin Wrecking Company, Inc. a North Carolina corporation 4716 Hilltop Road Greensboro, NC 27 407 RECITALS WHEREAS, OWNER desires CONTRACTOR to provide demolition services in accordance with CONTRACTOR'S Proposal dated August 29, 2016, a copy of which is attached hereto~ Attachment A and incorporated herein as if fully set forth, and pursuant to the te1rus and conditions as set forth herein; and WHEREAS, CONTRACTOR desires to provide such demolition services to OWNER. NOW, THEREFORE, in consideration of the mutual covenants and obligations set forth herein, the parties agree as follows: Scope of Work: CONTRACTOR shall supply all necessary supervision, technical expertise, labor, equipment and materials to accomplish the tasks set forth in Attachment A, Scope of Work, attached hereto and incorporated herein by the reference ("Work"). In the event that there is a conflict between Attachment A and the tenns and conditions as set forth herein, Attachment A shall take precedence. CONTRACTOR shall be responsible to OWNER for the health and safety of its employees and the employees of its subcontractors that perform Work on the Project site. CONTRACTOR shall conduct the WORK.in a workmanlike manner in accordance with accepted industry practices and standards. In the event additional work not included in Attachment A is requested by OWNER, the scope of such additional work, any changes in costs, and any changes in time necessary to complete the additional work shall be agreed to by a written Change Order prior to the commencement of such additional work. All Change Orders to the Work will be subject to all provisions of this Agreement. All changes in the Work shall be reduced to a written Change Order executed by both parties that outlines the additional work and any changes in time and/or compensation. Such written Change Orders shall take precedence over and will control any contrary or conflicting provision in this Agreement. Page 1 of6 Utilities: As set forth in Attachment A, CONTRACTOR is not responsible for disconnecting, rerouting any utilities above or below grade; rather, OWNER is responsible for same. CONTRACTOR shall coordinate its schedule with Duke Energy for Duke Energy to remove the substation and transfonner serving the Project site. OWNER represents and warrants that the natural gas line(s) serving the Project site have been capped at the property line(s). OWNER shall arrange and pay to have all water, sanitary sewer, and fire sprinkler lines serving the Project site cut and capped at the property line(s). Right of Access: OWNER grants CONTRACTOR, its employees, agents, licensees, and subcontractors reasonable and necessary rights of access to the Project site(s) and documents which may be necessary to conduct the Work. OWNER shall provide to CONTRACTOR, at OWNER's expense, water which shaJl be accessed from a spigot located on OWNER'S property located at 245 11 di Avenue NE, Hickory, NC 28601. Site Information: OWNER has made all relevant information in its possession, custody or control regarding the site, the specifications and status, or its improvements and any other relevant information available1to · CONTRACTOR. CONTRACTOR acknowledges that it has reviewed all such information provided by OWNER and thoroughly inspected the site for relevant facts ·and information in preparing its Proposal. · CONTRACTOR has satisfied itself as to the nature and location of the Work; the nature of the labor, equipment, subcontractors, and materials which are necessary to complete the Work; the general, local, and site conditions, and any other matter that can be reasonably expected to affect the Work under this Agreement. Underground Storage Tanks and Environmental: During perfonnance of the Work and prior to substantial completion, CONTRACTOR agrees to assist OWNER'S environmental contractor and/or consultant with locating any underground storage tanks on the Project site and wi11 use its equipment to load any underground storage tank(s) onto one or more trucks provided by said environmental contractor and/or consultant. The aforementioned obligations of CONTRACTOR shall cease upon CONTRACTOR'S substantial completion of the Work and shall be contingent upon CONTRACTOR being indemnified and held harmless by OWNER or OWNER'S environmental contractor and/or consultant for any liability arising from CONTRACTOR'S performance of its obligations pursuant to this section of this Agreement Off-Site Fill Dirt: In the event that fill diit from off the Project site is needed during CONTRACTOR'S performance of the Work prior to substantial completion, CONTRACTOR agrees, at additional cost to OWNER, to transport said fill dirt to the Project site and to distribute said fill dirt on the Project site as directed by OWNER. OWNER shall be responsible for all costs associated with such fill dirt including, without limitation the aforementioned transportation and distribution as well as any testing required by regulatory authorities or otherwise. Page2 of6 Permits: CONTRACTOR will be solely responsible for all permits and fees necessary to perform the Work on the Project site and holds all business, contractor, or professional licenses and pennits necessary to perfonn the Work, unless specifically provided otherwise in Attachment A. Waste Disposal: CONTRACTOR shall be solely responsible for disposal of all waste generated by the demolition activities of CONTRACTOR or its subcontractors; provided, however, that OWNER shall be responsible for the tipping fees charged by any disposal facility for same. Payment Terms and Adjustments: This is a fixed price contract. OWNER shall pay CONTRACTOR for the Work the sum of One Hundred Forty-three Thousand Dollars and Zero Cents ($143,000.00), plus any agreed-upon change orders, in full within ten (10) days of final completion of the Work. Use, Review, and Revision: A material deficiency in the demolition project, based upon the criteria set forth in Attachment A, may be sufficient cause for OWNER to withhold or delay payment to CONTRACTOR provided that OWNER notifies CONTRACTOR in writing of such deficiency as set forth herein. Insurance: CONTRACTOR shall provide OWNER with a certificate of insurance identifying OWNER as additional insured and evidencing the following minimum coverages: General Liability -$1,000,000; Worker's Compensation Statutory; and Automobile Liability -$2,000,000. Professional Qualifications: CONTRACTOR warrants that the personnel assigned to provide the demolition services specified in this Agreement are qualified to perfo1m the Work and are licensed, if required, by the appropriate governmental agencies in the locale in which the work is to be performed. Indemnification: CONTRACTOR agrees to indemnify and defend OWNER, its employees, and its Project Consultant, if any has been identified by OWNER (hereinafter "Indemnities"), against any liabilities, claims, fines, penalties, expenses, suits, and a11 costs incidental hereto, including costs of investigation, defense, and attorneys' fees, that OWNER and its Indemnities may incur or be liable for on account of death or bodily injuries to any person, property damage of any kind, or violation of any law or governmental regulation or order caused by any negligent or willful act or omission of CONTRACTOR, its affiliates, officers, directors, employees, agents, vendors, or subcontractors. Force Majcure: Except for obligations to pay for services rendered, neither party shall be liable for its failure to perform if such failure is due to circumstances beyond its reasonable control, including without limitation: strikes, riots, war, fire, acts of God, compliance with any valid law, regulation, permit, or order, of the United States of America or any other governmental body or any instrumentality thereof, whether now existing Page3 of6 or hereafter created. Any party claiming Force Majeure shall immediately notify the other party of the existence of such conditions, and state with reasonable specificity the reasons therefore and the steps the party is taking to remedy the circumstances. Suspension of Work: OWNER may, with written notice, suspend fmther performance by CONTRACTOR. The notice shall specify the date, cause, and anticipated duration of suspension. Upon receipt of the notice of suspension CONTRACTOR shall cease activities as identified in the notice and notify, suspend pe1formance, and/or terminate its subcontractors and/or vendors to implement the suspension of the work. All suspensions shall extend the time schedule or performance on a day-per-day basis unless CONTRACTOR claims added time for inefficiency, demobilization, weather, or similar issues. In the event that CONTRACTOR's work performance is interrupted by a suspension of work, CONTRACTOR shall be equitably compensated for such charges that are incurred by CONTRACTOR for demobilization and subsequent remobilization and any termination charges by subcontractors and/or vendors. Termination: Should CONTRACTOR become insolvent, commit a material breach, or default under the Agreement, OWNER, at its sole discretion, may tenninate this Agreement for cause, by sending a Notice of Tennination for default. Such notice shall specify reasons for tennination and CONTRACTOR will have five (5) business days in which to either cure the default or notify OWNER of how and when CONTRACTOR plans to cure the default. If CONTRACTOR does not cure the default within five (5) days or such time period as is acceptable to OWNER, OWNER may tenninate this Agreement. OWNER may terminate the work at its convenience, upon ten (10) days written notice to CONTRACTOR. Upon termination for convenience, CONTRACTOR shall be paid all fees and expenses for the portion of the Work performed prior to the date of termination and for reasonable charges that are incurred by CONTRACTOR for demobilization and any tennination charges by subcontractors and/or vendors. Upon receipt of Notice ofTermination, CONTRACTOR shall: 1) Discontinue all Services affected; 2) Terminate all subcontractor agreements under this Agreement under tenns favorable to OWNER; 3) Deliver to OWNER within five (5) days all data, drawings, specifications, reports, estimates, summaries and other such information and materials as may have been accumulated by CONTRACTOR and paid for by OWNER in performing this Agreement, whether completed or in process; 4) Remove all CONTRACTOR materials and equipment from the pre1nises. OWNER may require CONTRACTOR to immediately cease all work in the event that OV!NER reasonably believes, in its sole discretion, that CONTRACTOR's activities may cause injury to any person or property or may result in violation of federal, state, or local law and, if such activities by CONTRACTOR are not promptly corrected, OWNER my tenninate this Agreement. OWNER may require CONTRACTOR to immediately remove any subcontractor, agent, or employee who OWNER reasonably believes, in its sole discretion, is acting in an unsafe manner. Upon Termination of this Agreement OWNER shall pay all sums due and owing CONTRACTOR for the Work done prior to Termination. Page4 of6 Delegation and Assignment: CONTRACTOR shall not delegate, subcontract, or assign any portion of the Work without the prior written consent of OWNER. Extension of Time: The contract time shall be extended as necessary to compensate for delay in the process of the work resulting from changes in the work, suspension of the work in whole or in part by OWNER, or Force Majeure. CONTRACTOR shall give notice to OWNER of any delay within a reasonable time after the occmTence or commencement of a cause of delay. The notice shall include an estimate of the probable effect of the delay on progress of the Work and the steps CONTRACTOR is taking to correct or mitigate the delay. Savings ClauseAVaiver: In case any provision contained in this Agreement shall, for any reason, be held to be invalid, illegal, or unenforceable in any respect by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of this Agreement and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein. One or more waiver(s) of any term, condition, or other provisions of this Agreement by either OWNER or CONTRACTOR shall not be construed as a waiver of any other provision. Notices: All notices given hereunder shall be in writing and delivered to the appropiiate party as set forth below via first class certified mail, postage pre-paid. The validity, construction, operation and performance of this Agreement shall be governed by the laws of the State of North Carolina without regard to conflicts of laws. Dispute Resolution: All disputes arising under this Agreement which cannot be settled by the parties shall be resolved by arbitration in accordance with the applicable provisions of the Revised Uniform Arbitration Act1 N.C.Gen.Stat. §1-569.0 et seq. Judgment upon the arbitration award may be entered in any court having jurisdiction. The prevailing party shall be entitled to recovery of all reasonable costs including reasonable attorneys' fees and expenses. Page 5 of6 Changed Conditions: In the event conditions at the site are materially changed from those set forth in the Work; CONTRACTOR shall immediately, and before the conditions are disturbed, give a written notice to OWNER of: (1) subsurface or latent physical conditions at the site which differ materially from those indicated in each work order; or (2) unknown and unanticipated physical conditions at the site, of an unusual nature, which differ materially from those nonnally encountered and generally recognized as inherent in work of the character provided for in this Agreement. OWNER shall investigate the site conditions promptly after receiving such notice. If the conditions materially differ and cause an increase or decrease in CONTRACTOR's cost of, or the time required for, performing any part of the Work, an equitable adjustment shall be made in writing. Independent Contractor: CONTRACTOR is an independent contractor and is solely responsible for site health and safety, for the means and methods used to complete the work, and to achieve the agreed upon perfonnance standards. Neither CONTRACTOR nor anyone employed or furnished by CONTRACTOR shall be the agent, representative, employee, partner, joint venture, or servant of OWNER in the perfonnance of the Work under this Agreement. Successors and Assigns: It is mutually agreed that this Agreement shall bind the partners, heirs, executors, administrators, successors, assigns, and legal representatives of the OWNER and CONTRACTOR. Survival of Termination: The warranty and indemnification sections contained in this Agreement shall survive termination of the Agreement.
