("ADDISON"), a limited liability company which we intend to form and through which we would like to participate in the North Carolina Department of Environment and Natural Resources ("DENR") Brownfield program with respect to a proposed project in Charlotte, North Carolina. We are writing to formally notify you of our intent to seek consideration for the Brownfield program. We have entered into a contract to acquire a 1.136 acre tract of land with 20,400 square feet of improvements located at 1310 West Morehead Street in Charlotte ("Site"). We are currently in the "inspection period" stage of the contract and intend to assign the contract to Addison, which will ultimately purchase the Site and serve as the prospective developer. A U.S.G.S. topographical map showing the location of the Site is attached to this letter as Exhibit 1 and a plat survey of the Site is attached as Exhibit 2. The Site is currently owned by EC Griffith & Co. and has been vacant since 1996. The facility was built in 1941 and housed a trailer manufacturing operation until 1946. The use of the facility changed to a motor equipment repair shop until 1960. From 1961 until 1975 there were several motor repair businesses, but there are no specifics describing what kind of repair facility operated out of the building. From 1975 until 1987 the building was used as a metal fabrication shop. The building sat vacant until 1993, when the site was used as an automobile repair garage until 1996. Mr. Nicholson Mr. Zinn January 5, 2000 Page 2 of 3 As part of our due diligence in preparing to purchase the Site, Mr. Phillips and myself contracted with S&ME to do soil borings and geoprobes to evaluate the soil and ground water on the Site. We had three (3) geoprobes drilled to approximately 37 feet below the surface and one (1) hand auger boring drilled approximately five feet below the surface. GP-2 contained trichloroethene ("TCE") of 58 ug/L and bis(2-ethylhexyl) phthalate or "BEHP" of 35 ug/L which are both above NCDENR standards. We have enclosed a copy of S & ME's report for your review. Mr. Phillips had discovered through his own due diligence that TCE had also been discovered on an adjacent site, which would be side gradient to the subject Site. The level of TCE was measured at 5 ug/L. With this information we contacted S&ME for advice. S&ME proposed drilling two more geoprobes to ascertain if the contamination was originating on or off site. Geoprobe four and five were conducted and there was no TCE or BEHP located, but chloroform was found at 24 ug/L in GP-4 and 9.6 ug/L in GP-5. Based on the ground water quality data and the anticipated groundwater flow direction (southeast), the results of the additional ground water analysis from GP-4 and GP-5 do not suggest an off -site source for TCE and BEHP detected in GP-2. Concentrations of chloroform in GP-4 and GP-5 suggest that the chloroform may be from an off -site source. We have also enclosed a copy of this additional data. Addison plans to redevelop the Site. Our plans for redeveloping the site include razing the metal building expansion and adding on to the main brick structure. Depending on market demand we will build a two-story office building expansion (15,000 — 20,000 s.f.) or add onto our existing structure (after the metal building has been razed) with approximately 10,000 square feet for a total of approximately 22,000 square feet, which would be utilized for retail space. It will expand the City of Charlotte's tax base, create job opportunities, provide access to additional services to the community and eliminate fire hazards associated with rubbish stored in the facility and health hazards associated with rodents and mosquitoes. The community would benefit from the office space by virtue of new jobs being created in what was a vacant building and the office workers spending money in the new nearby restaurants as well as dry cleaners, ectera. The retail development will also create new jobs from a vacant building and bring services into an office redevelopment area as well as bring service uses into the neighborhood for the Wesley Heights residents to enjoy. The project has, in fact, received enthusiastic support from the community, as illustrated by the letters attached as Exhibit 3. Mr. Phillips and myself currently work for Carter & Associates a full service commercial real estate firm. Our combined experience exceeds 18 years in the business and both of us have been involved in over 1,500,000 square feet of commercial development. We have enclosed resumes for your review. Our legal counsel is Mr. Tom Griffin of Parker, Poe, Adams & Bernstein. Additionally, Addison is committed to complying with all procedural requirements of the Brownfield program. As set forth in the affidavit attached as Exhibit 4, neither us individually nor Addison are responsible for any of the contamination present at the Site, and we represent that we have substantially complied with all remediation requirements and all Federal and state laws, regulations and rules related to the protection of the environment. We and Addison are looking forward to working with the State to redevelop the Site, and we appreciate your consideration of our project for the Brownfields program.
