Dear Mr. Cameron:
On December 6, 2007, the Wilmington Regional Office received a plan revision for Stormwater
Management Permit Number SW8 990341 Modification. The revisions include development of the
built -upon area and associated plans for lot #3, renamed to lot #3R. It has been determined that a
formal permit modification is not required for the proposed changes. We are forwarding you an
approved copy of the revised plans for your files. Please add the attached plans # 1 and 2 sealed
December 3, 2007 to the previously approved plan sheets.
Please note that any sale or ownership change of lots on the property require an off -site permit
from the different owner or different legal entity. [Permit item 11.9. (e)] I understand from
communication with David Hollis, Hanover Design Services, that an application for off -site permit will be
submitted to this office for lot #3R since the ownership will be CRR Properties LLC.
Please be aware that all terms and conditions of the permit issued on December 5, 2001 remain
in full force and effect. Please also understand that the approval of this revision to the approved plans
for the subject State Stormwater Permit is done on a case -by -case basis. Any other changes to this
project must be submitted to and approved through the Division of Water Quality prior to construction.
The issuance of this plan revision does not preclude the permittee from complying with all other
applicable statutes, rules, regulations or ordinances which may have jurisdiction over the proposed
activity, and obtaining a permit or approval prior to construction.

Mr. Cameron and Mr. Hollis;
When lots are sold to different persons or in this case different legal entity, CRR
Properties, then the lot owner of the new property owner is required to come in for
an off -site permit from the Division. In this case the legal entity has changed.
If other lots in this development have been sold, then those owners/legal entities
need to come in for off -site permits.
It is the responsibility of the permittee to be sure that subdivided lots come in
for off -site permits. When the permittee plans to subdivide and sell lots, this
needs to be disclosed at the time of permitting and deed restrictions are required
prior to selling lots. [re: SW8 990341 permit item II.9.(e).]
Please submit application for off -site permit for lot 3R and any other lots that
are being sold to different legal entities or different persons.

As per your emailed request for clarification sent last Friday, and a conversation with
Mr. Bill Cameron this morning, I would like to try to clarify the legal entities situation on
this project minor update request.
The original permit was issued in 1999 to Cameron Company Limited Partnership. In
2001, additional area was added (the Walgreens Lot and this Lot 3) and the permitee
was changed to Cameron Company LLC, as the Limited Partnership was legally
converted to Cameron Company LLC and was no longer an entity. In 2003 as-builts,
certifications and minor modifications were approved with the permitee still Cameron
Company LLC. There was never an ownership change to "Cameron Group" on this
project, so the database report must be in error.
CRR Properties LLC is the owner of Lot 313 and has been since the modification.
Cameron Company LLC is still the permitee and is in fact the managing partner and
majority owner in CRR Properties LLC, so the permit is still valid. Bill Cameron is the
managing member in each and his is the signature on the permit.
I hope this has clarified the situation to your satisfaction. The 12-2007 plans showed the
legal owner name, but the legally responsible party, and the permitee is unchanged. As

Dear Rhonda:
Enclosed please find 2 copies of a minor update to the above approved and certified
permit as a courtesy to your office and for your records. The impervious area for the
"Starbucks" lot (formerly "Lot 3" and now "Lot 3R") is under what was approved, but the
configuration of the building and parking changed slightly. No change of ownership is
proposed.
The pond as -built is also attached for your use and to orient you to the lot.

DECLARATION OF DRAINAGE EASEMENTS COVENANTS
AND CONDITIONS
THIS DECLARATION OF DRAINAGE EASEMENTS, COVENANTS, AND
CONDITIONS (the "Declaration") is made and entered into this 7G P' day of F L
, 2002, by CRR PROPERTIES, L.L.C., a North Carolina limited liability company,
("Declarant")
A. Declarant is the owner of Lot 2 and Lot 3 as shown on a map entitled "College -
Oleander Center" recorded in Map Book 4r2 , Page 57 , in the New
Hanover County Registry, which Lots are referred to herein individually as "Lot 2"
and "Lot 3," and collectively as "Lots 2 and 3". Lot 1 as shown on the above map
is referred to herein as "Lot 1 ".
Declarant intends to develop Lot 2 for use by Walgreen (hereinafter defined) and
to simultaneously or thereafter develop or allow or cause the development of Lot
3 as a retail/commercial site.
C. Declarant desires to impose certain easements upon Lots 2 and 3, and to
establish certain covenants, and conditions with respect to said Lots 2 and 3, for
the mutual and reciprocal benefit and complement of Lots 2 and 3 and the
present and future owners and occupants thereof, on the terms and conditions
hereinafter set forth.
NOW, THEREFORE, in consideration of the above premises and of the covenants
herein contained, the Declarant does hereby declare that Lots 2 and 3 and all present
and future owners and occupants of Lots 2 and 3 shall be and hereby are subject to the
terms, covenants, easements, and conditions hereinafter set forth in this Declaration, so
that said Lots 2 and 3 shall be maintained, kept, sold and used in full compliance with
and subject to this Declaration and, in connection therewith, Declarant covenants and
agrees as follows:
AGREEMENTS
1. Definitions. For purposes hereof:
1.1 The term "Owner" or "Owners" shall mean the Declarant and any
and all successors or assigns of Declarant as the owner or owners of fee
simple title to all or any portion of Lot 2 or Lot 3, whether by sale,
assignment, inheritance, operation of law, trustee's sale, foreclosure, or
otherwise, but not including, among others, the holder of any lien or
encumbrance on such real property, or any tenant or lessee, except as
expressly provided herein.
1.2 The terms "Lot 2", "Lot 3", and/or "Lots 2 and 3" shall mean Lot 2
and/or Lot 3, as the case may be, and any future subdivisions thereof.
1.3 The term "Permittees" shall mean the tenant(s) or occupant(s) of
Lot 2 or Lot 3, and the respective employees, agents, contractors,
customers, invitees and licensees of (1) the Owner of such Lot, and/or (ii)
such tenant(s) or occupant(s).
1.4 The term "Walgreen" or "Walgreens" shall mean Walgreen Co., an
Illinois corporation (or any of its affiliates, subsidiaries, successors or
assigns). Walgreen shall be deemed a third party beneficiary to this
Declaration.
1.5 The term "Walgreen Lease" or "Walgreens Lease" shall mean that
Lease of Lot 2 from Declarant as landlord to Walgreen as tenant, and any
amendments, extensions or replacements thereof.

1.6 The term "Stormwater Easement Plan" shall mean that stormwater
easement plan attached hereto as Exhibit "A" and by reference made a
part hereof. Except as may be otherwise provided in this Declaration, the
Stormwater Easement Plan is for identification purposes only.
2. Easements.
2.1 Grant of Reciprocal Easements. Subject to any express conditions,
limitations or reservations contained herein, Declarant hereby declares that Lots
2 and 3, and all Owners and Permittees of Lots 2 and 3, shall be benefited and
burdened by the following nonexclusive, perpetual and reciprocal easements
which are hereby imposed upon Lots 2 and 3 and all present and future Owners
and Permittees of Lots 2 and 3:
(a) An easement under the tract of land described in a deed of easement to the
Declarant in the form attached hereto as Exhibit "B", to be promptly recorded
in the New Hanover County Registry, reference to which deed is hereby
made for a more particular and detailed description (the "Drainage
Easement"), in common with others (including persons other than the
Owners and Permittees of Lots 2 and 3), for the discharge and drainage of
storm water runoff in the manner indicated on the Stormwater Easement
Plan. The stone water lines, conduits, pipes and other apparatus for water
drainage installed and to be installed on and under the Drainage Easement
are hereinafter called the "Water Drainage Facilities". The Water Drainage
Facilities required for Lot 3 and Lot 2 shall initially be constructed by
Declarant in accordance with the Stormwater Easement Plan and pursuant
to Plans approved by Walgreen under the Walgreen Lease, as a part of the
initial development of the Walgreens improvements on Lot 2 under the
Walgreen Lease. Declarant may design and construct the Water Drainage
Facilities so that they also provide for the discharge and drainage of storm
water runoff from property other than Lots 2 and 3. The Water Drainage
Facilities shall be installed and maintained below the ground level or surface
of the land (except for such parts thereof that cannot and are not intended to
be placed below the surface, such as transformers and control panels, which
shall be placed in such location as approved by the owner of the affected
property and Walgreen (as to Lot 2). Once constructed by Declarant, and
accepted by Walgreen, (i) the portion of the Water Drainage Facilities
located in, on, or under Lot 2 and Lot 3 shall not be modified, altered,
relocated or otherwise changed, without the prior written consent of all
Owners and Walgreen (during the continuance of the Walgreen Lease),
except that Lot 3 and property other than Lots 2 and 3 may be permitted to
connect on to and use the same, (ii) any modifications, alterations, relocation
or other changes to the portion of the Drainage Facilities in, on, or under Lot
3 shall not impair the drainage of storm water runoff from Lots 2 and 3; and,
(ill) Declarant shall operate and maintain, or cause to be operated and
maintained, in good order, condition and repair, the Water Drainage Facilities
and make, or cause to be made, any and all repairs and replacements that
may from time to time be required with respect thereto.
(b) An easement in, on, over and under the tract of land described in a deed of
easement to the Declarant in the form attached hereto as Exhibit "B", to be
promptly recorded in the New Hanover County Registry, reference to which
deed is hereby made for a more particular and detailed description, in
common with others (including persons other than the Owners and
Permittees of Lots 2 and 3), for the discharge, drainage, use, detention and
retention of storm water runoff in the manner indicated on the Stormwater
Easement Plan (the "Retention Pond"). The Retention Pond, and all ponds,
stone water lines, conduits, pipes and other apparatus for water drainage,
and all storage systems necessary in connection therewith, installed in, on,
or under the Retention Pond are hereinafter called the "Water Retention
Facilities". The Water Retention Facilities required for Lot 3 and Lot 2 shall
initially be constructed by Declarant in accordance with the Stormwater
Easement Plan and pursuant to Plans approved by Walgreen under the
Walgreen Lease, as a part of the initial development of the Walgreens
improvements on Lot 2 under the Walgreen Lease. Declarant may design
and construct the Water Retention Facilities so that they also provide for the
discharge, drainage, use, detention and retention of storm water runoff from
property other than Lots 2 and 3. Once constructed by Declarant, and
approved by Walgreen, (i) any modifications, alterations, relocation or other
changes to the Water Retention Facilities shall not impair the drainage of
storm water runoff from Lots 2 and 3, (ii) Lot 3 and property other than Lots
2 and 3 may be permitted to connect on to and use the same; and, (iii)
Declarant shall operate and maintain, or cause to be operated and
maintained, In good order, condition and repair, the Water Retention
Facilities and make, or cause to be made, any and all repairs and
replacements that may from time to time be required with respect thereto.
2.2
(a) The easements herein above granted shall be used and enjoyed by
each Owner and its Permlttees in such a manner so as not to
unreasonably interfere with, obstruct or delay the conduct and operations
of the businesses of any other Owner or owner or its Permittees or
permittees at any time conducted on Lot 1, Lot 2, or Lot 3, including,
without limitation, public access to and from said businesses, and the
receipt or delivery of merchandise in connection therewith.
(b) Once the Water Drainage Facilities and Water Retention
Facilities are installed pursuant to the easements granted in paragraph 2.1
hereof, and/or utility lines, systems and.equipment are Installed pursuant
to the easements granted in paragraph 2.1 hereof, no permanent building,
structures, trees or other improvements inconsistent with the use and
enjoyment of such easements (excluding improvements typically found in
common areas of shopping centers) shall be placed over or permitted to
encroach upon such water retention, drainage and utility installations. An
owner of the property served by such installations shall not unreasonably
withhold its consent to the reasonable relocation of such installations
requested by the owner of the property where such installations are
located, at such requesting owner's sole cost and expense, so long as
water retention and drainage services or utility services, as applicable, to
Lots 2 and 3 and other property served are not unreasonably interrupted
and the remaining provisions of this paragraph 2.3 are complied with No
such relocation of the Drainage Facilities in, on, or under Lot 2 or Lot 3
shall be performed without the consent of Walgreen (during the
continuance of the Walgreen Lease), which consent shall not be
unreasonably withheld.
(c) Once commenced, any construction undertaken in reliance upon
an easement granted herein shall be diligently prosecuted to completion,
so as to minimize any interference with the business of any other Owner
and its Permittees, or the business of the owner or tenants of any other
property affected. Except in cases of emergency, the right of any Owner
or owner to enter upon property of another Owner or owner for the
exercise of any right pursuant to the easements herein set forth, or to
prosecute work on such Owner or owner's own property if the same
interferes with utility or drainage easements or easements of ingress,
egress or access to or in favor of another owner's property, shall be
undertaken only in such a manner so as to minimize any interference with
the business of the other Owner and its Permittees, or any other owner
and its tenants. In such case, no affirmative monetary obligation shall be
imposed upon the other Owner or owner (and/or, during the continuance
of the Walgreen Lease, Walgreen), and the Owner or owner undertaking
such work shall with due diligence repair at its sole cost and expense any
and all damage caused by such work and restore the affected portion of
the Lot or property upon which such work is performed to a condition
which is equal to or better than the condition which existed prior to the
commencement of such work. In addition, the Owner or owner
undertaking such work shall pay all costs and expenses associated
therewith and shall indemnify and hold harmless the other Owner(s) and

its Permittees, and the owner(s) of any other property and its tenants from
all damages, losses, liens or claims attributable to the performance of
such work. Notwithstanding the foregoing or anything contained in this
Declaration to the contrary, the Owner of Lot 3 or Lot 2 and its Permittees,
shall in no event undertake any work described in this paragraph (except
normal minor repairs in the ordinary course which do not interfere with the
business of the Owner of Lot 2 and its Permittees) in, on, or under Lot 2 or
Lot 3 which is not of an emergency nature during the months of November
or December unless the Owner of Lot 2 (and Walgreen, during the
continuance of the Walgreen Lease) shall consent thereto.
3. Maintenance and Operation. The Water Drainage Facilities and the Water
Retention Facilities, shall be operated and maintained, or caused to be
maintained and operated, by the Declarant, its successors and assigns.
4. No Rights in Public: No Implied Easements. Nothing contained herein shall be
construed as creating any rights in the general public or as dedicating for public
use any portion of Lot 3, Lot 2, the Water Drainage Facilities or the Water
Retention Facilities. No easements, except those expressly set forth in
paragraph 2 shall be implied by this Declaration; in that regard, and without
limiting the foregoing, no other easements are granted or implied.
5. Remedies and Enforcement.
5.1 All Legal and Equitable Remedies Available. In the event of a breach or
threatened breach by any Owner or its Permittees of any of the terms,
covenants, or conditions hereof, the other Owner(s) and Walgreen shall be
entitled forthwith to full and adequate relief by injunction and/or all such other
available legal and equitable remedies from the consequences of such breach,
including payment of any amounts due and/or specific performance. Walgreen
shall have the right, but not the obligation, to enforce this Declaration on behalf of
the Owner of Lot 2, and/or to cure a breach or default hereunder by the Owner of
Lot 2, which enforcement or cure shall be accepted by the other Owner(s) as if
effected by the Owner of Lot 2. The Owner of Lot 3 may authorize any of its
Permittees to enforce this Declaration on behalf of the Owner of Lot 3, and/or
cure a breach or default hereunder by the Owner of Lot 3, which enforcement or
cure shall be accepted by the other Owner(s) and Walgreen as if effected by the
Owner of Lot 3.
5.2 Self -Help. In addition to all other remedies available at law or in equity,
upon the failure of a defaulting Owner to cure, or cause to be cured, a breach of
this Declaration within thirty (30) days following written notice thereof by an
Owner, Walgreen, or an authorized Permittee (unless, with respect to any such
breach the nature of which cannot reasonably be cured within such 30-day
period, the defaulting Owner commences, or causes to be commenced, such
cure within such 30-day period and thereafter diligently prosecutes, or causes to
be prosecuted, such cure to completion), Walgreen, any Owner, or authorized
Permittee, shall have the right to perform such obligation contained in this
Declaration on behalf of such defaulting Owner and be reimbursed by such
defaulting Owner upon demand for the reasonable costs thereof together with
interest at the prime rate charged from time to time by First Chicago NBD (its
successors or assigns), plus two percent (2%) (not to exceed the maximum rate
of interest allowed by law). Notwithstanding the foregoing, in the event of (1) an
emergency, (ii) blockage or material impairment of the easement rights, and/or
(iii) the unauthorized parking of vehicles on Lot 2 or Lot 3, an Owner, an
authorized Permittee, or Walgreen may immediately cure the same and be
reimbursed by the other Owner upon demand for the reasonable cost thereof
together with interest at the prime rate, plus two percent (2%), as above
described.
5.3 Lien Rights. Any claim for reimbursement, including interest as aforesaid,
and all costs and expenses including reasonable attorneys' fees awarded to any
Owner or authorized Permittee (or to Walgreen) in connection with the exercise
of its rights set forth in paragraphs 5.1 and/or 5.2 above in enforcing any
payment in any suit or proceeding under this Declaration shall be assessed

against the defaulting Owner in favor of the prevailing party and shall constitute a
lien (the "Assessment Lien") against the Lot of the defaulting Owner until paid,
effective upon the fling of a notice of lien with respect thereto in the Office of the
Clerk of Superior Court of New Hanover County, North Carolina; provided,
however, that any such Assessment Lien shall be subject and subordinate to (i)
liens for taxes and other public charges which by applicable law are expressly
made superior, (ii) all liens recorded in the Office of the Register of Deeds of New
HanoverCounty, North Carolina prior to the date of filing of said notice of lien,
and (III) all leases entered into, whether or not recorded, prior to the date of filing
of said notice of lien. All liens recorded or filed subsequent to the recordation of
the notice of lien described herein shall be junior and subordinate to the
Assessment Lien. Upon the timely curing by the defaulting Owner of any default
for which a notice of lien was filed, the party filing same shall file an appropriate
release of such notice of lien and Assessment Lien.
5.4 Remedies Cumulative. The remedies specified herein shall be
cumulative and in addition to all other remedies permitted at law or in equity.
5.5 No Termination For Breach. Notwithstanding the foregoing to the
contrary, no breach hereunder shall entitle,any Owner or Permittee to cancel,
rescind, or otherwise terminate this Declaration. No breach hereunder shall
defeat or render invalid the lien of any mortgage or deed of trust upon any Lot
made in good faith for value, but the easements, covenants, and conditions
hereof shall be binding upon and effective against any Owner of such Lot
covered hereby whose title thereto is acquired by foreclosure, trustee's sale, or
otherwise, and all persons claiming by, through, or under such Owner.
5.6 Irreoarable Harm. In the event of a violation or threat thereof of any
of the provisions of this Declaration, each Owner agrees that such violation
or threat thereof shall cause the nondefaulting Owner and/or its Permittees to
suffer irreparable harm and such nondefaulting Owner and its Permittees
shall have no adequate remedy at law. As a result, in the event of a violation
or threat thereof of any of the provisions of this Declaration, the nondefaulting
Owner, its authorized Permittee(s), and Walgreen, in addition to all remedies
available at law or otherwise under this Declaration, shall be entitled to
injunctive or other equitable relief to enjoin a violation or threat thereof of this
Declaration.
6, Term. The easements, covenants, and conditions contained in this Declaration
shall be effective commencing on the date of recordation of this Declaration in
the office of the New Hanover County Register of Deeds and shall remain in full
force and effect thereafter in perpetuity, unless this Declaration is modified,
amended, canceled or terminated by the written consent of all then record
Owners of Lot 1, Lot 2 and Lot 3 in.accordance with paragraph 7.2 hereof.

7.1 Attomeys' Fees. In the event a party (including Walgreen) institutes
any legal action or proceeding for the enforcement of any right or obligation
herein contained, the prevailing party after a final adjudication shall be entitled to
recover Its costs and reasonable attorneys' fees incurred in the preparation and
prosecution of such action or proceeding.
7.2 Amendment.
(a) Declarant agrees that the provisions of this Declaration may
be modified or amended, in whole or in part, or terminated, only by the
written consent of all record Owners of Lot 1, Lot 2, and Lot 3, evidenced
by a document that has been fully executed and acknowledged by all such
record Owners and recorded in the office of the Register of Deeds of New
Hanover County, North Carolina.
(b) Notwithstanding paragraph 7.2(a) above to the contrary, no
termination of this Declaration, and no modification or amendment of this
Declaration shall be made nor shall the same be effective unless the same
has been expressly consented to in writing by Walgreen (during the
continuance of the Walgreen Lease).
7.3 Consents. Wherever in this Declaration the consent or approval of an
Owner, Permittee, or Walgreen is required, unless otherwise expressly provided
herein, such consent or approval shall not be unreasonably withheld or delayed.
Any request for consent or approval shall: (a) be in writing; (b) specify the
section hereof which requires that such notice be given or that such consent or
approval be obtained; and (c) be accompanied by such background data as is
reasonably necessary to make an informed decision thereon. The consent of an
Owner, Permittee, or Walgreen under this Declaration, to be effective, must be
given, denied or conditioned expressly and in writing. During the continuance of
the Walgreen Lease, any consent by the Owner of Lot 2, to be effective, shall
also require the consent of Walgreen, which consent or approval shall not be
unreasonably withheld or delayed.
7.4 No Waiver. No waiver of any default of any obligation by any party
hereto shall be implied from any omission by the other party to take any action
with respect to such default.
7.5 No Agency. Nothing in this Declaration shall be deemed or construed by
either party or by any third person to create the relationship of principal and
agent or of limited or general partners or of joint venturers or of any other
association between the parties.
7.6 Covenants to Run with Land. It is intended that each of the
easements, covenants, conditions, rights and obligations set forth herein shall
run with the land and create equitable servitudes in favor of the real property
benefited thereby, shall bind every person having any fee, leasehold or other
interest therein and shall inure to the benefit of.the respective parties and their
successors, assigns, heirs, and personal representatives.
7.7 Grantee's Acceptance. The grantee of any Lot or any portion thereof,
by acceptance of a deed conveying title thereto or the execution of a contract for
the purchase thereof, whether from an original party or from a subsequent owner
of such Lot, shall accept such deed or contract upon and subject to each and all
of the easements, covenants, conditions and obligations contained herein. By
such acceptance, any such grantee shall for himself and his successors, assigns,
heirs, and personal representatives, covenant, consent, and agree to and with
the other party, to keep, observe, comply with, and perform the obligations and
agreements set forth herein with respect to the property so acquired by such
grantee.
7.8 Seoarability. Each provision of this Declaration and the application thereof
to Lot 3 and Lot 2 are hereby declared to be independent of and severable from
the remainder of this Declaration. If any provision contained herein shall be held
to be invalid or to be unenforceable or not to run with the land, such holding shall
not affect the validity or enforceability of the remainder of this Declaration. In the
event the validity or enforceability of any provision of this Declaration is held to
be dependent upon the existence of a specific legal description, the parties agree
to promptly cause such legal description to be prepared. Ownership of any or all
of Lot 1, Lot 2, or Lot 3 by the same person or entity shall not terminate this
Declaration nor in any manner affect or impair the validity or enforceability of this
Declaration.
7,9 Time of Essence. Time is of the essence of this Declaration.
7.10 Entire areement. This Declaration contains the complete understanding
and agreement of the parties hereto with respect to all matters referred to herein,
and all prior representations, negotiations, and understandings are superseded
hereby.
7.11 Notice s• Notices or other communication hereunder shall be in writing
and shall be sent certified or registered mail, return receipt requested, or by other
national overnight courier company, or personal delivery. Notice shall be
deemed given upon receipt or refusal to accept delivery. Each party and
Walgreen may change from time to time their. respective address for notice
hereunder by like notice to the other party and Walgreen. Notice given by any
Owner hereunder to be effective shall also simultaneously be delivered to
Walgreen (during the continuance of the Walgreen Lease). The notice

7.12 Goveming Law. The laws of the State in which Lots 2 and 3 are located
shall govern the interpretation, validity, performance, and enforcement of this
Declaration.
7.13 Estoppel Certificates. Each Owner, within twenty (20) days of its receipt of a
written request from the other Owner(s) or Walgreen, shall from time to time
provide the requesting Owner or Walgreen, a certificate binding upon such
Owner stating: (a) to the best of such Owner's knowledge, whether any party to
this Declaration is in default or violation.of this Declaration and if so identifying
such default or violation; and (b) that this Declaration is in full force and effect
and identifying any amendments to the Declaration as of the date of such
certificate.
7.14 Bankruotcv. In the event of any bankruptcy affecting any Owner or occupant of
any of Lot 2 or Lot 3, the parties agree that this Declaration shall, to the
maximum extent permitted by law, be considered an agreement that runs with
the land and that is not rejectable, in whole or in part, by the bankrupt person or
entity.
7.15 Cross Access Easement. Notwithstanding anything hereinabove to the
contrary, this Declaration, and the easements, rights, and obligations hereby
granted and created, are subject to the terms and provisions of that certain cross
access agreement dated a 20°I , and recorded in Book 321¢ Page S9 I
in the office of the Register of Deeds of New Hanover County.

Whereas, the parties hereto own adjoining tracts of land,

easement to the party of the second part to discharge and drain

consideration of the foregoing matters and TEN ($10.00) DOLLARS
and other good and valuable considerations to it in hand paid,
the receipt of which is hereby acknowledged, has given, granted,
bargained and sold, and by these presents does give, grant,
bargain, sell and convey unto the said party of the second part,
its successors and assigns, subject to the conditions hereinafter
set forth, a perpetual, nonexclusive and reciprocal right and '
easement, in common with the party of the first part, its
successors and assigns, under and across the following described
tract of land for (1) the discharge and drainage of surface water
runoff from Lots 2 and 3, (2) for the construction, operation,
maintenance, repair, and replacement of underground surface water
drainage lines, conduits, pipes and other apparatus for water
drainage, (3) for the use of any underground surface water

drainage lines, conduits, pipes and other apparatus that may
presently be installed under the hereinafter described tract of
land, and (4) to go upon the hereinafter described tract of Land
with men, equipment, and materials whenever necessary to
construct, operate, inspect, maintain, repair, and/or replace
said underground surface water drainage lines, conduits, pipes
and other apparatus, said tract of land being more particularly
described as follows:
A certain tract or parcel of land lying and being in
Wilmington Township, New Hanover County, North Carolina and
being a portion of Lot 1 as shown on the map entitled
"College - Oleander Center" recorded in Map Book , Page
of the New Hanover County Registry, and being more
particularly described as follows:
Beginning at an iron set in the western line of,Lot 2 of
College - Oleander Center as shown on the above map, at the
northeast corner of Lot 3 as shown on the above map, said
beginning point lying N 12-04-23 E 174.74 ft. along the said
western line of Lot 3 from an iron set in the northern
right-of-way line of Oleander Drive (a 100 ft. wide public
right-of-way) at the southeastern corner of Lot 3 and the
southwestern corner of Lot 2 of the said College - Oleander
Center, as shown on the above map; and from said beginning
point, leaving Lot 2 and with the said western line of Lot 3
N 63-12-34 W 30.13 ft. to a point; thence leaving Lot 3, the
following courses: N 12-04-23 E 61.97 ft., N 74-23-54 W

unreasonably interfere with, obstruct or delay the conduct and
operations of the occupants of the properties served by such
facilities, and (ii) the surface of the land may be disturbed and
opened as reasonably necessary, but the surface of the land
shall, without unnecessary delay and as soon as practicable, be
closed and restored to its condition immediately prior to such
disturbance and opening.

Beginning at an existing iron pipe in the southern right-cf-
way line of Peachtree Avenue, a variable width public right-
of-way, where the said southern right-of-way line of
Peachtree Avenue is intersected by the western line of the
tract described in a deed to Williams Fabricare, Inc.
recorded Book 1447 Page 805 of the New Hanover County
Registry; and from said beginning point, leaving Peachtree

By this Memorandum of Lease made the _&__ day of 2002,
between CRR PROPERTIES, L.L.C., a North Carolina limited liability company,
hereinafter called "Landlord; and WALGREEN CO., an Illinois corporation, hereinafter
called "Tenant";
Landlord hereby leases to Tenant, and Tenant hereby rents from Landlord, for
the term commencing July 1, 2002, and continuing to and including June 30, 2077, as
such dates shall be adjusted pursuant to a lease of even date herewith between the
parties hereto (the "Lease") and subject to prior termination as therein provided the
premises to include both the real property and building and other improvements,
appurtenances, easements and privileges belonging thereto at the northwest comer of
South College Road and Oleander Drive, in the City of Wilmington, State of North
Carolina, as shown on the plan attached hereto and made a part hereof as Exhibit 'A"
and as legally described on Exhibit "B' attached hereto and made a part hereof and
hereinafter referred to as the "Leased Premises."
The Lease, among other things, contains the following provisions:

7. (a) Landlord, at Landlord's cost and expense, shall repair and replace
(but shall not be obligated to maintain, which shall be Tenant's responsibility) the
parking areas of the Leased Premises for one (1) year after Tenant's acceptance
of possession, except that Landlord's obligation to repair and replace shall
survive as provided by applicable law as to defective conditions (including
without limitation conditions which do not comply with the Plans or applicable
law) which could not be discovered by Tenant in the exercise of reasonable care
within one (1) year after acceptance of possession. Subject to the immediately
preceding sentence, Tenant, at Tenant's cost and expense, shall maintain, repair
and replace the parking areas of the Leased Premises. However, Tenant shall
have no obligation to perform nor pay any costs in connection with the following:
(i) any damages caused by the acts or omissions of Landlord; and (ii) defective
conditions (including without limitation conditions which do not comply with the
Plans or applicable law) (a) discovered within one (1) year after Tenant's
acceptance of possession, or (b) which could not be discovered by Tenant in the
exercise of reasonable care within one (1) year after acceptance of possession,
which shall remain Landlord's responsibility to perform. The parking areas shall
be for the exclusive use of Tenant and Tenant's customers, employees, invitees,
successors, assigns and sublessees. Tenant shall pay twenty and 5/10ths
percent (20.5%) of the costs and expenses incurred by Landlord in maintaining,
repairing, and replacing the Driveways described in the CEA described in
Subsection (b) below.
(b) In order that Tenant have full use and enjoyment of the Leased
Premises, Tenant requires rights of access and certain other rights over and
upon the parcels shown on Exhibit "A' attached hereto (the "Easement Parcels").
To provide for such easement rights between the parcels, Landlord will enter into
and record the Cross Easement Deed and Agreement (the "CEA") attached
hereto as Exhibit "F", which CEA shall be binding upon the Easement Parcels
and all present and future owners, occupants and lien holders of the Easement
Parcels.
Notwithstanding anything contained herein to the contrary, Tenant
shall have no obligation to accept delivery of possession of the Leased Premises
unless and until the CEA shall be fully executed by all owners of the parcels,
recorded, and shall be a binding and enforceable encumbrance upon the
Easement Parcels and all existing and future owners and occupants thereof.
Access easements W and "5", as described in the CEA, shall be prior to the lien
of any mortgage or other encumbrance in the nature of a mortgage on all or any
portion of the parcels. The remaining easements described in the CEA will be
subject to the mortgages and encumbrances, and other exceptions to title,
shown on Exhibit "E" attached hereto. In addition, if for any reason the CEA has

not been executed and recorded in accordance with this Section (b) within four
(4) months of the date of mutual execution of this Lease by the parties, then, at
any time thereafter (but prior to full satisfaction of this Section), Tenant may,
upon notice to Landlord (in addition to Tenant's remedies at law, equity or
otherwise under this Lease), elect to cancel this Lease.
(c) Landlord covenants and agrees that it will comply with and/or
enforce as the case may require all rights, covenants and agreements granted in
the CEA, the Drainage Declaration (attached hereto as Exhibit 01"), and the
restrictions set forth in section 8 of this Lease, including without limitation: (i)
maintaining the easement areas described in the CEA and the Drainage
Declaration, (Ill enforcing those restrictions in the CEA and the Drainage
Declaration or this Lease applicable to the adjacent parcels, and/or (iii) those
provisions of the CEA, the Drainage Declaration or this Lease that grant the
Leased Premises and any occupant or owner thereof the right to utilize the
easement areas described in the CEA, the Drainage Declaration and this Lease.
Landlord further covenants and agrees that it will not, without the prior express
written consent of Tenant allow, permit or suffer the erection of any barriers or
obstructions which prevent or impair the free flow of vehicular and pedestrian
traffic to, from and between the Easement Parcels, Leased Premises, and
adjacent streets and roads (as shown on Exhibit "A" and arising under the CEA),
except temporary barriers erected for maintenance and repairs, and barriers and
obstructions erected by public authorities.

diligently pursue enforcement of compliance with the CEA within fifteen (15)
days after receipt of written demand therefor from Tenant, then Tenant may
thereafter and on Landlord's behalf and in Landlord's name, take any and all
action necessary or appropriate to enforce or comply with the provisions of the
CEA, of which Tenant shall be deemed a third party beneficiary to the maximum
extent allowed by law; If Tenant shall prevail in such enforcement action,
Landlord shall pay Tenant's attomeys' fees and costs so incurred. Landlord shall
promptly upon request of Tenant, reimburse Tenant's expenses (including
without limitation attorneys' fees) incurred to enforce compliance with the CEA of
which Tenant shall be deemed a third party beneficiary to the maximum extent
allowed by law. In the event the violation of the CEA involves loss of or
impairment of the easement rights contained in the CEA, then the above notice
provisions shall be deemed waived and Tenant may at its expense immediately
take all necessary or appropriate action on behalf of Landlord so as to remedy
such violation of the CEA and restore or preserve the easement rights. Landlord
shall promptly provide Tenant copies of all notices sent or received by Landlord
under the CEA.

(ii) To the extent Landlord's consent is required or sought with
respect to any item governed by the CEA or the Drainage Declaration, Landlord
shall not grant its consent unless Landlord first notifies Tenant and provides
Tenant not less than fifteen (15) days to also consent (or refuse to) to such
request or item for which Landlord's consent is sought. If Tenant shall not
expressly and in writing consent, Landlord shall not consent and Landlord shall
object in the manner and within the time required under the CEA or the Drainage
Declaration. Any consent of Landlord under the CEA or the Drainage
Declaration given absent Tenant's express consent or deemed consent shall be
of no effect and deemed invalid. Tenant shall not unreasonably withhold such
consent.
(iii) It is understood and agreed that Landlord shall not enter into
any agreements modifying or terminating the CEA or the Drainage Declaration
without first obtaining the express written consent of Tenant and such
modification or termination without first obtaining Tenant's express written
consent shall be of no effect. Tenant shall not unreasonably withhold such
consent.
(vi) If access easement "4" or 05", as described in the CEA, or
the Drainage Declaration, is subject to any mortgage, deed of trust or other
encumbrance in the nature thereof, Landlord, prior to delivering possession of
the Leased Premises to Tenant and as a condition precedent thereto shall obtain
a recordable agreement from the lender, mortgagee or beneficiary subordinating
its interest to the CEA and the Drainage Declaration.
8. (a) Landlord covenants and agrees that, during the Term and any extensions
or renewals thereof, no additional property which Landlord may now or hereafter own,
and which is contiguous to, or which is within five hundred (500) feet of any boundary
of, the Leased Premises (the "Adjacent Parcels"), will be used for any one or
combination of the following: (i) the operation of a drug store or a so- called
prescription pharmacy or for any other purpose requiring a qualified pharmacist or other
person authorized by law to dispense medicinal drugs, directly or indirectly, for a fee or
remuneration of any kind; (ii) the operation of a medical diagnostic lab or the provision
of treatment services (other than as part of a medical, dental, physician, surgical or
chiropractic office(s), which office(s) shall not be restricted by this subsection (!I)); (iii)
the sale of so-called health and beauty aids or drug sundries; (iv) the operation of a
business in which photofinishing services or photographic film are offered for sale; (v)
the operation of a business in which greeting cards or gift wrap are offered for sale; and
(vi) the operation of a business in which prepackaged food items for off premises
consumption are offered for sale (except that a grocery store occupying a sales area of
at least 34,000 square feet shall be allowed). If Landlord fails or refuses to file suit

against any party to enforce the foregoing restrictions within fifteen (15) days after
receipt of written demand therefor from Tenant, Tenant may thereafter and on
Landlord's behalf and in Landlord's name take any and all action necessary or
appropriate to enforce or comply with the foregoing restrictions. If Tenant shall prevail in
such enforcement action, Landlord shall pay Tenant's aftomeys' fees and court costs
incurred in connection with such sult. If Tenant shall not prevail in such enforcement
action, but the suit resulted from an act or omission of Landlord which occurred prior to
the above demand to file suit by Tenant to Landlord, Landlord shall pay Tenant's
aftomeys' fees and court costs incurred in connection with such suit. For purposes
hereof "contiguous" shall mean property that is either adjoining the Leased Premises or
separated from the Leased Premises only by a public or private street, alley or right-of--
way.

25. (a) In the event that Landlord shall receive a Bona Fide Offer to purchase the
Leased Premises at any time and from time to time on or after the date hereof and
during the Initial Term and Tenn of this Lease or any extensions thereof from any
person or entity, Landlord shall so notify Tenant (Attn.: Law Department) together with a
true and correct copy of said Bona. Fide Offer. For purposes hereof, a "Bona Fide
Offer" shall be deemed to be one made in writing by a person or entity that is not
related or affiliated with Landlord which Landlord intends to accept (subject to this
Article). A person or entity that is "related or affiliated with Landlord" is a person who is
a descendant of Bruce B. Cameron, Sr., or an entity owned or controlled by one or
more descendants of Bruce B. Cameron, Sr. In submitting the Bona Fide Offer to
Tenant, Landlord shall segregate the price and the terms of the offer for the Leased
Premises from the price and other terms connected with any additional property or
properties that such person or entity is offering to purchase from Landlord. Tenant
may, at Tenant's option and within forty-five (45) days after receipt of Landlord's notice
of said Bona Fide Offer and receipt of a copy thereof, offer to purchase the Leased
Premises at the price and upon the terms and conditions as are contained in said Bona
Fide Offer, in which event, Landlord shall sell the Leased Premises to Tenant upon said
terms and conditions and said price; furthermore, in such event, Landlord shall convey
the Leased Premises to Tenant by warranty deed. Notwithstanding the foregoing, the
price that Tenant shall pay for the Leased Premises shall be reduced by (i) an amount
equal to broker's fees or commissions that would have been payable by either the
purchaser or Landlord if the Leased Premises were sold pursuant to a Bona Floe Offer;
and (ii) the amount of any payment(s) to be made by the proposed purchaser to any
entity owned or controlled by, or affiliated with, the proposed purchaser. Landlord shall
provide Tenant evidence of the amount of broker's fees or commissions payable in
connection with any such Bona Fide Offer. Landlord covenants that it shall accept no
such Bona Fide Offer or convey the premises until it has complied with the terms of this
Article. Any conveyance of the Leased Premises made in the absence of full

satisfaction of this Article shall be void. Tenant may enforce this Article, without
limitation, by injunction, specific performance or other equitable relief.
(b) Tenant's election not to exercise its Right of First Refusal
shall not prejudice Tenant's rights hereunder as to any further Bona Fide
Offer. The terms and conditions contained in this Article shall be binding
upon the heirs, successors and assigns of Landlord.
Provisions for additional rent and the other terms, covenants and conditions of
said letting, including the options on the part of Tenant for prior termination, are set
forth at length in the Lease, and all of said provisions, terms, covenants and conditions
are, by reference hereto, hereby incorporated in and made a part of this Memorandum
of Lease.
This instrument shall also bind and benefit, as the case may require, the heirs,
legal representatives, assigns and successors of the respective parties, and all
covenants, conditions and agreements herein contained shall be construed as
covenants running with the land. This instrument shall not become binding upon the
parties until it shall have been executed and delivered by both Landlord and Tenant.
This Memorandum of Lease is made and executed by the parties hereto
for the purpose of recording the same in the office of the public records of New Hanover
County, North Carolina, and is subject in each and every respect, to the rents and other
terms, covenants and conditions of the Lease and this Memorandum of Lease is
executed and delivered with the understanding and agreement that the same shall not
in any manner or forth whatsoever, alter, modify or vary the rents and other terms,
covenants and conditions of the Lease.
