Hope you are good. Following up on this, i have completed the owed laboratory name change request and sent it to you.
Scme additional details:
• You are going to see that Brad Catalone is not listed in the laboratory permit because is no !onger with the
company. i have replaced him with Marty Shelton which is on his position.
• Dean Childers is no longer with the company so I have updated the manufacturing permit with Mark Lewis
name. Mark has replaced Dean on his position
• I have attached -to each one of the permits Marty's and Mark's job descriptions
• Originals file were sent through Fedex and should be on your office no later than Tuesday
Hopefully we can finalize the permit update soon.

I received the package to change the corporate name for your two permits recently, but I am still really confused by
this. This isn't intended to be overly complicated. It should actually be fairly simple. When we last talked you were
going to have the application signed by someone with the title of Vice President per the attached job summary for the
company. But, both forms are signed by an individual with the title of Sr. Director of Manufacturing, Packaging, and
Technical Services. And, there are two people with the same title? Also, the SW8 980308 form does not have an original
signature.
I need to have a form signed by someone who is at least Vice President (with the title listed as such on the form), and
need an original signature (as opposed to a copy) for each form.

It looks like both permits want to have a name change (not an ownership change) from AAIPharma Services Corp. to
Alcami Corporation because the company's name officially changed on 5/31/16. The first form below shows this
scenario. The second one shows the current and proposed to be the same entity? I have a question about the signature
on the first scan below. The corporate information you sent (third scan below) shows that Stephen Kutzer is the CEO. It
does not list Bradley Catalone (the individual that signed the first scan below). Has Mr. Kutzer delegated authority for
Mr. Catalone to sign on his behalf? I think we went through this exercise when Mr. Childers (on the second scan) had
signature authority. We typically receive an operating agreement or similar document for the corporation listing
individuals who can sign for various things like permitting, leases, or other corporate functions. We need to have an
operating agreement signed by Mr. Kutzer delegating signature authority to Mr. Calone. We will also need to have a
form for SW8 960417 showing the change from AAIPharma Services Corp. to Alcami Corporation.

It looks like both permits want to have a name change (not an ownership change) from AAIPharma Services Corp. to
Alcami Corporation because the company's name officially changed on 5/31/16. The first form below shows this
scenario. The second one shows the current and proposed to be the same entity? I have a question about the signature
on the first scan below. The corporate information you sent (third scan below) shows that Stephen Kutzer is the CEO. It
does not list Bradley Catalone (the individual that signed the first scan below). Has Mr. Kutzer delegated authority for
Mr. Catalone to sign on his behalf? I think we went through this exercise when Mr. Childers (on the second scan) had
signature authority. We typically receive an operating agreement or similar document for the corporation listing
individuals who can sign for various things like permitting, leases, or other corporate functions. We need to have an
operating agreement signed by Mr. Kutzer delegating signature authority to Mr. Calone. We will also need to have a
form for SW8 960417 showing the change from AAIPharma Services Corp. to Alcami Corporation.

You gave me these two completeness reviews (SW8 960417, MCW Retention Pond & SW8 980308, Applied Analytical
Office Building). They submitted transfers to change both corporate names from AAIParma Services Corp. to Alcami
Corporation.
Here is the question: They are doing business as Alcami Corporation, but that entity isn't registered with the NC SoS
(see the picture at the bottom of this email chain). They are still officially named by the name on their permits,
AAIPharma Services Corp. I think we need to have them wait to transfer the permit when their corporation legally
changes name as opposed to when it is "doing business as" a new entity and just go ahead and return the applications
that were recently received. Is that correct? Or, do you want to do it now?

On August 5, 2009, the Governor signed Session Law 2009-406. This law impacts any development approval issued
by the Division of Water Quality under Article 21 of Chapter 143 of the General Statutes, which is current and valid at
any point between January 1, 2008, and December 31, 2010. The law extends the effective period of any stormwater
permit that was set to expire during this time frame up to three (3) years from its current expiration date. On August
2, 2010, the Governor signed Session Law 2010-177, which granted an extra year for an extension of up to four (4)
years. The expiration dates of the two subject permits have been extended to the following dates. Please apply for a
renewal permit 180 days prior to the expiration date of each permit:

don't see any State Stormwater permits under that name. That could mean a couple of things.
1.) If the site was constructed before 1988 you will not have a permit. No laws required it at that time.
a. If you have done significant expansions since 1988 you may have had to get a permit for the expanded
portion depending on how big the expansion was and which rule it was under (the law has changed a
few times since 1988). If this is the case, then let me know and I can look into that.
b. If you have done small expansions since 1988 that didn't trigger the need to get a permit, then you
wouldn't have one.
c. If AAI is an acronym, I can look the whole name up if you let me know what it stands for to see if the
permit is under that name.
2.) If the permit was originally under another permittee's name it could be in the database under that name.
Sometimes facilities are sold or change names and we aren't notified.
If you think that the site could be under a different name, then please let me know and I can look that up.

up in our database and I think you are talking about NCG060272, which is another type of stormwater permit that covers

Wilmington Office) and Robert Patterson (in the Central Office in Raleigh). They work with NCG06's and can help you
more than I can.

Re: Notification of Change of Control of Ownership for AAIPharma Inc. Facility in
Wilmington, North Carolina; and Request for Transfer of Stormwater Permit SW8 980308
Dear Sir or Madam:
AAIPharma Services Corp., a Delaware corporation, will purchase certain assets of
AAIPharma Inc., a Delaware corporation, pursuant to the terms and conditions of an Asset
Purchase Agreement between the parties. It is necessary, therefore, to have certain permits and
licenses for the AAIPharma Inc. facilities transferred from AAIPharma Inc. to the new owner,
AAIPharma Services Corp. The new owner of the facilities intends to continue the same
operations and comply with the same terms of the existing certificates of coverage.
The AAIPharma Inc. facility located at 1206 North 23rd Street, Wilmington, North
Carolina currently holds Stormwater Permit SW8 980308.
This letter and the attached State Stormwater Permit-Name/Ownership Change form and
required legal documentation of the transfer of ownership serve as notification to NC DENR's
Wilmington Regional Office of the change in ownership and change in name and as our request
that the Permit be transferred to the new owner, AAIPharma Services Corp. The closing date for
the transaction occurred on July 15, 2009. Per my conversation with Angela Hammer, a copy of
the recorded deed restrictions is not applicable in this case. Furthermore, a designer's
certification is on file at NC DENR, a signed Operation and Maintenance plan was provided in a
previous submission, and maintenance records are available on site for NC DENR's review.
