Meade, PhD on February 9 and April 17, 2011 to evaluate potential suitability for onsite stormwater control using a combination of a wet -detention pond and two stormwater wetland areas. The soil series mapped for the location is Wt (Winton), CrB (Craven fine sandy loam) and Lf (Leaf loam). METHODS: Three soil sample bore holes (#3, #4, and #5) were performed for the detention pond and soil sample bore holes #1 through #2 were performed for constructed stormwater wetland#1 and soil sample bore holes #6 through #8 were performed for constructed stormwater wetland#2. Locations are shown in Figure 1 and 2 with detailed information in Table 1. Soils are generally clay loam at upper depths to clay at deeper depths. CONCLUSIONS AND RECOMMENDATIONS: Soils in the proposed pond area were mainly Lf (Leaf series). Based on site contours, the existing ground elevations for the detention pond range between 36' to 38' over the pond site. Soil layers were typically clay loam to clay and the estimated seasonal high water table was approximately 24"-29" deep (Elevation approximately 34.0' on the north side nearest to the existing wetlands- 36.0' upslope). Permanent pool elevation was set at lowest SHWT elevation 34.0'. Soils for the constructed stormwater wetland#1 were mainly WT (Winton series) with seasonal high water table elevations were approximately 12"-18" deep from existing ground elevations (Elevation approximately 31.5'-32'.0). Soil layers were typically clay loam to clay and permanent pool elevation was set at elevation 32.0'. J Apnl25,2011 Soils for the constructed stormwater wetland#2 were mainly CrB (Craven series) with seasonal high water table elevations were approximately 8"-12" (bore hole#6) and 12"- 18" (bore hole#7) and approximately 14" (bore hole#7) deep from existing ground elevations (Elevation approximately 35.0'-35.5'). They formed in clayey alluvial and fluvial sediments. Near the type location, the mean annual temperature is 68 degrees F., and the mean annual precipitation is 57 inches. Redoximorphic concentrations in shades of yellow and brown range from few to many. Iron and manganese concretions ranges from none to many. Texture is sandy loam, loam, sandy clay loam, silty clay loam and clay loam. COMPETING SERIES: These include the Pouncey series in the same family and the Bladen, Goreen and Narlon series in the semiactive family. Bladen soils are on similar to higher positions and have less than 30 percent silt in the upper 20 inches of the Bt horizon. The somewhat poorly drained Narlon soils are on uplands of California, are in the Aridic moisture regime and are dry for more than 90 consecutive days in the summer and fall. GEOGRAPHIC SETTING: Leaf soils are on flood plains, low terraces and broad areas in coastal flatwoods. They formed in clayey alluvial and fluvial sediments. Slopes range from 0 to 2 percent. The climate is warm and humid. The average annual temperature is ranges from 65 to 70 degrees F., and the average annual precipitation ranges from 55 to 60 inches. GEOGRAPHICALLY ASSOCIATED SOILS: These include the Angie, Atmore, Mashulaville, Mvatt, Sawyer, Stough, and Weston series. The moderate well drained Angie soils are on similar or adjacent higher positions. Atmore soils are on similar positions, have coarse -loamy control sections and contain more than 5 percent plinthite, by volume, in the subsoil. Myatt soils are on similar positions and have fine -loamy control sections. Mashulaville soils are on similar to higher positions and have a fragipan. The moderately well drained Sawyer soils are on adjacent uplands and have fine -silty control sections. Stough and Weston soils have a coarse -loamy control sections. In addition, Stough soils are on adjacent uplands and are somewhat poorly drained. Weston soils are on similar to slightly higher positions. DRAINAGE AND PERMEABILITY: Poorly drained; very slow permeability. USE AND VEGETATION: Most areas of Leaf soils are in forests of mixed bottomland hardwoods and pines. Some areas are used for growing corn and small grains. The principal vegetation of the forested areas consists of water oak, sweetgum, blackgum, slash pine, loblolly pine, and white oak. DISTRIBUTION AND EXTENT: Alabama, Arkansas, Georgia, Louisiana, Mississippi, North Carolina and South Carolina. The series is of large extent. The E horizon, where present, has hue of 7.5YR to 2.5Y, value of 4 to 7, and chroma of 2 to 6. Texture is fine sandy loam, sandy loam, loam, loamy sand, or loamy fine sand. The Bt horizons have hue of 7.5YR to 2.5Y, value of 4 to 7, and chroma of 3 to 8. Iron depletions with chroma of 2 or less are within 24 inches of the upper boundary of the Bt horizon, but below a depth of 20 inches from the surface. Soft masses of iron accumulation in shades of brown, yellow, or red are in subhorizons of the Bt horizon of many pedons. Subhorizons of the Bt may lack a matrix color and have a pattern of colors in shades of yellow, brown, gray, or red. Texture is sandy clay loam, sandy loam, fine sandy loam, or clay loam. A Btg horizon is present in some pedons. Where present, it has hue of 1 OYR or 2.5Y, value of 4 to 6, and chroma of 1 or 2. Iron accumulations in shades of yellow, brown or red are typically present. Texture is sandy clay loam, sandy loam, fine sandy loam, or clay loam. The BC or CB horizon, where present, has colors similar to the Bt. The BCg horizon, where present, has colors similar to the Btg horizon. Texture is fine sandy loam, sandy loam, sandy clay loam, loamy sand, or loamy fine sand. The C horizon has hue of 1 OYR or 2.5Y, value of 3 to 8, and chroma of 3 to 8 and may be multicolored, or have iron accumulations or depletions in shades of yellow, brown, gray, or red. Some pedons have a Cg horizon that is similar in color to the BCg horizon. In each pedon, some part of the C horizon within a depth of 80 inches is not periodically saturated and lacks redoximorphic features. Texture is sand to clay and is commonly stratified. COMPETING SERIES: These are the Abell, Altavista, Bertie, and Tetotum series in the same family. Abell soils have a lithologic discontinuity in the Bt horizon. Altavista soils are on nearly level to gently sloping stream terraces. In addition, they have a fluctuating ground water table. Bertie soils are on broad level areas of the lower Coastal Plain and have significant amounts of montmorillonite in the clay fraction. Tetotum soils have more than 30 percent silt or 40 percent silt plus very fine sand in the upper 20 inches of the Bt horizon. GEOGRAPHIC SETTING: Winton soils are on long narrow bluffs that break sharply into rivers and their major tributaries that drain from the Piedmont and Coastal Plain. Craven and Gritney soils have more than 35 percent clay in the control section. Goldsboro, Lynchburg, Noboco, and Norfolk soils have siliceous mineralogy. State and Wickham soils are well drained. All of these soils except Gritney are on gentler slopes. DRAINAGE AND PERMEABILITY: Moderately well drained; medium to very rapid runoff, moderate to moderately slow permeability in the subsoil. These soils have a perched water table due to seepage down strongly sloping to very steep side slopes. USE AND VEGETATION: Almost all of this soil is in forests of mixed hardwoods with some pine. Common trees are southern red oak, white oak, sweetgum, water oak, American beech, sweetgum, red maple, and loblolly pinej. Understory plants include sourwood, American holly, flowering dogwood, red maple, blueberry, and greenbrier. DISTRIBUTION AND EXTENT: North Carolina, Virginia, and possibly Alabama, Georgia, and South Carolina. This series is of moderate extent. The Bt and Btg horizons are clay, clay loam, silty clay, or silty clay loam. The BCg horizon colors are similar to the Btg horizon. It is clay, sandy clay, clay loam, silty clay loam, sandy clay loam, or sandy loam. The Cg horizon, in addition to the colors of the Btg and BCg horizons, may have hue of 5Y, or it is neutral, with value of 5 to 7, and chroma of 0 to 2. It is stratified sandy, loamy, or clayey sediment. COMPETING SERIES: (This section was not updated; 2/97) The Kinta series is the only other known series in this family. Those in closely related families are the Angie, Bethera, Bladen, Cantev, Coxville, Craven, Dogue, Dunbar, Duplin, Grady, Leaf, Nahunta, Persanti, Roanoke, Smithboro, Tomast, and Wahee series. Kinta soils have finer textured A and upper B horizons with prominent red mottles in the upper Bt horizon. Angie, Craven, Dogue, Duplin, and Persanti soils have a udic moisture regime and lack colors with chroma of 2 or less in the upper Bt horizon. Bethera, Bladen, Cantey, Coxville, Grady, and Leaf soils have dominant chroma of 2 or less in all subhorizons between the A and Ap horizon and 30 inches below the surface. Dunbar and Smithboro soils have kaolinitic mineralogy. Nahunta and Tomast soils have 18 to 35 percent clay in the upper 20 inches of the argillic horizon. Wahee soils have more than 10 percent weatherable minerals in the sand and silt fractions and also have than a 20 percent decrease in clay content from the maximum within 60 inches of the surface. GEOGRAPHIC SETTING: Lenoir soils are on nearly level interstream divides of the Coastal Plain. Slope gradients are less than 2 percent. The soil formed in stratified, clayey sediments of marine or fluvial origin. Near the type location, the mean annual temperature is about 63 degrees F., and the mean annual precipitation is 48 inches. Areas near the type location are not subject to flooding, but frequency for the series ranges from none to common. GEOGRAPHICALLY ASSOCIATED SOILS: In addition to the competing Bethera, Bladen, Craven, and Leaf series, these are the Bayboro, Caroline, Exum, Goldsboro, Grantham, Lynchburg, Nahunta, Norfolk, and Rains. Bayboro soils have very dark gray or black A horizons thicker than 10 inches. Caroline soils lack mottles with chroma of 2 or less within 30 inches of the surface. Agreement of Purchase and Sale. Subject to the provisions of this Contract, and for the consideration herein stated, Seller agrees to sell the Property to Purchaser and Purchaser agrees to buy the Property from Seller. 2. Purchase Price. The purchase price (the "Purchase Price") to be paid by Purchaser for the Property shall be an amount equal to TWO I RINDRED THOUSAND AND NO/ONE HUNDRED DOLLARS ($200,000.00), less a credit for the Earnest Money. The Purchase Price shall be payable to Seller at closing by wire transfer of immediately available funds to an account desilmated by Seller. 3. Earnest Money. Title: Survey. (a) Seller agrees to convey to Purchaser fee simple title to the Property by the Deed, free and clear of all liens, encumbrances, mortgages, assessments, agreements, options and covenants created or suffered by Seller, except for such encumbrances as are set forth on Exhibit B attached hereto (hereinafter referred to as the "Permitted Encumbrances'). (b) Purchaser shall have until the expiration of the Inspection Period (as hereinafter defined) to examine title to the Property and to notify Seller in writing if Purchaser objects to any exceptions to title other than the Permitted Encumbrances, provided that Purchaser shall have the right to object to any title matter covered by either of paragraphs 3 and 6 of Exhibit B hereto if, but only if, any such title matter is not also covered by one of the other paragraphs of Exhibit B. If Purchaser timely notifies Seller of any such objections, then Seller may, at its sole option, cure any of such objections on or before the date of Closing; provided, however, that to the extent such an objection consists of a lien or mortgage securing a monetary obligation which was created or suffered by Seller or any party claiming by, through or under Seller, Seller shall be required to use the cash portion of the Purchase Price to cure any such objection. If Seller fails to obtain such release(s) by the scheduled date of Closing, Seller shall have the right, at its option and its sole discretion, either (1) to terminate this Contract, without any further liability to Seller or Purchaser whatsoever, whereupon Escrow Agent shall promptly return the Earnest Money to Purchaser, or (2) to extend the date of Closing under this Contract for a period not to exceed thirty (30) days in order to continue its efforts to obtain such release(s). If Seller exercises its option under the foregoing clause (2) and Seller fails to obtain such release(s) within said extension period, then either party shall have the right to terminate this Contract without further liability whatsoever (except as may be otherwise expressly provided herein), whereupon Escrow Agent shall promptly return the Earnest Money to Purchaser. I N 19080.4 (e) During the Inspection Period, Purchaser shall obtain, at Purchaser's sole cost and expense, a current boundary survey of the Property made by a registered North Carolina land surveyor (the "Survey"). The Survey will contain a calculation of the acreage within the Property to the nearest onc-hundredth (100") of an acre, and shall show the metes and bounds locations and widths of all public and private roads located on or serving the Property. The Survey shall be subject to Seller's review and approval. The legal description of the Property as shown on the Survey as approved by Seller shall be the legal description attached as Exhibit A to the Deed. 6. Inspection: AS IS Sale. (a) Purchaser and its agents, representatives, employees, engineers and contractors shall have the right at any time during the term of this Contract, at Purchaser's sole cost and expense, to enter upon the Property to inspect, examine, survey and make test borings, soil bearing tests, timber cruises, environmental site assessments and other engineering tests or surveys which it may deem necessary or advisable. Purchaser hereby agrees to indemnify and hold Seller harmless from and against any and all cost, expense and/or liability resulting from claims or damages caused by said inspections, examinations and tests. The foregoing indemnification and hold ham -Jess provision shall survive any termination, cancellation or expiration of this Contract or the Closing. (b) If, prior to the expiration of the period ending on the date which is thirty (30) days after the Effective Date (the "Inspection Period"), Purchaser determines that the Property is unsuitable for Purchaser's use, in Purchaser's sole discretion, or that Purchaser does not desire to purchase the Property for any reason or no reason, then Purchaser shall have the right to terminate this Contract by giving written notice to Seller of such termination on or before the expiration of the Inspection Period, whereupon Escrow Agent shall return the Earnest Money to Purchaser and no party shall have any further rights or obligations hereunder (except as may otherwise be expressly provided herein). if Seller does not receive such termination notice on or before the expiration of the Inspection Period, then Purchaser shall be deemed to have waived the right to terminate this Contract pursuant to the provisions of this subparagraph. (c) Except for the Deed and any representations or warranties of Seller expressly set forth in this Contract, the purchase and sale pursuant to this Contract will be on an "AS IS", "WHERE IS" and "WITH ALL FAULTS" basis, with no representations, warranties, guaranties or commitments of any kind whatsoever, express or implied, by Seller with respect to the Property or any matter relating to the Property. The provisions of this subparagraph (c) shall survive the Closing. Condition of Property: Damage: Condemnation. (a) Seller agrees that at the Closing the Property shall be in the same condition as exists on the date hereof, subject to natural wear and tear, condemnation, casualties beyond Sellers control and the Permitted Encumbrances. During the term of this Contract, Seller shall neither cut or remove nor permit the cutting or removal of any timber or trees which are included as pan of the Property, except as may otherwise be provided in any of the Pem»tted Encumbrances. (b) if at any time prior to the Closing, the Property or any part thereof (including, but not limited to, any limber or trees which are included as part of the Property) is destroyed or damaged by fire or other casualty and the amount of such damage exceeds $10,000.00, then Purchaser, at its sole option, may elect either (i) to cancel this Contract, whereupon Escrow Agent shall promptly 10919080.4 return the Earnest Money to Purchaser and no party hereto shall have any further rights or obligations hereunder (except as may otherwise be expressly provided herein), or (ii) to purchase the Property without reduction in the Purchase Price. Purchaser's option under this paragraph 7(b) shall be exercisable by giving written notice of such election to Seller at any time on or before five (5) days after Purchasers receipt of notice of the occurrence of such damage or destruction and the date of Closing shall be extended to the extent necessary to permit the exercise of such option by Purchaser. (c) If at any time prior to the Closing, any action or proceeding is filed or threatened under which the Property or any part thereof may be taken pursuant to any law, ordinance or regulation by condemnation or the right of eminent domain, then Purchaser at its sole option may elect either (i) to cancel this Contract, whereupon Escrow Agent shall promptly return the Earnest Money to Purchaser and no party hereto shall have any further rights or obligations hereunder (except as may otherwise be expressly provided herein), or (ii) to purchase the Property pursuant to this Contract, notwithstanding such action or proceeding, whereupon Purchaser shall be entitled to receive at the Closing a credit against the Purchase Price in the amount of all proceeds of any awards, if any, previously paid to Seller with respect to the Property for such taking and to receive all such proceeds payable after Closing. Purchaser's option under this paragraph 7(c) shall be exercisable by giving written notice of such election to Seller at any time on or before five (5) days after the determination of the amount of the proceeds payable with respect to such taking and the date of Closing shall be extended to the extent necessary to permit the exercise of such option by Purchaser. Seller shall notify Purchaser as to the determination of the amount of such proceeds. 8. Warranties and Representations. (a) Seller hereby warrants and represents to Purchaser that: (i) Seller has the full right, power, and authority to enter into and perform this Contract; and no consent, approval, order or authorization of any court or other governmental entity is required to be obtained by Seller in connection with the execution and delivery of this Contract or the performance hereof by Seller. (ii) Except for the lawful application of chemicals in connection with customary silvicultural practices, to Seller's actual knowledge, there is and has been no I lazardous Substance stored, handled, transported from or to or disposed in, on or about the Property in quantities requiring remediation under applicable law prior to the date Seller acquired the Property. Seller further warrants and represents that since Seller acquired the Property, there have been no Hazardous Substances stored, handled, transported from or to or disposed in, on or about the Property for or on behalf of Seller, or to Seller's actual knowledge, by any other party, in quantities requiring remediation under applicable law. For purposes of this warranty, the term "Hazardous Substance" means any such materials, product, waste, contaminates, petroleum, crude oil or any fraction thereof or other substances which are listed, regulated or addressed in any of the following sources as amended from time to time: (i) the Resource Conservation and Recovery Act of 1976, 42 USC §6901 et. sec . (RCRA); (ii) the Comprehensive Environmental Response, Compensation and Liability Act of 1980, 42 USC §9601 et. seq. (CERCLA); (iii) the Hazardous Materials Transportation Act, 49 USC § 1801, et. sec .; (iv) applicable laws of the State of North Carolina and (v) all other applicable statutes, laws regulations, orders, ordinances, resolutions, decrees, codes and rules relating to Hazardous Substances. (b) Purchaser hereby warrants and represents to Seller that Purchaser has the full right, power and authority to enter into and perform this Contract; and no consent, approval, order or 10919080A authorization of any court or other govcmmental entity is required to be obtained by Purchaser in connection with the execution and delivery of this Contract or the performance hereof by Purchaser. 9. Brokerage Commission. At the Closing, Seller shall pay a commission to Mike Neal & Associates pursuant to a separate agreement (the "Broker"). Seller and Purchaser each warrant and represent to the other that neither has incurred any liability for any brokerage fee or commission in connection with the execution and delivery of this Contract or the consummation of the transactions contemplated hereby, except for the aforesaid commission payable to Broker at Closing. Seller and Purchaser each agree to indemnify and hold harmless the other from any and all damage, loss, liability, expense and claim (including but not limited to reasonable attomeys' fees and court costs) arising with respect to any such fee or commission which may be suffered by the indemnified party by reason of any action or agreement of the indemnifying party. The provisions of this paragraph 9 shall survive the Closing or any termination, cancellation or expiration of this Contract. 10, Taxcs; Expenses. (a) Ad valorem real property taxes on the Property and special assessments shall be prorated as of the date of Closing. If actual tax bills for the calendar year of Closing are not available, said taxes shall be prorated based on tax bills for the previous calendar year and the parties hereto agree to cause a reproration of said taxes upon the receipt of tax bills for the calendar year of Closing. This obligation to reprorate shall survive the closing of the purchase and sale contemplated hereby. If the Property is not designated a separate tax parcel, said taxes shall be adjusted to an amount bearing the same relationship to the total tax bill which the acreage contained within the Property bears to the acreage contained within the property included within said tax bill. (b) Seller shall pay the transfer or documentary stamp taxes due in connection with the recordation of the Deed and Purchaser shall pay all other closing costs associated with the sale contemplated by this Contract, including, but not limited to recording fees, survey fees and expenses, and the cost of any title examination and title insurance premium in connection with Purchaser's owners title insurance policy. representation. (a) If the purchase and sale of the Property contemplated hereby is not consummated because of a default by Purchaser under this Contract, then Seller shall have the right to require Escrow Agent to pay the Earnest Money to Seller as full liquidated damages and not as a penalty (the parties hereto acknowledging that Seller's damages as a result of such default are not capable of exact ascertainment and that said liquidated damages are fair and reasonable). (b) If the purchase and sale of the Property contemplated hereby is not consummated because of a default by Seller under this Contract, then Escrow Agent shall promptly return the Earnest Money to Purchaser and in no event shall Purchaser be entitled to sue Seller for damages, Purchaser hereby acknowledging that its sole remedy shall be a suit for specific performance. (c) The duties of Escrow Agent shall be as follows: 10919080.4 (i) During the term of this Contract, Escrow Agent shall hold and deliver the Earnest Money in accordance with the terms and provisions of this Contract. (ii) If this Contract shall be terminated by the mutual written agreement of Seller and Purchaser, or if Escrow Agent shall be unable to determine at any time to whom the Earnest Money should be delivered, or if dispute shall develop between Seller and Purchaser concerning to whom the Earnest Money should be delivered, then in any such event, Escrow Agent may request joint written instructions from Seller and Purchaser and shall deliver the Earnest Money in accordance with any such joint written instructions received by Escrow Agent. In the event that such written instructions shall not be received by Escrow Agent within ten (10) days alter Escrow Agent has served a written request for instructions upon Seller and Purchaser, the Escrow Agent shall have the right to pay the Earnest Money into a court of competent jurisdiction and interplead Seller and Purchaser in respect thereof, and thereafter Escrow Agent shall be discharged of any obligations in connection with this Contract. (iii) If costs or expenses are incurred by Escrow Agent because of litigation or a dispute between Seller and Purchaser arising out of the holding of the Earnest Money in escrow, Seller and Purchaser shall each pay Escrow Agent one-half of such costs and expenses. (v) Purchaser and Seller hereby agree and acknowledge that Escrow Agent assumes no liability in connection herewith except for gross negligence or willful misconduct; that Escrow Agent shall never be responsible for the validity, correctness or genuineness of any document or notice referred to under this Contract; and that Escrow Agent may seek advice from its own counsel and shall be fully protected in any action taken by it in good faith in accordance with the opinion of its counsel. (vi) Purchaser acknowledges that Escrow Agent regularly represents Seller and is representing Seller in connection with the transaction contemplated by this Contract, and Purchaser expressly consents to such representation. In the event that a dispute or litigation arises with respect to the Earnest Money, the holding of the Eames( Money by Escrow Agent or any other matter relating to the transaction contemplated by this Contract, Purchaser acknowledges and agrees that Escrow Agent may represent Seller in connection with such litigation or dispute and Purchaser waives the right to claim or allege any conflict as a result of such representation. 12. Assignment. Neither party hereto shall assign its rights or obligations hereunder, in whole or in part, without the prior written consent of the other party, which consent shall not be unreasonably withheld. 13. No Waiver. Governing Law. This Contract shall be governed by the laws of the State of North Carolina. 15. Notice. Any and all notices, elections and communications required or permitted by this Contract shall be made or given in writing and shall be delivered in person, by electronic mail transmission, or sent by a nationally recognized overnight courier, to the other parties at the addresses set forth below, or such other address as may be furnished by notice in accordance with this paragraph. The date of notice given by personal delivery or by electronic mail transmission shall be the date of such delivery or such transmission. Counterparts. This Contract may be executed in counterparts which shall be construed together as one instrument. 20. Binding Effect. This Contract shall bind the parties hereto and their respective heirs, legal representatives, successors and assigns. 21. Time of Essence. Time is of the essence of this Contract. 22. No Survival.
