THIS BILL OF SALE, made this 12th day of February, 2021, by BRISTOL
INDUSTRIES, INC. hereinafter referred to as party of the first part; to PARTON LUMBER
COMPANY, INC., hereinafter referred to as party of the second part;
WITNESSETH:
That said party of the first part, for good and valuable consideration to the party of
the first part paid, the receipt of which hereby is acknowledged, has bargained and sold and by
these presents does bargain, sell, and convey unto the said party of the second part, said party's
successors and assigns, those certain assets defined as the "Purchased Assets" in that Asset
Purchase Agreement (Includes Real Estate) entered into by the parties hereto and dated February
21, 2021, said Asset Purchase Agreement being incorporated herein by this reference.
TO HAVE AND TO HOLD said Purchased Assets to the said party of the second
part and said party's successors and assigns, in fee simple.
And the said party of the first part covenants that party of the first part is seized of
said Purchased Assets in fee and has the right to convey the same in fee simple, that the same are
free and clear of all encumbrances whatsoever, and that the party of the first part will warrant
and defend the title thereto against the lawful claims of all persons whomsoever.
IN TESTIMONY WHEREOF, the party of the first part has caused this
instrument to be executed in its corporate name by its President, all by order of its Board of
Directors first duly given, this the day and year first above written.
